The Extent and Payment of Compensation. (1) The average of license fees paid in the calendar year to date shall be deemed to constitute the amount to be used as the basis for compensation (hereinafter: the Monthly Fee). (2) In the event that the Service Provider fails to meet its Annual Data Retention Target in the given calendar year, the Service Provider is obliged to pay compensation equaling the Monthly Fee. (3) In the event that the Service Provider fails to meet its Annual Availability Target in the given calendar year, the Service Provider is obliged to pay compensation equaling two Monthly Fees. (4) The Service Provider is obliged to pay/credit compensation and the Subscriber may initiate extraordinary termination only in case the Subscriber notifies its compensation claim to the Service Provider. The Subscriber can file his complaints up to one year after which the claim emerges. The Service Provider has 30 days to examine the legitimacy and the extent of the compensation and to notify the Subscriber thereof. (5) In the event that the Subscriber gives notice of termination of the Contract with reference to a failure to meet the quality target, the Service Provider shall pay the amount of compensation within thirty (30) days after the Contract terminates or shall credit the amount of compensation to the Subscriber's Balance in eight (8) days.   • Payment of Compensation Consultant shall submit to City a monthly itemized statement which indicates work completed and hours of Services rendered by Consultant. The statement shall describe the amount of Services and supplies provided since the initial commencement date, or since the start of the subsequent billing periods, as appropriate, through the date of the statement. City shall, within 30 days of receiving such statement, review the statement and pay all approved charges thereon.

  • Fees and Compensation Managers and Officers may receive such compensation and fees, if any, for their services, and such reimbursement for expenses, as may be determined by resolution of the Board.

  • Extra Compensation The Board shall pay no fees, other than described above, to the PA/E unless authorized by the Board as follows: A.
