The Translation Services. The following requirements must be met prior to starting any translation transcription work and maintained during the translation transcription process: 3.3.4.1 Use of compatible versions of software programs. The Contractor has to confirm the compatibility and software versions required by the agency for each job performed under the contract. The Contractor will only provide the transcription and design on the software programs approved by the agency. In case work needs to be modified due to the Contractor’s neglect to obtain the confirmation and approval of a software or a software version, the cost to modify the work will be borne by the Contractor. Current software includes but, is not limited to: Adobe Acrobat Pro, Adobe Acrobat XI, Professional and Creative, and Cloud InDesign. 3.3.4.2 Review the text, and identify key terms, concepts, and typography needs that might require clarification. 3.3.4.3 Review with the MNDH authorized representative terms and concepts if needed. 3.3.4.4 Review relevant previously translated materials and additional information the MDH authorized representative provides. 3.3.4.5 Prior to starting translation, use the MDH’s approved glossary if available, or develop a working glossary of terms and concepts for each language MDH does not have an approved glossary already translated. 3.3.4.5.1 The Contractor will maintain MDH’s approved working glossary for future use, if one was not available for a requested job. 3.3.4.5.2 The Contractor is not allowed to charge the State for the glossaries or materials that have already been translated and are available to the translator to use. 3.3.4.6 If deemed warranted by the Contractor, changes to the approved MDH’s glossaries can be proposed to the agency. 3.3.4.7 Contractor’s translation, transcription and DPT production personnel must use the terms and concepts consistently throughout the translated and transcribed document. 3.3.4.8 The Contractor must communicate with the designated agent from MNDH during document production concerning formatting questions as they arise (spacing, extra pages needed, etc.). 3.3.4.9 The final translation product must be furnished in electronic format.   • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include: (a) administering, managing and maintaining Party A’s information application system and website system infrastructure; (b) providing system optimization plans and implementing optimization features; (c) assuring the security and reliability of the website application systems; (d) procuring, installing and supporting the relevant products produced by Party B, and providing training in the use of those products; (e) managing and maintaining all network and providing technologies to assure the reliability and efficiency thereof; (f) providing information technology services and assuring the reliable operation of the information infrastructure.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition. 13.2 If the Hosting of Customer Data by Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract contributes to or directly causes a Data Breach, Supplier shall be responsible for the obligations set forth in Appendix 1 related to breach reporting requirements and associated costs.   • Acquisition Services (i) Serve as the Company’s investment and financial advisor and provide relevant market research and economic and statistical data in connection with the Company’s assets and investment objectives and policies; (ii) Subject to Section 4 hereof and the investment objectives and policies of the Company: (a) locate, analyze and select potential investments; (b) structure and negotiate the terms and conditions of transactions pursuant to which investments in Properties, Loans and other Permitted Investments will be made; (c) acquire, originate and dispose of Properties, Loans and other Permitted Investments on behalf of the Company; (d) arrange for financing and refinancing and make other changes in the asset or capital structure of investments in Properties, Loans and other Permitted Investments; and (e) enter into leases, service contracts and other agreements for Properties, Loans and other Permitted Investments; (iii) Perform due diligence on prospective investments and create due diligence reports summarizing the results of such work; (iv) Prepare reports regarding prospective investments that include recommendations and supporting documentation necessary for the Directors to evaluate the proposed investments; (v) Obtain reports (which may be prepared by the Advisor or its Affiliates), where appropriate, concerning the value of contemplated investments of the Company; (vi) Deliver to or maintain on behalf of the Company copies of all appraisals obtained in connection with the Company’s investments; and (vii) Negotiate and execute approved investments and other transactions, including prepayments, maturities, workouts and other settlements of Loans and other Permitted Investments.
