Txxxxx Xxxxx Sample Clauses

Txxxxx Xxxxx. Txxxxx Xxxxx has authorized the issuance of 50,000,000 shares of common stock, of which 10,000,000 shares are issued and outstanding as of the date of this Agreement, all of which have been issued to and are held by the Company. All shares of common stock have been duly authorized, have been validly issued, are fully paid and nonassessable and are free of any liens or encumbrances. There are no authorized or outstanding options, warrants, preemptive rights, rights of first refusal or other rights to purchase any capital stock of Txxxxx Xxxxx or any equity or debt securities convertible into or exchangeable or exercisable for capital stock of Txxxxx Xxxxx.
Txxxxx Xxxxx. Any of the following types of delay in the completion of construction of Landlord's TI Work (but in each instance, only to the extent that any of the following has actually and proximately caused substantial completion of Landlord's TI Work to be delayed): (i) Any delay resulting from Txxxxx's failure to furnish, in a timely manner, information reasonably requested by Landlord or by Landlord's Project Manager in connection with the design or construction of Landlord's TI Work, or from Tenant's failure to approve in a timely manner any matters requiring approval by Txxxxx; (ii) Any delay resulting from Tenant Change Requests initiated by Txxxxx, including any delay resulting from the need to revise any drawings or obtain further governmental approvals as a result of any such Tenant Change Request; or (iii) Any delay caused by Tenant (or Txxxxx's contractors, agents or employees) materially interfering with the performance of Landlord's TI Work, provided that Landlord shall have given Tenant prompt notice of such material interference and, before the first time a Tenant Delay is deemed to have occurred as a result of such delay, such interference has continued for more than twenty-four (24) hours after Txxxxx’s receipt of such notice.

Txxxxx Xxxxx. Any of the following types of delay in the completion of construction of Landlord’s TI Work (but in each instance, only to the extent that any of the following has actually and proximately caused substantial completion of Landlord’s TI Work to be delayed): (i) Any delay resulting from Txxxxx’s failure to furnish, in a timely manner, information reasonably requested by Landlord or by Landlord’s Project Manager in connection with the design or construction of Landlord’s TI Work, or from Tenant’s failure to approve in a timely manner any matters requiring approval by Txxxxx, where such failure continues for more than three (3) business days after Txxxxx’s receipt of written notice from Landlord specifying same; (ii) Any delay resulting from Tenant Change Requests initiated by Txxxxx, including any delay resulting from the need to revise any drawings or obtain further governmental approvals as a result of any such Tenant Change Request (unless Tenant timely abandons the Tenant Change Request upon learning of the potential delay); or (iii) Any delay caused by Tenant (or Tenant’s contractors, agents or employees) materially interfering with the performance of Landlord’s TI Work, provided that Landlord shall have given Tenant prompt notice of such material interference and Tenant shall thereafter fail to remedy same within three (3) business days. (iv) Any delay caused by Txxxxx’s failure to comply with the Time Deadlines (including any value engineering by Tenant outside of the Value Engineering Period).

  • Xxxx-Xxxxx-Xxxxxx Notwithstanding any other provision in this Agreement, in the event the Xxxx Xxxxx Xxxxxx Antitrust Improvements Act of 1976, as amended (the “HSR Act”), is applicable to any Member by reason of the fact that any assets of the Company will be distributed to such Member in connection with the dissolution of the Company, the distribution of any assets of the Company shall not be consummated until such time as the applicable waiting periods (and extensions thereof) under the HSR Act have expired or otherwise been terminated with respect to each such Member.
