UNIVERSITY PERSONNEL. UNIVERSITY Project Managers responsible for the performance of Work under this Agreement will be identified in each individual Task Order. The UNIVERSITY shall not replace the specified Project Managers without prior written approval of the SPONSOR.

UNIVERSITY PERSONNEL. The University agrees to allow the Foundation to utilize University employees for the Foundation’s fundraising without additional compensation or reimbursement from the Foundation (except that out of pocket business expenses incurred thereby may be reimbursed by the Foundation in accordance with its policies) including, without limitation, the President, Xxxxxxx, Associate Provosts, Executive Vice Presidents, Vice Presidents, Deans, Director of Athletics, Directors, Associate Directors Department Heads, faculty and support staff. The University also agrees that the Foundation is allowed to utilize University employees (including those of the Health Center) presently employed in positions that are primarily fundraising positions, for the Foundation’s fundraising provided that in the event the incumbents in such primarily fundraising positions are no longer employed in such positions by the University or Health Center, and the Foundation chooses to hire a new employee to perform the Foundation-related duties of this position, the new hire will be a Foundation employee, subject to restrictions imposed by any applicable collective bargaining agreement.
UNIVERSITY PERSONNEL. The University will engage the Key Personnel in providing the Services and will maintain the engagement of the Key Personnel in providing the Services for the Term. The University will notify the Principal immediately of any changes in the Key Personnel undertaking the Services and will only replace Key Personnel with University Personnel of similar qualifications and ability, whose appointment the Principal, at its discretion, has consented to in writing. The Principal may, acting reasonably, require the University to replace the University Personnel employed in performing the Services, and the University will:
UNIVERSITY PERSONNEL. The University will ensure that all University Personnel, and any other person who may have access to Personal Information held by the University, are aware of the obligations of the University under the Project Contract and will ensure that they undertake to not collect, access, use, disclose or otherwise deal with Personal Information except in performing their duties in accordance with the Project Contract. The University will take all reasonable measures to ensure that Personal Information is protected from misuse, loss, unauthorised access, modification, disclosure or other misuse and that only Personnel necessary to fulfil the obligations under the Project Contract have access to the Personal Information.
UNIVERSITY PERSONNEL. All UNIVERSITY PERSONNEL who conduct any activities with respect to the RESEARCH PROGRAMS shall be obligated to assign to the BOARD OF REGENTS of THE UNIVERSITY OF TEXAS SYSTEM all inventions and intellectual property rights arising from their work in the RESEARCH PROGRAMS in a manner that enables the BOARD and UTMDACC to grant to INTREXON all rights UTMDACC purports to grant under this AGREEMENT.
UNIVERSITY PERSONNEL. All UNIVERSITY PERSONNEL who conduct any activities with respect to the TCR-T PROGRAM shall be obligated to assign to the BOARD OF REGENTS of THE UNIVERSITY OF TEXAS SYSTEM all inventions and intellectual property rights arising from their work in the TCR-T PROGRAM in a manner that enables the BOARD and UTMDACC to grant to ZIOPHARM all rights UTMDACC purports to grant under this AGREEMENT. “UNIVERSITY PERSONNEL” shall mean employees, other agents and consultants of UTMDACC.

  • Receiving Party Personnel The receiving Party will limit access to the Confidential Information of the disclosing Party to those of its employees, attorneys and contractors that have a need to know such information in order for the receiving Party to exercise or perform its rights and obligations under this Agreement (the “Receiving Party Personnel”). The Receiving Party Personnel who have access to any Confidential Information of the disclosing Party will be made aware of the confidentiality provision of this Agreement, and will be required to abide by the terms thereof. Any third party contractors that are given access to Confidential Information of a disclosing Party pursuant to the terms hereof shall be required to sign a written agreement pursuant to which such Receiving Party Personnel agree to be bound by the provisions of this Agreement, which written agreement will expressly state that it is enforceable against such Receiving Party Personnel by the disclosing Party.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Key Personnel C4.1 The Contractor acknowledges that the Key Personnel are essential to the proper provision of the Services to the Authority.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Licensee Licensee represents and warrants that:

  • Use of Affiliated Companies and Subcontractors In connection with the services to be provided by Manager under this Agreement, Manager may, to the extent it deems appropriate, and subject to compliance with the requirements of applicable laws and regulations, make use of (i) its affiliated companies and their directors, trustees, officers, and employees and (ii) subcontractors selected by Manager, provided that Manager shall supervise and remain fully responsible for the services of all such third parties in accordance with and to the extent provided by this Agreement. All costs and expenses associated with services provided by any such third parties shall be borne by Manager or such parties.

  • Licensor any Person from whom a Grantor obtains the right to use any Intellectual Property. Lien: any Person’s interest in Property securing an obligation owed to, or a claim by, such Person, whether such interest is based on common law, statute or contract, including liens, security interests, pledges, hypothecations, statutory trusts, reservations, exceptions, encroachments, easements, rights-of-way, covenants, conditions, restrictions, leases, and other title exceptions and encumbrances affecting Property. Lien Waiver: an agreement, in form and substance satisfactory to Collateral Agent, by which (a) for any material Collateral located on leased premises, the lessor waives or subordinates any Lien it may have on the Collateral, and agrees to permit Collateral Agent to enter upon the premises and remove the Collateral or to use the premises to store or dispose of the Collateral; (b) for any Collateral held by a warehouseman, processor, shipper, customs broker or freight forwarder, such Person waives or subordinates any Lien it may have on the Collateral, agrees to hold any Documents in its possession relating to the Collateral as agent for Collateral Agent, and agrees to deliver the Collateral to Collateral Agent upon request; (c) for any Collateral held by a repairman, mechanic or bailee, such Person acknowledges Collateral Agent’s Lien, waives or subordinates any Lien it may have on the Collateral, and agrees to deliver the Collateral to Collateral Agent upon request; and (d) for any Collateral subject to a Licensor’s Intellectual Property rights, the Licensor grants to Collateral Agent the right, vis-à-vis such Licensor, to enforce Collateral Agent’s Liens with respect to the Collateral, including the right to dispose of it with the benefit of the Intellectual Property, whether or not a default exists under any applicable License.

  • Contractor If COUNTY elects to renegotiate this Agreement due to reduced or terminated 20 funding, CONTRACTOR shall not be obligated to accept the renegotiated terms.
