Unused Materials. In the event of the expiration of this Agreement or termination of this Agreement in whole or in part (including the termination of any Facility Addendum) by Customer in accordance with Section 7.3, 7.4, 7.5 or 7.6, Customer may, at its option within ninety (90) days immediately following the effective date of the expiration or termination of this Agreement, purchase any work in process and/or Product Materials that Manufacturer has purchased exclusively for Customer in accordance with this Agreement for the production of any terminated Product. Customer shall pay Manufacturer’s direct cost for works in process, and Manufacturer’s purchase price from its suppliers for Product Materials. In the event of the termination of this Agreement by Customer in accordance with Section 7.7 or the termination of this Agreement by Manufacturer in accordance with Section 7.3, 7.4, 7.5 or 7.6, Customer shall purchase at cost all Product Materials purchased in accordance with Customer’s Purchase Orders and on reasonable reliance upon Customer’s Forecast; provided that Manufacturer uses its reasonable commercial efforts to exhaust existing stocks of such Product Materials prior to the date of termination. In the event of the termination or expiration of this Agreement for any other reason, Customer shall have no obligation to purchase any Product Materials. Any Product Materials that are not purchased or required to be purchased by Customer pursuant to this Section 7.9 shall be disposed of or destroyed in accordance with Customer’s instructions, which costs shall be borne by Manufacturer.
Unused Materials. In the event of changes requested by Client or to comply with any regulatory requirement, Client shall reimburse Xxxxxx for any Xxxxxx-Supplied Components that cannot reasonably be used by Xxxxxx or returned for credit.
Unused Materials. Within ninety (90) days of the effective date of the expiration or termination of this Agreement for any reason other than Paddock’s material breach, Axcan Pharma shall purchase at Paddock’s cost any Materials that Paddock has purchased exclusively for Axcan Pharma in accordance with this Agreement for the supply of the Products. Axcan Pharma shall not be obligated to purchase any quantities of Materials under this paragraph 11.3 in excess of a ninety (90) day supply reasonably based upon Axcan Pharma’s applicable forecast of its requirements of the foregoing. In the event that the Agreement terminates as a result of a material breach by Paddock, Axcan Pharma shall be under no obligation to purchase any unused Materials from Paddock, but will have an option to do so.
Unused Materials. Within ninety (90) days of the effective date of the expiration or termination of this Agreement for any reason other than Unipath's material uncured breach, Warner-Lambert shall purchase at Unipath's cost any packaging and otxxx xxx xxxxxxals that Unipath has purchased exclusively for Warner-Lambert in accordance with this Agreement for the production xx xxx Xxxxxxx. Warner-Lambert shall not be obligated to purchase any quantities of xxxxxxxxx xxxxr this Section 12.4 in excess of a one hundred twenty (120) day supply of such materials (such supply amount based upon Warner-Lambert's applicable forecast of its requirements of the forexxxxx). Xx xxx xption Warner-Lambert may, in lieu of purchasing such materials at cost, plxxx xxxxxx xxxh Unipath for additional Product under the terms of this Agreement in order to extinguish existing stocks of such materials. In the event that the Agreement terminates as a result of a material uncured breach by Unipath, Warner-Lambert shall be under no obligation to purchase any unused mxxxxxxxx xxxx Unipath.
Unused Materials. Within ninety (90) of the effective date of the expiration or termination of this Agreement for any reason other CID Lines' breach, the Company shall purchase at CID Lines' cost any packing materials that CID Lines has purchased exclusively for the Company in accordance with this Agreement for the production of the Licensed Product and CID Lines shall execute all instruments as required under applicable law to permit the Company to use such packaging materials in the packaging of the Licensed Product, provided that, the Company shall not be obligated to purchase any quantities of packaging materials in excess of a sixty (60) day supply (such supply amount based upon the Company's applicable forecast of its requirements of the foregoing). At its option the Company may, in lieu of purchasing such materials at cost, place orders with CID Lines for the packaging of additional Licensed Product in order to extinguish existing stocks of such packaging materials. In the event that the Agreement terminates as a result of a breach by CID Lines, the Company shall be under no obligation to purchase any unused packaging materials from CID Lines.
Unused Materials. If Supplier acquires Materials with respect to ---------------- a Binding Secondary/Steriles Commitment, and GWI subsequently fails to purchase Secondary/Steriles Products in accordance therewith, Supplier shall seek to utilize any such Materials, other than Key Ingredients, in the ordinary course of its business. If at the end of [*] from the end of the quarter for which the Materials were purchased GWI has not purchased Secondary/Steriles Products or submitted a subsequent Binding Secondary/Steriles Commitment using those Materials, [*]
Unused Materials. 1. Return unused materials purchased under an Allowance to manufacturer or supplier for credit to District, after installation has been completed and accepted.
2. If requested, prepare and deliver unused material for storage by District when it is not economically practical (as determined by District) to return the material for credit. If directed, deliver unused material to District's storage space. Otherwise, disposal of unused material is Contractor's responsibility.
Unused Materials. Unused materials (Condition "A") being new materials procured for the Joint Account but never used, at 100 percent of the Unused Market Price.
Unused Materials. (a) Within ninety (90) days of the effective date of the expiration of this Agreement or the termination of this Agreement by Purchaser for any reason, Purchaser shall purchase any work in process and/or Product Materials that Company has purchased exclusively for Purchaser in accordance with this Agreement for the production of the Product in accordance with Forecasts for the immediately proceeding three (3) months and long-lead time items as identified and agreed to in applicable Product Addenda; provided, that Company uses its reasonable commercial efforts to exhaust existing stocks of such Product Materials prior to the date of termination. Purchaser shall pay Company’s direct cost for work in process, and Company’s purchase price from its suppliers for Product Materials.
(b) Any Product quarantined at the time of expiration or termination of this Agreement shall be disposed of or destroyed in accordance with Purchaser’s instructions.
