WARRANTIES AND INSPECTION. The Seller warrants that all goods or work supplied under this Purchase Order shall conform to specifications, drawings, samples or other descriptions contained or referenced and herein shall be merchantable of good quality and workmanship and free from defect. The Seller warrants that all goods covered by this Purchase Order which are the product of the Seller or are in accordance with the Seller's specifications, will be fit and serviceable for the purpose intended. All such goods or work shall be subject to the University's inspection before acceptance and also to later rejection if use reveals defects not apparent upon receipt and if rejected will be held at Seller's risk and expense for storage and other charges. Neither receipt of goods nor payment therefore shall constitute a waiver of this provision.

WARRANTIES AND INSPECTION. Seller expressly warrants: (a) that the Products sold hereunder will conform to contract specifications, drawings, samples, or other descriptions furnished to Xxxxxx by Seller, and will be of good design, material, and workmanship, free from defect, merchantable, and will satisfactorily perform the functions for which intended and fit for their intended use, and will be free and clear of all liens, claims, pledges, charges and encumbrances; and (b) to perform the Work in a good and workmanlike manner, and in accordance with good industry practices. Seller shall furnish all materials, equipment, tools, labor, supervision, supplies, facilities, services and transportation necessary for the successful completion of the Work. Seller shall cooperate, consult, and coordinate with Xxxxxx in the performance of the Work, and shall provide such Work in a timely manner compatible with Xxxxxx's schedule. Seller shall, prior to the start of the Work, provide to Xxxxxx a schedule describing its plan of operation for the Work and all testing and deliverables of Seller hereunder. Said warranties, however, shall not be deemed to limit any warranties or representations of additional scope given to Xxxxxx from Seller or any warranties implied by law. Seller agrees that all of its warranties shall survive acceptance of and payment for the Products and/or Work and shall inure to the benefit of Xxxxxx, and to all subsequent buyers of the Products or users of the Work. Unless otherwise specified, all Products and Work will be subject to final inspection and acceptance at Xxxxxx’s plant. Payment by Xxxxxx prior to final inspection and acceptance shall not constitute acceptance. Xxxxxx may at its option hold rejected Products for Seller’s instructions and at Seller’s risk, or return them to Seller at Seller’s expense. If any Products or Work do not comply with the warranties set forth in this paragraph 2, Xxxxxx xxx, at its sole option, and in each case at Seller’s sole expense: (i) reject such Products or Work; (ii) require Seller to repair or correct such Products or Work as necessary to render them in conformance with the foregoing warranties, and consistent with Xxxxxx’s time schedule; (iii) return such Products or Work and receive a full refund of the contract price; or (iv) make any corrections required to cause such Products or Work to fulfill the foregoing warranties and charge Seller for the costs incurred by Xxxxxx thereby. WARRANTIES AND INSPECTION. Seller expressly warrants that all materials and articles furnished hereunder (hereinafter called “goods”) will conform to applicable specification, drawings and samples, that they will be free from defects in material and workmanship, however shall not be deemed to limit any warranties or representations of additional scope given to Buyer by Seller or any warranties implied by law. The period fixed by law or agreement during which Buyer may assert any claim pursuant to applicable warranties shall commence with the date on which the goods are delivered. WARRANTIES AND INSPECTION. Subcontractor shall, within forty-eight (48) hours after receiving written notice from Contractor to such effect, proceed to take down all portions of the Work, and remove from a Project, Premises and/or building and grounds all materials, whether worked or unworked, which in Contractor’s sole and reasonable judgment are unsound, improper or in any way fail to conform to the Drawings and Specifications, and shall make good, at no cost to Contractor or Owner, all Work and/or any other property damaged or destroyed thereby. Inspection or waiving of inspection by Contractor shall not relieve Subcontractor from its obligations to furnish material and equipment which is in accordance with the Specifications. If requested by Contractor, Subcontractor shall furnish evidence satisfactory to Contractor, including samples, of the quality and source of materials and supplies used in connection with the Work. Subcontractor, for itself and each of its labourers, mechanics, material and equipment suppliers and all other persons acting through or under Subcontractor warrants to Contractor, that the Work shall be performed in a good and workmanlike manner; that all materials and supplies furnished or used in connection with the Work shall be of good quality, new and free from defects and failures. Subcontractor shall remedy, without cost to Contractor, any and all defects and/or failures in the Work, including any/all workmanship or materials (or both) that arise within a period of one (1) year after the Final Payment for each Project hereunder, or for such greater period of time as may be required by the Specifications. The foregoing warranties and guarantees shall be in addition to and not in lieu or in waiver of any other or further warranties or obligations which may be implied by law or which may be provided by any law or regulation of any public authority having jurisdiction thereof.

All services shall be subject to Purdue’s inspection before acceptance, and payment for services rendered shall not constitute a waiver of any of the rights granted to Purdue under this section.
