Who is Responsible for Relocation. The following agencies and individuals have responsibility for the Newtowne Court relocation program: U.S. Department of Housing and Urban Development (HUD) — serves as the federal funding agency for the Project. Cambridge Housing Authority (CHA) — provides the day-to-day management of the Newtowne Court and will act as the Relocation Advisory Agency providing overall coordination of the relocations during construction. Through the use of CHA staff or consultants, CHA will manage the details of the tenant relocations and construction. CHA will secure the necessary contracts to achieve the relocations, will pay for the tenant relocations and assist the tenants during the moves. Relocation Coordination Manager (RCM) — for the purpose of the Newtowne Court Relocation Agreement, CHA will identify a primary point of contact for coordinating the tenant relocations including moves on site, moves off site, and moves back to Newtowne Court after a phase or the entire construction is complete. The RCM will be responsible for the following either directly and/or with assistance from another CHA staff person: • Issue a notice of non-displacement or notice of displacement for residents choosing to move off-site under this plan as applicable. • Serve as the point of contact (liaison) among the tenants, the architect, the general contractor and the other parties involved in the relocation and construction for the Project. As the liaison, the RCM will oversee the general coordination of activities to minimize the impact of the relocation on the tenants. • Maintain the overall schedule for the relocations. As part of this effort, the RCM will coordinate with CHA's Planning and Development Department to monitor the construction schedule and provide timely notice to the tenants of changes in the proposed relocation schedule. • Solicit bids and secure contracts with several moving companies and a cleaning company to ensure a fully coordinated and smooth relocation of the tenants. • Oversee meetings to be conducted to brief the tenants on the relocation plans. At the tenant meeting(s), the RCM will explain the relocation process, outline the schedule and discuss the logistics of the relocation. • Prepare a "relocation package" for the tenants to include the following (after first providing copies to the Relocation Committee and the Tenant Council for review and comment): o A brief description of the relocation process (mover, utilities, etc.). o Contact persons and telephone n...

  • Escrow Agent Not Responsible for Furnished Information The Escrow Agent will have no responsibility for seeking, obtaining, compiling, preparing or determining the accuracy of any information or document, including the representative capacity in which a party purports to act, that the Escrow Agent receives as a condition to a release from escrow or a transfer of escrow securities within escrow under this Agreement.

  • SELLER RESPONSIBLE FOR TAXES AND RECORDS Seller shall be liable for any applicable income taxes, levies, duties, costs, charges, withholdings, deductions or any charges of equivalent effect imposed on, or in respect of the Goods or Services provided by Seller to Apple under this Agreement. Where applicable, Seller will charge Apple sales tax, excise tax, use tax, value added tax ("VAT"), goods and services tax ("GST"), consumption tax, or equivalent type charges (hereinafter "Transaction Taxes") that are owed by Apple solely as a result of the Goods or Services provided by Seller to Apple under this Agreement and which are required or permitted to be collected from Apple by Seller under applicable law. If Apple provides Seller with a valid exemption certificate, Seller shall not collect the Transaction Taxes covered by such certificate. All charges will be supported by valid tax invoices provided by Seller to Apple consistent with the relevant jurisdiction. Where any relevant taxation authority imposes any income tax on the payment for Goods or Services by Apple to Seller and requires Apple to withhold such tax ("Withholding Tax"), Apple may deduct such Withholding Tax from the payment to Seller and remit such Withholding Tax to the relevant taxing authority on behalf of Seller. The determination of the applicability of a Withholding Tax is at Apple’s sole discretion. In the event a reduced Withholding Tax rate may apply on payments to Seller, Seller shall furnish to Apple as soon as practicable all documentation necessary to evidence the qualifications for the reduced rate of Withholding Tax. If the necessary documentation is not provided in a timely fashion before payment, the reduced Withholding Tax rate will not apply and any payments to Seller shall be subject to the full rate of Withholding Tax. Upon reasonable request by Seller, Apple shall furnish Seller with tax receipts or other documentation evidencing the payment of such Withholding Tax when available. Seller shall be solely responsible for filing the appropriate tax forms and paying all taxes or fees, including estimated taxes and employment taxes, due with respect to Seller's receipt of payment under this Agreement. Upon request, Seller shall provide Apple with any other necessary tax documentation. Where applicable, a non-U.S. Seller shall note, on each invoice issued to Apple under this Agreement, the amount of Services performed, or Goods provided by Seller within the United States, if any. Seller further agrees to provide Apple with reasonable assistance in the event of a government audit.

  • Escrow Agent Not Responsible for Genuineness The Escrow Agent will not be responsible or liable in any manner whatever for the sufficiency, correctness, genuineness or validity of any escrow security deposited with it.

  • Non-responsible Contractor The County may debar a Contractor if the Board of Supervisors finds, in its discretion, that the Contractor has done any of the following: (1) violated a term of a contract with the County or a nonprofit corporation created by the County, (2) committed an act or omission which negatively reflects on the Contractor’s quality, fitness or capacity to perform a contract with the County, any other public entity, or a nonprofit corporation created by the County, or engaged in a pattern or practice which negatively reflects on same, (3) committed an act or offense which indicates a lack of business integrity or business honesty, or (4) made or submitted a false claim against the County or any other public entity.

  • General Responsibilities of the Parties 1. The Parties will work together in a spirit of cooperation and partnership, with the responsibilities and accountabilities set out in this Agreement, to implement the Programme Documents in full in a timely, efficient, and effective, manner.

  • Repair Responsibility Builder will repair only cracks exceeding 1/8 inch in width, one time only, during the first year of the Limited Warranty period.

  • Escrow Agent Not Responsible after Release The Escrow Agent will have no responsibility for escrow securities that it has released to a Securityholder or at a Securityholder’s direction according to this Agreement.

  • Responsible Party Merchant will hold itself out as the sole responsible party vis-а-vis End-User Customers in relation to the Merchant Products and/or their functionality, and Merchant will in no manner represent that BlueSnap is a guarantor or responsible party for those products, or otherwise involve BlueSnap in an End User Customer or other third party dispute relating to the transaction, delivery or functionality of a product.

  • PROFESSIONAL RESPONSIBILITY CLAUSE In the interest of safe patient care and safe nursing practice, the parties agree to the following problem solving process to address employee concerns relative to patient care including:

  • Not Responsible SAP and its licensors will not be responsible under this Agreement (i) if the Software is not used in accordance with the Documentation; or (ii) if the defect or liability is caused by Licensee, a Modification or Add-on (other than a Modification or Add-on made by SAP which is provided through SAP Support or under warranty), or third-party software; or (iii) if the Software is used in conjunction with any third party software for which the Licensee lacks sufficient rights from the third party vendor for such use; or (iv) for any Licensee activities not permitted under this Agreement. SAP AND ITS LICENSORS SHALL NOT BE LIABLE FOR ANY CLAIMS OR DAMAGES ARISING FROM INHERENTLY DANGEROUS USE OF THE SOFTWARE AND/OR THIRD-PARTY SOFTWARE LICENSED HEREUNDER.
