Xxxxx Agreements. CONTRACTOR will comply with all federal and state funding contracts under which the COUNTY is a Grantee that apply to the services performed under this AGREEMENT and said grant provisions are a part of this AGREEMENT as if fully set forth herein. CONTRACTOR may request a copy of any pertinent grant agreement.
Xxxxx Agreements. The current Master Agreement (pre-Program Year 2000) established an ongoing grant relationship between DOL and individual States to carry out responsibilities on behalf of the Department authorized under Section 7 (d) of the Xxxxxx-Xxxxxx Act. The agreement will remain effective (administered by the Regional Offices) for purposes of expending prior year funds only. With the transfer of grant officer authority, the ETA National Office has executed new Xxxxxx-Xxxxxx Annual Funding Agreements with each State, to include both base grant and cost reimbursable grant activities for PY 2000 and FY 2001. The Agreement also includes an Assurances and Certifications package to encompass all PY 2000/FY 2001 program activities. Notice of Obligation documents will be issued by the National Office Grant Officer based on Regional Office approval of Annual Plans.
Xxxxx Agreements. The parties acknowledge that the Leased Premises and the Airport are subject to the terms of those certain sponsor's assurances made to guarantee the public use of the Airport as incidental to grant agreements between Lessor and the United States of America as amended, and that this Agreement is subordinate to those obligations.
Xxxxx Agreements. The Xxxxx Agreements attached hereto as Exhibit F are hereby incorporated by reference as part of this Agreement and are an authentic, true and complete copy of the Xxxxx Agreements as executed.
Xxxxx Agreements. This Amendment represents the final agreement of Borrower and Lender with respect to the subject matter hereof, and may not be contradicted, modified or supplemented in any way by evidence of any prior or contemporaneous written or oral agreements of Borrower and Lender.
Xxxxx Agreements. The Seller will exercise reasonable commercial efforts to terminate or cause the termination of the Employment Agreement dated September 26, 1996 between Xxxxxxx X. Xxxxx and MCPC (the "Employment Agreement") and the Restructuring Agreement between OLAC and Xxxxxxx X. Xxxxx dated September 26, 1996 (the "Restructuring Agreement"). If the Seller is unable to cause the termination of the Restructuring Agreement on or before the Closing Date, Seller will indemnify Purchaser and OLAC from all liability, loss, claims, damages and expenses arising out of the Restructuring Agreement. If Seller is unable to cause the termination of the Employment Agreement on or before the Closing Date, Purchaser agrees to cause OLAC to perform its obligations under the Employment Agreement, and Seller will indemnify and hold Purchaser harmless for all salary and incentive payments duly made by Purchaser or OLAC to Xxxxxxx X. Xxxxx in accordance with the terms of the Employment Agreement; provided that Seller will not indemnify and hold Purchaser harmless from (i) any amounts payable under Section 13(v) of the Employment Agreement, except to the extent such amounts are attributable to the October 1, 1997 Process Steam Sales Agreement with G-P Gypsum Corporation; or (ii) any amounts payable under Section 13(vi) of the Employment Agreement on account of any increases in the Plant's consumption of natural gas due to changes in the Plant's capacity or equipment. All payments made by Seller pursuant hereto will be based on annual certificates provided by Purchaser to Seller specifying in detail the computation of the foregoing amounts.
Xxxxx Agreements. The 0000 XXXx and the 2013 PRSUs will otherwise be governed by all provisions of the Omnibus Plan and by separate agreements in the usual form approved by the Committee.
Xxxxx Agreements. This Agreement constitutes and, upon due execution by the Borrower, the other Loan Documents will constitute the legal, valid and binding obligations of the Borrower, enforceable against the Borrower in accordance with their respective terms.
Xxxxx Agreements. Lessor shall lease to Lessee, and Lessee shall lease from Lessor, the Fuji Equipment, Leaseholds and Other Equipment described in the Lease. Each Lease must incorporate the relevant terms and conditions of this Agreement. Notwithstanding termination of this Agreement as permitted herein, each Lease shall continue to remain in full force and effect and subject to and governed by the terms and conditions of such Lease for the term of such Lease.
Xxxxx Agreements. All of the transactions contemplated between ---------------- the Company and Xxxxxx X. Xxxxx in the Agreement for Discharge and Release in the form presented to Parent's counsel as of the date hereof shall have been consummated as contemplated therein. Parent and Merger Sub may waive any condition specified in this (S) 6.1 if it executes a writing so stating at or prior to the Closing and such waiver shall not be considered a waiver of any other provision in this Agreement unless the writing specifically so states.
