Subcontract Arrangements. 8 Any subcontract arrangement entered into by Provider for the delivery of services 9 to individuals shall be in writing and shall bind Provider’s subcontractors to the 10 terms and conditions of this Agreement including, but not limited to, Supplemental 11 Provider Service Guide, terms relating to licensure, insurance, and billing of 12 individuals for services. North Sound BH-ASO will provide ongoing monitoring and 13 oversight to any and all sub-delegation relationships.

Subcontract Arrangements. Any subcontract arrangement entered into by Provider for the delivery of services to clients shall be in writing and shall bind Provider’s subcontractors to the terms and conditions of this Contract including, but not limited to, terms relating to licensure, insurance, and billing of clients for services. GRBH-ASO will provide ongoing monitoring and oversight to any and all subdelegation relationships.
Subcontract Arrangements. Where the Provider is unable to facilitate full delivery of the apprenticeship, The Provider will source and partner with subcontracted companies in order to provide a full service. Funding for all elements of each apprenticeship will be routed through The Provider as the prime provider. This includes any provision required for English and Maths. The Provider will directly deliver some if not all of the apprenticeship training and/or on-programme assessment associated with your apprenticeship programme. By apprenticeship programme we mean the Standard the apprentices are on. The volume of training and/or on-programme assessment that The Provider directly delivers will have substance and will not be a token amount to satisfy ESFA rule. It will not be limited to a brief input at the start of the apprenticeship programme or involve delivery to just a few of a large number of apprentices. Where the Employer asks The Training Provider to use delivery subcontractors The Provider will ensure they satisfy the following criteria: 1.1.1 They are on the published register of apprenticeship training providers and are listed as a main or supporting provider. 1.1.2 They are not on the published register of apprenticeship training providers but will deliver less than £100,000 of apprenticeship training and on-programme assessment under contract across all main providers and employer-providers between 1 May 2017 and 31 March 2018. 1.1.3 Funding for all elements of each apprenticeship will be routed through The Training provider. This includes any provision required for English and Maths. 1.1.4 The Provider will take legal advice about the impact of Public Contracts Regulations 2015 on the recruitment of delivery subcontractors and have this advice available for inspection by the ESFA on request. The provider will have a legally binding contract with each delivery subcontractor. The Provider must obtain an annual report from an external auditor if the apprenticeship contracts with your delivery subcontractors will exceed £100,000 in any one financial year. The report must provide assurance on the arrangements to manage and control delivery subcontractors. The report must comply with any guidance issued by the ESFA. The provider will ensure the subcontractor has suitably qualified staff available to provide apprenticeship training and/or on-programme assessment. Subcontract Arrangements. 7.15.1 The Required Consent to the assignment of the Pending Job described on SCHEDULE 5.13-B as "Greater Cleveland RTA" (the "Cleveland Job") will not be available at Closing. From and after Closing, Seller will subcontract to Buyer, and Buyer will perform, all of Seller's obligations for work required under the contract documents applicable to the Cleveland Job pending such consent, and Seller represents that such contract documents permit such subcontracting arrangement. Upon receipt of the Required Consent for the Cleveland Job reasonably satisfactory to Buyer, the applicable contract documents will be deemed to automatically be assigned to, and assumed by, Buyer pursuant to the Bill xx Sale, Assignment and Assumption Agreement delivered by Seller and Buyer at Closing without the need for further action by the parties. 7.15.2 The assignment of the Pending Job described on SCHEDULE 5.13-B as "City of Phoenix" (the "Phoenix Job") cannot be completed until Buyer obtains the Arizona Class A Contractor license and any Required Consent required by the applicable contract documents. From and after Closing, Seller will subcontract to Buyer, and Buyer will perform, all of Seller's obligations for work required under the contract documents applicable to the Phoenix Job pending receipt of such license and any Required Consent, and Seller represents that such contract documents permit such subcontracting arrangement. Upon receipt of the license for the Phoenix Job and any Required Consent reasonably satisfactory to Buyer, the applicable contract documents will be deemed to automatically be assigned to, and assumed by, Buyer pursuant to the Bill xx Sale, Assignment and Assumption Agreement delivered by Buyer and Seller at Closing without the need for further action by the parties. 7.15.3 All payments or other proceeds from the Cleveland Job and the Phoenix Job and related contract documents that relate to work performed after Closing will be for the account of Buyer, and if Seller receives any such payments or proceeds it will immediately pay them over to Buyer, and pending such payment Seller will hold such payments and proceeds in trust for Buyer's benefit, and Seller will have no right of set off against any such payments or proceeds.

Subcontract Arrangements. Hospital will not enter into any subcontract agreement for the provision of Hospital Services without the prior written consent of Health Plan. Any subcontract agreement entered into by Hospital for the delivery of Hospital Services will be in writing and will bind the subcontractor to the terms and conditions of this Agreement including, but not limited to, licensure, insurance, and billing of Members for Hospital Services.
