Committees. (1) The Supervisory Board shall establish an Executive Committee from its members. The Supervisory Board shall be entitled to set up other committees from among its members as needed, to determine their functions and powers and to adopt rules of procedure for the same. The committees may also be entrusted with core tasks of the Supervisory Board, unless mandatory statutory provisions impose an obli- gation to have these tasks performed by the Supervisory Board as a whole.

Weitere Ausschüsse werden bei Bedarf gebil- det. Ausschüsse bestehen aus mindes- tens drei Mitgliedern des Aufsichts- rats. Es können stellvertretende Aus- schussmitglieder benannt werden, die bei vorübergehender Verhinderung des ordentlichen Ausschussmitglieds die Position des verhinderten Ausschuss- mitglieds für den Zeitraum der Verhin- derung einnehmen. § 10 General Rules 10.1 The Supervisory Board shall establish from amongst its members an Executive Committee (§ 11), a Risk and Audit Com- mittee (§ 12), a Nomination Committee (§ 13), a Remuneration Committee (§14) and an ESG Committee (§ 15). Further committees shall be established if neces- sary. Committees shall consist of at least three members of the Supervisory Board. Deputy members of committees may be appointed; these step into the role of an appointed member of a committee if and as long as a member is temporarily being prevented from performing its duties.
Committees. 17 The work of the Board is supported by various committees. The activities of the committees and of ad-hoc committees are possi- ble any time on the basis of a resolution by the Board or the Ex- ecutive Committee. In its resolution, the Board shall have to regulate what shall be the task, competences, and composition of a specific committee. Final Provisions § 18 Dissolution The General Assembly resolves on the dissolution of the Associ- ation. The liquidation proceeds are to be transferred by the Board to a charitable and tax-exempt association or a charitable and tax-exempt foundation dedicating itself to research and/or the ed- ucation and/or continued training concerning strokes. § 19 Inkrafttreten der Statuten Die vorliegenden Statuten wurden an der Vereinsversammlung vom 25. Mai 2023 in München von den Mitgliedern genehmigt und sofort in Kraft gesetzt. Committees. 5.1 Der Aufsichtsrat bildet aus seiner Mitte einen Personalausschuss, einen Prüfungsausschuss, einen Nominierungsausschuss und einen Nachhaltigkeitsausschuss. Der Aufsichtsrat kann aus seiner Mitte weitere Ausschüsse bilden, wenn der Aufsichtsrat der Ansicht ist, dass ein weiterer Ausschuss der Effizienz der Arbeit des Aufsichtsrats und der Behandlung komplexer Sachverhalte dienen kann. Die Ausschüsse sollen in der Regel eine ungerade Zahl von Mitgliedern haben.
