Jurisdiction and applicable law. German law applies, excluding the UN Sales Convention (CISG). As place of jurisdiction Freiburg i. Br. is agreed. In addition, we are entitled to as- sert our claims at the general place of ju- risdiction of the Supplier. Only the German version of these condi- tions shall be binding.

13.2. The Customer shall only have the right to offset counterclaims if they have been established by a court of law or if we have confirmed them in writing.

If the contractual partner of ledxon GmbH is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction for all disputes arising from contractual relationships is the registered office of ledxon GmbH. Ledxon is nevertheless entitled to bring legal action at the registered office of the contractual partner.
2. This contract remains binding in its remaining parts even if individual provisions are legally invalid. This does not apply if adhering to the contract would represent an unreasonable hardship for one of the parties.

22.2 The contractual relations shall be governed exclusively by the law of the Federal Republic of Germany, excluding conflict of laws provisions and the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980.

Any dispute arising directly or indirectly from the service provided by the Freight Forwarder, and any claim for damages against the Freight Forwarder must be settled exclusively by the competent court of the Freight Forwarder’s registered office as the place of formation and performance of the agreement, without prejudice to the Freight Forwarder’s right to bring, himself, any claim before another court.
12.2. The contract of the Freight Forwarder with the Client is governed by Belgian law, as are the General Conditions.
