Contributing Charges definition

Contributing Charges means all charges, after application of all discounts and credits, incurred by Customer specifically excluding: (a) Taxes; (b) charges for equipment, Optimized Services, and data center services; (c) charges incurred for goods or services where Verizon or its Affiliate acts as agent for Customer in its acquisition of goods or services; (d) non- recurring charges; (e) Governmental Charges; (f) international pass-through access charges (i.e., Type 3/PTT) and charges for international access provided by Verizon (i.e., Type 1); (g) Verizon Wireless charges; (h) Verizon ILEC charges; and (i) other charges expressly excluded by a Contract.
Contributing Charges means all charges, after application of all discounts and credits, incurred by Customer and Customer Purchaser Affiliates, specifically excluding: (a) Taxes, as that term is defined below; (b) charges for equipment and data center services (except as otherwise stated herein); (c) charges incurred for goods or services where Company or its affiliate acts as agent for Customer in its acquisition of goods or services; (d) non-recurring charges; (e) Governmental Charges (defined below); (f) international pass-through access charges (i.e., Type 3/PTT) and charges for international access provided by Company (i.e., Type 1); (g) Company Wireless charges; (h) Company ILEC charges; (i) Document Delivery Fax charges; (j) charges for security services provided by Cybertrust, Inc. or by its affiliates set forth in the Guide as providers of Cybertrust security services; and (k) other charges expressly excluded by the Contract.
Contributing Charges means all charges, after application of all discounts and credits (other than performance/SLA credits), incurred by Customer and its Affiliates for (a) Services provided, ordered and billed in the Contributing Countries Listed below and shortfall and early termination charges related to a specific Service (b) services provided by Company incumbent local service providers even if not provided under the Agreement. Contributing Charges specifically excluding: (i) Taxes; (ii) charges for equipment (unless otherwise expressly stated herein); (iii) charges incurred for goods or services where Company acts as agent for Customer in its acquisition of goods or services; (iv) non-recurring charges; (v) Regulatory Charge, (vi) international pass-through access charges (i.e., Type 3/PTT) and charges for (vii) international access provided by Company include Type 1); and (h) other charges expressly excluded by the Agreement. The “Contributing Countries“ Contributing Countries include, but are not limited to the following: Argentina, Australia, Austria, Belgium, Brazil, Canada, Chile, China, Colombia, Czech Republic, Denmark, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Luxembourg, Malaysia, Mexico, Netherlands, New Zealand, Norway, Panama, Peru, Poland, Portugal, Russian Federation, Singapore, Slovakia, South Korea, Spain, Sweden, Switzerland, Taiwan, United Kingdom, and Venezuela.

Examples of Contributing Charges in a sentence

  • If at the end of the first 4 months of the Initial Term, Customer’s Total Contributing Charges equal to or greater than the levels below, Customer shall receive the corresponding Revenue Achievement Credits.

  • The Achievement Credit will be applied against Contributing Charges for Interstate (Option 2 and Option 3) Services for up to ten (10) billing account numbers to be designated by Customer.

  • Following execution of the Amended and Restated Agreement, Customer shall receive a one-time “Billing Adjustment Credit” in the amount of One Hundred Thousand Dollars ($100,000) to be applied to Customer’s Interstate Service Contributing Charges under the Agreement.

  • If at the end of any Contract Year, Customer’s Contributing Charges are less than the Annual Minimum, then Customer shall be required to pay Verizon: (i) all incurred but unpaid charges and (ii) an underutilization charge equal to the difference between Customer’s Contributing Charges during such Contract Year and the Annual Minimum.

  • Following execution of the Amended and Restated Agreement, Customer shall receive a one-time “Billing Adjustment Credit” in the amount of One Hundred Thousand Dollars ($100,000) to be applied to Customer’s Interstate Service Contributing Charges under the Agreement..


More Definitions of Contributing Charges

Contributing Charges means all charges, after application of all discounts and credits, incurred by Customer for U.S. Services, specifically excluding: (a) Taxes; (b) charges for equipment and data center services (except as otherwise stated herein); (c) charges incurred for goods or services where Company or its affiliates acts as agent for Customer in its acquisition of goods and services; (d) non-recurring charges; (e) Governmental Charges; (f) international pass-through charges (i.e., Type 3/PTT) and charges for international access provided by Company (i.e., Type 1); (g) Company Wireless charges; (h) Company ILEC charges; (i) Document Delivery Fax charges; and (i) other charges expressly excluded by the Agreement. The Total Service Charges for Audio and Video Conferencing will contribute to the AVC.
Contributing Charges means all charges, after application of all discounts and credits, incurred by Customer and Customer Purchaser Affiliates, specifically excluding: (a) Taxes; (b) charges for equipment (unless otherwise expressly stated herein); (c) charges incurred for goods or services where Company acts as agent for Customer in its acquisition of goods or services; (d) non-recurring charges; (e) Governmental Charges; (f) international pass-through access charges (i.e., Type 3/PTT) (g) Company Wireless charges, (h) Company ILEC charges, (i) Document Delivery Fax charges, (j) charges for security services provided by Cybertrust, Inc. or by its affiliates set for in the Guide, and (k) other charges expressly excluded by the Agreement.
Contributing Charges means all charges, after application of all discounts and credits (other than performances/SLA credits), incurred by Customer and its Affiliates for Services and related shortfall and early termination charges. Provided Company can obtain, through reasonable efforts (or as identified by Customer), the applicable billing records, Contributing Charges should also include charges for services provided by Company (or its Affiliates) I the following countries under other Company agreements (i.e., outside of the Agreement) (“Foreign Billed Service(s) Usage Charges”): Australia, Austria, Belgium, Canada, China, Czech Republic, Denmark, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Luxembourg, Netherlands, New Zealand, Norway, Poland, Portugal, Russian Federation, Singapore, South Africa, South Korea, Spain, Sweden, Switzerland, Taiwan, United Kingdom (the Parties understand Company’s ability to obtain billing records at a point time does not guarantee Company’s ability to do so in the future). For purposes of adding the Foreign Billed Service(s) Usage Charges to the Contributing Charges, Company will convert the Foreign Billed Service(s) Usage Charges from the applicable local currency to US Dollars using the monthly average foreign currency exchange rate from Bloomberg for the month in which the Foreign Billed Service(s) were rendered. Notwithstanding any other provision in the Agreement to the contrary, Foreign Billed Service(s) Usage Charges will not contribute to the calculation of Customer’s attainment of revenue or achievement tiers for purposes of determining tiered discounts or credits.

Contributing Charges specifically exclude: (a) Taxes; (b) Regulatory Charges (c) Rates and Charges; (c) charges incurred for goods and services where Company acts as agent for Customer or a Customer Affiliate in the acquisition of goods or services from a third party that is not affiliated with Company; (d) charges for equipment or equipment maintenance purchased, leased or rented from Company; (e) non-recurring charges; (f) charges for services provided by a Company Affiliate Incumbent Local Exchange Carrier pursuant to a separate agreement with Customer or by Tariff; (g) charges for services provided by Company Wireless pursuant to a separate agreement for such services; (h) charges for Document Delivery Fax service; (i) charges for international access that is passed-through (Type 3/PTT) or provided by Company (Type 1); (j) charges for security services provided by a Cybertrust Security Service Provider listed in the Guide; and (k) other charges expressly excluded in this Agreement.
Contributing Charges means all charges, after application of all discounts and credits, for Services provided under the Agreement, excluding: Taxes, Governmental Charges, charges for equipment (unless otherwise expressly stated herein), FiOS Internet, FiOS TV, Document Delivery Fax, goods and services acquired by Company as Customer’s agent, international access that is passed-through (Type 3/PTT) or provided by Company (Type 1); non-recurring charges (e.g., installation, expedite and de-installation charges); and other charges expressly excluded by the Agreement.
Contributing Charges means all charges, including those of Company Wireless and Company Cloud Entity services, after application of all discounts and credits, incurred by Customer for Services provided under this Agreement, specifically excluding: (i) Taxes; (ii) charges for equipment (unless otherwise expressly stated herein); (iii) charges incurred for goods or services where Company acts as agent for Customer in its acquisition of goods or services; (iv) non-recurring charges (e.g. installation, expedite or de-installation charges; (v) Governmental Charges; (vi) international pass-through access charges (i.e., Type 3/PTT) and charges for international access provided by Company, (vii) charges for Company ILEC services, and (viii) other charges expressly excluded by this Agreement. International Contribution: In addition, Total Service Charges for Verizon International Services invoiced from the following countries ("Foreign Billed Service(s) Usage Charges") shall contribute to the AVC: Argentina, Australia, Austria, Belgium, Brazil, Canada, China, Chile, Colombia, Czech Republic, Denmark, Finland, France, Germany, Greece, Hong Kong, Hungary, India, Ireland, Italy, Japan, Luxembourg, Malaysia, Mexico, Netherlands, New Zealand, Norway, Panama, Peru, Poland, Portugal, Russian Federation, Singapore, Slovakia, South Korea, Spain, Sweden, Switzerland, Taiwan, United Kingdom and Venezuela. The contributory countries are subject to change by Verizon at any time. For purposes of determining the contribution of Foreign Billed Service(s) Usage Charges towards Customer's AVC, Verizon will convert the Foreign Billed Service(s) Usage Charges from the applicable local currency to US dollars using an average monthly foreign currency exchange rate applied to the Foreign Billed Service(s) Usage Charges invoice in the corresponding month.
