Covered Third Party definition

Covered Third Party means a user or customer of a Bound Entity, an Authorized Manufacturer 84 (but only with regard to devices actually manufactured for a Bound Entity), an Authorized 85 Subcontractor (but only with regard to services provided directly to a Bound Entity), or any entity 86 to which such Bound Entity owes an obligation to indemnify such entity from and against claims 87 of infringement by Working Group Permitted Uses or Public Permitted Uses.
Covered Third Party means any individual or entity that uses or receives Covered Information obtained by or on behalf of Respondent outside of a User-initiated transfer of Covered Information as part of a data portability protocol or standard, other than: (1) a service provider of Respondent that (i) uses the Covered Information for and at the direction of Respondent and no other individual or entity and for no other purpose; and (ii) does not disclose the Covered Information, or any individually identifiable information derived from such Covered Information, except for, and at the direction of, Respondent, for the purpose of providing services requested by a User and for no other purpose; or (2) any entity that uses the Covered Information only as reasonably necessary: (i) to comply with applicable law, regulation, or legal process, or
Covered Third Party means any non-employee Person, as defined herein, that performs services involving the enrollment and de-enrollment of Lifeline consumers, or any duties that relate to the Lifeline eligibility and de-enrollment rules, pursuant to a contractual relationship or agreement with Cintex Wireless, including any person performing work related to the Lifeline Rules on behalf of Cintex Wireless.

Covered Third Party means any third party (other than an Indemnified Party or a Selling Party) having claims (i) against any of the Selling Parties as of the Measurement Date (including, without limitation, the GB Parties with respect to the GB Claims), (ii) as a result of any breach of any of the Selling Parties of their respective covenants or agreements under this Agreement other than the covenants and agreements under this ARTICLE XII or (iii) as a GB Party against Buyer in respect of the GB Claims. For the avoidance of doubt, any counterparty to any Contract entered into (x) by Buyer and its Affiliates or any other Indemnified Party after the date hereof or (y) by ACE Lo after the Closing Date is not a “Covered Third Party” with respect to claims arising out of such Contract.
