Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to the Eligible User as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by the Eligible User. This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to DTS as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by DTS. This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables is defined in Section 3.15 of the Master Services Agreement.
Examples of Custom Deliverables in a sentence
If the Goods and Custom Deliverables delivered do not conform to the specifications identified in this Contract and Solicitation (“Defects”), the Eligible User shall within thirty (30) calendar days of the delivery date (“Acceptance Period”) notify Contractor in writing of the Defects.
Contractor shall grant to the Eligible User a perpetual, irrevocable, royalty-free license to use Contractor’s Background IP as defined above, solely for the Eligible User to use the Custom Deliverables.
The Services shall be completed and Goods and Custom Deliverables delivered by any applicable deadline stated in this Contract.
All intellectual property rights, title and interest in the Custom Deliverables shall transfer to the Eligible User, subject to the following: Contractor has received payment for the Custom Deliverables, Each party will retain all rights to Background IP, even if embedded in the Custom Deliverables.
Contractor conveys the ownership in Custom Deliverables as defined in this Attachment A to the Eligible User.

Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to the Utah Schools for the Deaf and the Blind as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by the Utah Schools for the Deaf and the Blind. Custom Deliverables means Custom Integration Code and design documents, training materials, business process flows, software testing plans and other deliverables that are identified in a SOW and are created as part of the Services on a custom basis specifically and solely for Client, and that are delivered to Client by Company in accordance with this Agreement. Client may not seek, and it must prohibit its employees and other persons from seeking, Intellectual Property Rights protection for Company IP. Client and its employees have no right to disclose or use the Intellectual Property Rights of Customer for any purpose whatsoever, except in accordance with this Agreement.
