Disengagement Assistance definition

Disengagement Assistance has the meaning given in Section 11.1.
Disengagement Assistance means, collectively, the Functions that Health Net requests from Supplier or that are otherwise required to enable an orderly transfer of Services from Supplier to Health Net or its designees without interruption or adverse effect to Health Net in connection with the cessation of any Services, or the expiration or earlier termination (for any reason) of this Agreement, in whole or in part, including the Functions described in Section 16.5 and Schedule L (Disengagement Assistance).

Examples of Disengagement Assistance in a sentence

  • The provision of Disengagement Assistance by State Street shall be subject to (a) any restrictions or limitations imposed by applicable State Street Laws or (b) other measures reasonably necessary to protect the Intellectual Property or Confidential Information of State Street (including that of its customers).

  • In the event of a dispute between the Parties, State Street will continue to so perform its obligations under the Service Modules in good faith during the resolution of such dispute unless and until such Service Modules are terminated in accordance with the provisions hereof (or after the expiration of any applicable Disengagement Assistance, if later).

More Definitions of Disengagement Assistance

Disengagement Assistance means the reasonable assistance provided by Seller to facilitate the orderly transfer of the Services to Buyer or its designee.
Disengagement Assistance means the assistance with Disengagement that WNS must provide to BA (or to a Designee) during the Disengagement Period more particularly described in Clause 14.6 and the relevant Disengagement Plan; DISENGAGEMENT PERIOD means the period during which Disengagement occurs, commencing on the date on which a termination notice is given by either party pursuant to this Agreement or, where a Service is to expire, 3 months prior to that expiration, and continues until the activities specified in the Disengagement Plan are completed;
Disengagement Assistance means, collectively, the Functions that Health Net requests from Supplier to enable an orderly transfer of Services from Supplier to Health Net or its designees without interruption or adverse effect to Health Net in connection with the reduction or cessation of any Services (in whole or in part), or the expiration or earlier termination (for any reason) of this Agreement (in whole or in part) or any SOW (in whole or in part), including (i) the Functions described in Section 16.5 (Disengagement Assistance) and Schedule L (Disengagement Assistance), and (ii) as requested by Health Net, any or all of the Affected Services provided by Supplier prior to the effective date of reduction, cessation, termination or expiration of the Affected Services, which for clarity Health Net may require Supplier to perform after expiration or termination of the Agreement with respect to such Affected Services.
Disengagement Assistance has the meaning set forth in Section 12.6.1 of the Master Services Agreement.
Disengagement Assistance means the Disengagement Services and the other services and other activities specified in clause 13.7 (Disengagement).
Disengagement Assistance has the meaning set out in Clause 1.1 of the Schedule F (Disengagement Assistance). 1.46. Disengagement Assistance Manager has the meaning set out in Clause 1.8.1 of the Schedule F (Disengagement Assistance). 1.47. Disengagement Assistance Period means the period commencing 6 (six) months prior to expiration of this Agreement, or commencing on any notice of termination and continuing through the effective date of expiration (as it may be extended in terms of the Main Agreement) or, if applicable, through the effective date of termination (as such effective date may be extended in terms of the Agreement) and ending up to 12 (twelve) months after such date as is necessary to successfully complete Disengagement Assistance. 1.48. Disengagement Assistance Plan means the disengagement assistance plan(s) to be developed in accordance with Schedule F (Disengagement Assistance). 1.49. Effective Date has the meaning set out in the preamble of the Main Agreement. 1.50. Event means a discrete and separate activity that comprises any part of the Deliverables regardless of the duration and number of visits to a SARS Site. 1.51. Enhanced Maintenance means a type of Scheduled Maintenance, performed at a SARS Site, in accordance with the Enhanced Maintenance Checklist found in Appendix B-9 (Maintenance Checklists). 1.52. Error Control has the meaning set out in Clause 12.4 of Schedule B (SOW). 1.53. Essential Maintenance means a type of Scheduled Maintenance, performed at a SARS Site, in accordance with the Essential Maintenance Checklist found in Appendix B-9 (Maintenance Checklists). 1.54. Essential Terms has the meaning set out in Clause 5.3 of the Main Agreement.
Disengagement Assistance means, collectively, the additional Functions (i.e., in addition to the continued performance of the Services) that IBM is required to carry out in connection with the cessation of any Services or the expiration or earlier termination (for any reason) of the Agreement, in whole or in part, to facilitate the orderly wind-down or, as applicable, migration of the affected Services from IBM’s operating environment(s) to the replacement operating environment(s) of Solectron and/or its designee(s), as directed by Solectron as necessary to permit Solectron and/or its designee(s) to assume and take over the performance of the Functions or to perform services similar to the terminated Services.
