Exit Management Services definition

Exit Management Services means the services rendered by the Contractor on expiration or the termination of the Agreement as more fully described in clause 24.1;
Exit Management Services the services and activities to be performed by the Service Provider: pursuant to (i) (Exit Management); and (ii) the Specification; and any other services required pursuant to the Termination Assistance Notice.
Exit Management Services means the obligations and services set out in Schedule L (Exit Management) and in any Exit Management Plan to be performed by the Contractor in support of any transition of the Services from the Contractor to the Client and/or to the Replacement Contractor(s);

Examples of Exit Management Services in a sentence

  • The Purchaser shall have the right to terminate its requirement for Exit Management Services by serving not less than twenty (20) Working Days' written notice upon the Service Provider to such effect.

  • Without prejudice to the Service Provider’s obligations under paragraph 4.3.3, if it is not possible for the Service Provider to reallocate resources to provide such assistance as is referred to in paragraph 4.3.2 without additional costs to the Purchaser, any additional costs incurred by the Service Provider in providing such reasonable assistance which is not already in the scope of the Exit Management Services or the Exit Plan shall be subject to the Change Control Procedure.

  • The Purchaser shall be entitled to require the provision of Exit Management Services at any time during the Term by giving written notice to the Service Provider following the service of a Termination Notice, or at the same time as serving a Termination Notice (a “Termination Assistance Notice”).

  • If the Service Provider demonstrates to the Purchaser's reasonable satisfaction that transition of the Services and provision of the Exit Management Services during the Termination Assistance Period will have a material, unavoidable adverse effect on the Service Provider's ability to meet one or more particular Service Level(s), the Parties shall by mutual agreement vary the relevant Service Level(s) and/or the applicable Service Credits to take account of such adverse effect.

  • Until the agreement of the final form of the Exit Plan, the Service Provider shall provide the Exit Management Services in accordance with the principles set out in this Schedule and the last approved version of the Exit Plan (insofar as relevant).

  • The Key Individuals must not be released from providing the Services without the approval of the Purchaser (including when carrying out the Exit Management Services), except by reason of long-term sickness, maternity, paternity, adoption or parental leave, termination of employment or equivalent extenuating circumstances.

  • For the purpose of calculating the costs of providing the Exit Management Services for inclusion in the Exit Plan or, if no Exit Plan has been agreed, the costs of providing Exit Management Services shall be determined in accordance with the Change Control Procedure.

  • If the scope or timing of the Exit Management Services is changed and this results in a change to the Exit Management Service Charges, the estimate may be varied in accordance with the Change Control Procedure.

  • The Termination Assistance Notice shall specify: the date from which Exit Management Services are required; the nature of the Exit Management Services required; and the period during which it is anticipated that Exit Management Services will be required, which shall continue no longer than twenty four (24) months after the date that the Service Provider ceases to provide the Services.

  • During the Termination Assistance Period (or for such shorter period as the Purchaser may require the Service Provider to provide the Exit Management Services), the Purchaser shall pay the Exit Management Service Charges to the Service Provider in respect of the Exit Management Services in accordance with the rates set out in the Exit Plan (but shall not be required to pay costs in excess of the estimate set out in the Exit Plan).

Related to Exit Management Services

  • Case management services means planned referral, linkage, monitoring and support, and advocacy provided in partnership with a consumer to assist that consumer with self sufficiency and community tenure and take place in the individual’s home, in the community, or in the facility, in accordance with a service plan developed with and approved by the consumer and qualified staff.

  • Investment Management Services means any services which involve: (i) the management of an investment account or Fund (or portions thereof or a group of investment accounts or Funds); (ii) the giving of advice with respect to the investment and/or reinvestment of assets or funds (or any group of assets or funds); or (iii) otherwise acting as an “investment adviser” within the meaning of the Investment Advisers Act of 1940, as amended, including, without limitation, in each of the foregoing cases, performing activities related or incidental thereto.

  • Procurement Services shall refer to a business unit of OGS, formerly known as New York State Procurement (“NYSPro”) and Procurement Services Group (“PSG”).

  • Management Services means the services specified in sub-clauses 3.1 to 3.8 as indicated affirmatively in Boxes 5 to 12.

  • Management Services Agreements means, collectively, (i) the Management Services Agreement, dated as of August 4, 2020, by and between Peabody Investments Corp. and each of the Client Companies listed on the signature page thereto and (ii) the Management Services Agreement, dated as August 4, 2020, by and between Peabody Energy Australia Pty Ltd and each of the Client Companies listed on the signature page thereto, in each case, as amended, modified or replaced from time to time so long as the amended, modified or new arrangements, taken as a whole at the time such arrangements are entered into, are not materially less favorable to the Main Issuer and its Subsidiaries than those in effect on the Issue Date.

  • Outpatient services means those services rendered in a practitioner’s office or in the department of an approved facility where services are rendered to persons who have not had an overnight stay and are not charged for room and board.

  • Administration Services means the services required for the effective and efficient administration of Bonitas and includes, but are not necessarily limited to, member record management, contribution management, benefit option management, claims processing and management, management of members’ personal, claims and financial information and any other services that are required for the administration of Bonitas;

  • Outplacement Services means professional outplacement services determined by the Employer to be suitable to the Executive’s position. The maximum amount that the Employer will pay for such services is set forth on the first page of the Agreement. The outplacement services shall be made available until the earlier of (i) such time as the aggregate cost to the Employer of the outplacement services reaches the maximum amount specified on the first page of the Agreement, and (iii) the date on which the Executive obtains another full-time job. The Employer will not pay the Executive cash in lieu of professional outplacement services.

  • Employment Services means "employment services" as defined in OAR 411-345-0020.

  • Procurement Management means the Director of Lee County’s Procurement Management Department or designee.

  • Supported employment services means provision of job training and supervision available to assist an individual who needs intensive ongoing support to choose, get, and keep a job in a community business setting. Supported employment is a service planned in partnership with public vocational assistance agencies and school districts and through Social Security Work Incentives when available.

  • Replacement Service Provider means any third party service provider appointed to perform the Services by the Purchaser from time to time.

  • IT Services any services relating to the IT Systems or to any other aspect of the Company's or any of the Subsidiaries' data processing or data transfer requirements, including facilities management, bureau services, hardware maintenance, software development or support, consultancy, source code deposit, recovery and network services;

  • Utilization management section means “you or your authorized representative.” Your representative will also receive all notices and benefit determinations.

  • Employment services organization means an organization that provides community-based employment services to individuals with disabilities that is an approved Commission on Accreditation of Rehabilitation Facilities (CARF) accredited vendor of the Department of Aging and Rehabilitative Services.
