Any inconsistency or ambiguity in this Grant Agreement shall be resolved by giving precedence in the following order: (1) requirements imposed by applicable federal or State law; (2) this Grant Agreement; (3) exhibits prepared by IOCS; (4) Grant Award Letter; (5) Invitation to Apply for Grant; (6) the Grant Application; and (7) exhibits prepared by Grantee.
The purpose of this Grant Agreement is to enable IOCS to award a grant, in an amount to be determined by IOCS and specified in a Grant Award Letter that is hereby incorporated fully by reference, to the Grantee for eligible costs of the services or project (the “Project”) described in the Grant Application (Exhibit A) and Project Terms and Conditions (Exhibit B), which are attached to this Grant Agreement and also incorporated fully by reference.
The Grant Recipient represents and undertakes (and must repeat such representations on delivery of its periodic reports as required in the Grant Award Letter): that the reports and information it gives pursuant to this condition 7 are accurate; and that it has diligently made full and proper enquiry of the matter pertaining to the reports and information given.
The State may also terminate this Grant Award Letter at any time if the State has determined, in its sole discretion, that Grantee has ceased performing the Work without intent to resume performance, prior to the completion of the Work.
By accepting the Grant Funds provided under this Grant Award Letter, ▇▇▇▇▇▇▇ agrees to comply with the terms and conditions of this Grant Award Letter and requirements and provisions of all Exhibits to this Grant Award Letter.
