Ineligible Employee definition
Ineligible Employee means an Employee who, as of an Offering Commencement Date:
Ineligible Employee means an Employee who is not eligible to participate in this Plan.
Ineligible Employee means any Full-Time Equivalent Employees which exceed in the aggregate ten percent (10%) of the total Annual Period Eligible Employees for such Annual Period. Lessee shall mean ▇▇▇▇▇ Realty LLC, a limited liability company organized and existing under the laws of the State of New York, and its permitted successors and assigns pursuant to Sections 6.1 or 9.3 hereof. Lessee’s Property shall have the meaning specified in Section 4.1(c) hereof. Liens shall have the meaning specified in Section 6.5(a) hereof. Loss Event shall have the meaning specified in Section 5.1(a) hereof. Mortgagee shall have the meaning ascribed to such term in the Recitals. Net Proceeds shall mean, when used with respect to any insurance proceeds or condemnation award, compensation or damages, the gross amount of any such proceeds, award, compensation or damages less all expenses (including reasonable attorneys’ fees and any ordinary and reasonable expenses of the Agency, or the Mortgagee) incurred in the collection thereof. Non-Relocation Reduction shall mean any Base Employment Reduction in an Annual Period for any reason other than a Relocation Reduction. Opinion of Counsel shall mean a written opinion of counsel for the Lessee who shall be reasonably acceptable to the Agency. Permanent Subordinate Loan shall have the meaning ascribed to such term in the Recitals. Permanent Subordinate Loan Note shall have the meaning ascribed to such term in the Recitals. Permanent Subordinate Mortgage shall have the meaning ascribed to such term in the Recitals. Permanent Subordinate Mortgagee shall have the meaning ascribed to such term in the Recitals. Any severance or other payments paid to such Ineligible Employee in connection with such termination shall be paid by the Company prior to the Closing or, if unpaid, deemed to be a Third Party Expense of the Company.

Nothing within this Subsection shall prohibit the Purchaser from terminating any Transferred Employee for cause in accordance with WARN and its implementing regulations or revoking an offer of employment to, or terminating, an Ineligible Employee in accordance with Section 7.8(b).

Ineligible Employee means an Employee who is not eligible to participate in this Plan because the Employee is no longer a member of the collective bargaining unit under which the Plan is maintained.
Ineligible Employee means an Employee who is not eligible to participate in this Plan because the Employee (a) is a Leased Employee, (b) is employed by an Affiliated Company that is not a Participating Employer, or (c) is or becomes included in a legally recognized collective bargaining unit of employees, unless the applicable collective bargaining agreement between representatives of such unit and the Participating Employer specifically provides for participation in this Plan, and if there is evidence that retirement benefits were the subject of good faith bargaining between those employee representatives and the Participating Employer.
