Licensee shall defend, indemnify and hold harmless Black Duck Software (and any of its parents, subsidiaries, affiliates, directors, officers, employees, agents, suppliers and licensors (and their respective directors, officers, employees, and agents)) from and against all claims, liability, and expenses, including attorneys' fees and legal fees and costs, arising out of: (a) Licensee Content; (b) Licensee Taxes: (c) Licensee’s use of the CBT in breach of any provision of this CBT Agreement.
The Licensee represents and warrants on an on-going basis that the Licensee has the right and ability to provide Totalmobile with the Licensee Content provided to Totalmobile during the course of this Agreement and that no Licensee Content infringes any Intellectual Property Right of a third party, violates applicable laws and regulations including, not limited to, data protection laws and laws relating to breach of confidence, or is in breach of the AUP.
Licensor may, but has no obligation to, remove Licensee Content and Accounts containing Licensee Content that Licensor determines in its sole discretion is/are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property, these Terms and Conditions, or applicable law (in addition to all rights of Licensor).
Alteryx maintains policies and procedures to prevent the unauthorized disclosure or use of Licensee Content and ensures that Alteryx personnel attest to such policies and procedures upon hire and annually thereafter.
Alteryx ensures proper user authentication for all of its personnel with access to Licensee Content, including by: assigning each employee unique access credentials for the system on which Licensee Content may be accessed and prohibiting employees from sharing their access credentials; and using access control lists and firewall rules.
