Mortgage Support Documents definition

Mortgage Support Documents means the following, all in form and substance satisfactory to the Administrative Agent: (a) fully paid American Land Title Association Lender’s Extended Coverage title insurance policies, with endorsements and in amounts acceptable to the Administrative Agent, issued, coinsured and reinsured by title insurers reasonably acceptable to the Administrative Agent, (b) American Land Title Association as-built surveys from surveyors reasonably acceptable to the Administrative Agent, (c) flood hazard certificates, evidence of flood and/or earthquake insurance and other flood and/or earthquake-related information as reasonably requested by the Administrative Agent, (d) appraisals of the applicable Real Estate from appraisers reasonably acceptable to the Administrative Agent, (e) engineering, soils, environmental reports/reviews and other reports of the applicable real property from professional firms reasonably acceptable to the Administrative Agent, including Phase I and, if recommended by such firm following a Phase I, Phase II environmental site assessments, (f) favorable opinions of counsel to the Loan Parties for each jurisdiction in which the applicable real property is located, and (g) such other certificates, documents and information as reasonably requested by the Administrative Agent.
Mortgage Support Documents means the following, all as requested by the Agent and Required Lenders and in form and substance reasonably satisfactory to the Required Lenders: (a) fully paid American Land Title Association Lender’s Extended Coverage title insurance policies, with endorsements and in amounts reasonably acceptable to the Required Lenders, issued, coinsured and reinsured by title insurers reasonably acceptable to the Required Lenders, (b) American Land Title Association as-built surveys from surveyors reasonably acceptable to the Required Lenders, (c) flood hazard certificates, evidence of flood and/or earthquake insurance and other flood and/or earthquake-related information as reasonably requested by the Required Lenders, (d) favorable opinions of counsel to the Loan Parties for each jurisdiction in which a Mortgaged Property is located, and (e) such other certificates and documents (including, if applicable, SNDAs) as may be reasonably requested by the Agent and Required Lenders.
Mortgage Support Documents means for each Mortgaged Property (i) the Title Policy pertaining thereto, (ii) as-built surveys, phase I environmental assessments, flood hazard certifications and appraisals prepared by recognized experts in their respective fields selected by the Borrower and reasonably acceptable to the Agent and containing results satisfactory to the Agent, (iii) as to Mortgaged Property located in a flood hazard area, such flood hazard insurance as the Agent may require, (iv) as to leasehold interests, such lessor estoppel, waiver and consent certificates as the Agent may reasonably require, (v) with respect to facilities leased or subleased to third parties, such lessees' estoppel, waiver and consent certificates and subordination, nondisturbance and attornment agreements as the Agent may reasonably require, (vi) such owner's or lessee's affidavits as the Agent may require, (vii) such opinions of local counsel with respect to the Mortgages or leasehold mortgages, as applicable, as the Agent may require, and (viii) such other documentation as the Agent may reasonably require, in each case as shall be in form and substance reasonably acceptable to the Agent.

Mortgage Support Documents means, with respect to any real property subject to (or required to be subject to) a Mortgage, the deliveries and documents described on Annex B.
Mortgage Support Documents. “PP&E,” “PP&E Adjusted Amount,” “PP&E Formula Amount,” “PP&E Inclusion Date,” “PP&E Inclusion Conditions,” “PP&E Inclusion Period” and “Title Policy”.
Mortgage Support Documents means for each Mortgaged Property (i) the Title Policy pertaining thereto, (ii) as-built surveys, Phase I environmental assessments, flood hazard certifications and appraisals prepared by recognized experts in their respective fields selected by the Borrowers (or, in the case of the appraisals, the Agent) and reasonably acceptable to the Agent (or, in the case of the appraisals, the Borrower) and containing results satisfactory to the Agent in the Agent's Commercial Judgment, (iii) as to Mortgaged Property located in a flood hazard area, such flood hazard insurance as the Agent may require, (iv) with respect to facilities leased or subleased to third parties, such lessees' estoppel, waiver and consent certificates and subordination, nondisturbance and attornment agreements as the Agent may reasonably require, (v) such owner's or lessee's affidavits as the Agent may require in the Agent's Commercial Judgment, (vi) such opinions of local counsel with respect to the Mortgages as the Agent may require, and (viii) such other documentation as the Agent may reasonably require, in each case as shall be in form and substance reasonably acceptable to the Agent.
Mortgage Support Documents for each Mortgaged Property with respect to any Real Estate owned by a Borrower and subject to a Mortgage, the following, in form and substance satisfactory to Agent and received by Agent for review at least 15 days prior to the effective date of the Mortgage: (a) a mortgagee title policy (or binder therefor) covering Agent’s interest under the Mortgage (except where Agent determines such document is not necessary), in a form and amount and by an insurer acceptable to Agent, which must be fully paid on such effective date; (b) such assignments of leases, owner’s or lessee’s affidavits, estoppel letters, attornment agreements, consents, waivers and releases as Agent may require with respect to other Persons having an interest in the Real Estate; (c) a current, as-built survey of the Real Estate, containing a metes-and-bounds property description and flood plain certification, and certified by a licensed surveyor acceptable to Agent; (d) flood insurance in an amount, with endorsements and by an insurer acceptable to Agent, if the Real Estate is within a flood plain; (e) a current fair market appraisal of the Real Estate, prepared by an appraiser selected by Agent and reasonably acceptable to Borrowers, and in form and substance reasonably satisfactory to Agent; (f) an environmental assessment, prepared by environmental engineers acceptable to Agent, and accompanied by such reports, certificates, studies or data as Agent may reasonably require; (g) such opinions of local counsel with respect to the Mortgages as Agent may reasonably require, and (h) an Environmental Agreement and such other documents, instruments or agreements as Agent may reasonably require with respect to any environmental risks regarding the Real Estate. Multiemployer Plan: any employee benefit plan of the type described in Section 4001(a)(3) of ERISA, to which any Obligor or ERISA Affiliate makes or is obligated to make contributions, or during the preceding five plan years, has made or been obligated to make contributions.

Mortgage Support Documents means, with respect to any real property subject to (or required to be subject to) a Mortgage, the deliveries and documents described on Annex B. “Multiemployer Plan” has the meaning set forth in Section 1.1 of the Existing Credit Agreement. “NDA” has the meaning set forth in Section 6.48(ii). “Necessary Costs and Expenses” means costs and expenses that cannot be deferred or reduced without material negative impact to a Loan Party’s or its Subsidiaries’ performance, value, or saleability. “Net Cash Proceeds” has the meaning set forth in Section 1.1 of the Existing Credit Agreement. “Non-Consenting Lender” means any Super Priority Lender that does not approve any consent, waiver or amendment that (a) requires the approval of all Super Priority Lenders or all affected Super Priority Lenders in accordance with the terms of Section 10.1 and (b) has been approved by the Required Super Priority Lenders. “Non-Defaulting Lender” means, at any time, a Super Priority Lender that is not a Defaulting Lender at such time. “Non-Guarantor Subsidiary” means any Subsidiary of Parent that is not a Loan Party. “Note” means a promissory note made by the Borrower in favor of a Super Priority Lender evidencing the Loans of such Super Priority Lender, substantially in the form of Exhibit B. “Obligations” means all advances to, and debts, liabilities, obligations, covenants and duties of, any Loan Party arising under any Super Priority Loan Document or with respect to any Loan, in each case whether direct or indirect (including those acquired by assumption), absolute or contingent, due or to become due, now existing or hereafter arising and including interest and fees that accrue after the commencement by or against 12 502181848 v5 1205867.00001
