Noncompete Term definition

Noncompete Term has the meaning set forth in Section 9.1(a).

Noncompete Term means that period of time commencing on the Distribution Date and ending on the 5 year anniversary of the Distribution Date.

Noncompete Term means the period commencing on the Effective Date and ending one (1) year following the Executive's voluntary termination of employment. In the event of Executive's involuntary termination without Cause, including termination due to Good Reason, the Noncompete Term (and therefore the restrictions of Section 4.1) shall not apply to Executive unless the Company elects (pursuant to a writing delivered to Executive on or before the date of such termination) to compensate the Executive in accordance with the salary payment terms of this Agreement through December 31, 2005.

Examples of Noncompete Term in a sentence

• Employee shall notify Employer promptly in writing if Employee receives an offer of a Competitive Position during the Noncompete Term, and such notice shall describe all material terms of such offer.

• The Noncompete Term shall be extended by the length of any period during which Employee is in breach of the terms of Section 4.1.

• Executive shall notify the Employer promptly in writing if Executive receives an offer of a Competitive Position during the Noncompete Term, and such notice shall describe all material terms of such offer.

• During the Noncompete Term, no Restricted Person shall, directly or indirectly, without the prior written consent of the Managing Member, induce or attempt to persuade any employee of the Company to terminate his or her employment relationship with the Company.

• During the Noncompete Term, no Restricted Person shall, directly or indirectly, acquire or create any existing or future business in any new product or service related to the Company Business (as determined by the Managing Member), in the United States other than through the Company.

Noncompete Term means the later of the three year period after the Closing Date or, with respect to each Stockholder, the three year period after the termination of such Stockholder's employment with XXXX pursuant to an employment agreement referred to in section 7.9.

Noncompete Term means the period of one year after the termination of Executive’s employment hereunder. The parties agree that ownership of no more than 1% of the outstanding voting stock of a publicly traded corporation or other entity shall not constitute a violation of this provision. The parties intend that the covenants contained in this section shall be construed as a series of separate covenants, one for each county, city, state and other political subdivision of the Restricted Territory. Except for geographic coverage, each such separate covenant shall be deemed identical in terms to the covenant contained in this section. If, in any judicial proceeding, a court shall refuse to enforce any of the separate covenants (or any part thereof) deemed included in this section, then such unenforceable covenant (or such part) shall be deemed eliminated from this Agreement for the purpose of those proceedings to the extent necessary to permit the remaining separate covenants (or portions thereof) to be enforced by such court. It is the intent of the parties that the covenants set forth herein be enforced to the maximum degree permitted by applicable law.

Noncompete Term means the period (i) during the Term and any renewal term hereof, plus (ii) for so long as the Company elects to pay Executive $12,500 per month (net of any required withholdings) by the fifth day of each month, an additional period of up to two (2) years after the expiration or earlier termination of the Term or any renewal term. For the sake of clarification, the Company shall have the option to continue Executive's noncompete obligations on a monthly basis for up to two years after the end of the Term and any renewal term by paying Executive $12,500 per month (net of any required withholdings) by the fifth day of such month.
