Program Records definition

Program Records means the following:
Program Records means the Program Materials, Program Lists, logos, slogans, trademarks, copyrighted materials and website content and marketing specific to the Program all as set forth in Section 15.1 of this Exhibit E.
Program Records shall have the meaning set forth in Section 2.5.

Examples of Program Records in a sentence

  • The Board shall own, and as such shall have all right, title, interest in and beneficial ownership of, the Program Records.

  • All Program Records and data shall be readily accessible to the Board and a successor contractor, at the Contractor’s expense, in a reasonable and sortable electronic form within a medium mutually agreed upon by the Contractor and the Board.

  • Program Records reflecting aggregate Program and Account data (but excluding Program Lists and transaction and Account Owner specific data) shall be made available to the Board, upon its request, at the Contractor’s expense, in a reasonable and sortable electronic form within a medium mutually agreed upon by the Contractor and the Board.

  • The Contractor shall not use the Program Records during the Term of this Agreement or after termination hereof other than as may be required in connection with the Services.

  • At the termination of this Agreement, the Contractor will cooperate with the Board to effect an efficient transition of Program Records and data to a new contractor, including the granting of nonexclusive, royalty free, nontransferable limited use licenses for all software which permits participants and/or beneficiaries to participate in and interact with the Program.


More Definitions of Program Records

Program Records has the meaning given in Section 3.1(P)(i).
Program Records means the Program Lists and Program Materials as well as any logo that has been designed and developed specifically for the Program; any slogan developed specifically for the Program; any trade names, trademarks or service marks created specifically for the Program; any copyrighted materials relating solely or primarily to the Program, any website content related specifically to EXHIBIT E(Standard Agreement) the Program; the URL for the Program website; the Program’s toll-free number; and advertising, marketing, and public relations materials that are specific to the Program, all as set forth in Section 16.1 of this Exhibit E.
Program Records means the necessary detailed program and instructions for carrying out and controlling machine processing of information derived from the voter file. Program records shall exist in written English or coded form and they may exist on active data processing media;
Program Records means, collectively, the Program Materials and the Media Materials.
Program Records means, collectively, the Program Materials and the Media Materials. “Program Start Date” means the date on which all conditions set forth in Section 10 have beensatisfied or waived.

Program Records means all books, documents, data, regulatory files, correspondence, research, laboratory notebooks, manufacturing records, complaint records, study protocols, investigator brochures, adverse event information, and all other records and information (in paper, electronic or other form) relating to the Compounds and/or Licensed Products, including all data relating to or arising from the Development of Compounds and/or Licensed Products; provided, however, that: (a) Company may retain: (i) a copy of any such books, documents and records to the extent required by Law or necessary for tax, accounting or pending litigation purposes, including original copies to the extent required by Law and (ii) a copy of any such books, documents and records to the extent such books and records do not relate exclusively to Compounds or Licensed Products and are reasonably necessary for Company in connection with its other business activities; which copies retained under subsection (i) and (ii) shall be defined CERTAIN CONFIDENTIAL PORTIONS OF THIS EXHIBIT WERE OMITTED AND REPLACED WITH “[***]”. A COMPLETE VERSION OF THIS EXHIBIT HAS BEEN FILED SEPARATELY WITH THE SECRETARY OF THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO AN APPLICATION REQUESTING CONFIDENTIAL TREATMENT UNDER RULE 24b-2 OF THE SECURITIES EXCHANGE ACT OF 1934. as “Retained Information” and deemed to be Pfizer Confidential Information subject to Company’s right to use such books and record solely for the aforementioned purposes; (b) any books, documents, correspondence and records of Company that Company reasonably determines, upon the advice of counsel, are attorney work product, attorney-client communications or other items protected by privilege immediately prior to the Effective Date shall be excluded from this definition of “Program Records” and shall be retained by Company; and (c) Company shall be entitled to redact from any Program Records any information that was not used in the Development of, and does not otherwise relate to, any Compounds and/or Licensed Products. “Regulatory Approval” means all technical, medical and scientific licenses, registrations, authorizations and approvals (including approvals of NDAs, supplements and amendments, pre- and post- approvals, pricing and third party reimbursement approvals, and labeling approvals) of any Regulatory Authority, necessary for the research, use, Development, Manufacture, and Commercialization of a pharmaceutical product in a regulatory jurisdict...
