Reimbursement of Expenses and Miscellaneous Service Fees. (a) In addition to paying SMC the fees set forth in Schedule C, the Company agrees to reimburse SMC for SMC's reasonable out-of-pocket expenses (for which no mark-up for SMC overhead expexxxx shall be included) in providing services hereunder, including without limitation, the following:
(i) All freight and other delivery and bonding charges incurred by SMC in delivering materials to and from the Company and in delivering all materials to shareholders;
(ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by SMC in communication with the Company, the Company's investment adviser or custodian, dealers, shareholders or others as required for SMC to perform the services to be provided hereunder;
(iii) Sales taxes paid on behalf of the Company;
(iv) The cost of microfilm or microfiche or other electronic retention of records or other materials;
(v) Courier (delivery expenses);
(vi) Check processing fees;
(vii) Records retention / storage fees;
(viii) Fulfillment;
(ix) IRA custody and other related xxes;
(x) NSCC, networking and related costs and/or fees;
(xi) Sales taxes;
(xii) Costs of statements and confirmations including, but not limited to, costs of printing and postage;
(xiii) Costs of tax forms;
(xiv) Costs of all other shareholder correspondence; and
(xv) Post office boxes
(xvi) Any expenses paid by SMC to a third-party administrator, broker/dealer, bank, insurance company or other entity for providing sub-transfer agency services to beneficial shareholders of the Company where such shares are held in omnibus accounts; and
(xvii) Systems development fees billed to SMC by the provider of SMC's securityholder accounting system (the "Transfer Agency System")
(b) In addition, SMC shall be entitled to receive the following fees:
(i) System development fees, billed at the rate of $150 per hour, as approved by the Company, and all systems-related expenses, agreed in advance, associated with the provision of special reports and services pursuant to Item 7 of Schedule D attached hereto;
(ii) Fees for development of custom interfaces, billed at a mutually agreed upon rate;
(iii) Ad hoc reporting fees, billed at a mutually agreed upon rate;
Reimbursement of Expenses and Miscellaneous Service Fees. (a) In addition to paying BISYS the fees provided in Section 3 and Schedule B, the Trust agrees to reimburse BISYS for its reasonable out-of-pocket expenses in providing services hereunder, including without limitation the following:
(i) All freight and other delivery and bonding charges incurred by BISYS in delivering materials to and from the Company;
(ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by BISYS in communication with the Company, the Company's investment adviser or custodian, dealers or others as required for BISYS to perform the services to be provided hereunder;
(iii) The cost of microfilm or microfiche of records or other materials;
(iv) Systems-related expenses associated with the provision of special reports and services as agreed pursuant to Section 1(c) herein;
(v) Any expenses BISYS shall incur at the written direction of an officer of the Company (other than an employee of BISYS) thereunto duly authorized; and
(vi) Any additional expenses reasonably incurred by BISYS in the performance of its duties and obligations under this Agreement (but not including any amounts related to pricing information, other than as provided in paragraph 4(b)(iii), below) with prior consent of Funds if over $1500.
(b) In addition, BISYS shall be entitled to receive the following amounts:
(i) Systems development fees billed at an hourly rate of $150 per hour, as approved by the Company;
(ii) Ad hoc reporting fees billed at an agreed upon rate; and
(iii) Charges for the pricing information obtained from third party vendors for use in pricing the securities of each Fund's portfolio pursuant to Section 1(b)(ii) of this Agreement, which shall not exceed the amounts that would be incurred if the Fund were to obtain the information directly from the relevant vendor or vendors.
Reimbursement of Expenses and Miscellaneous Service Fees. In addition to all fees, expenses and miscellaneous fees or charges provided for under the Agreement, BISYS shall be entitled to receive from the Trust the amounts set forth on Exhibit C hereto, reflecting the amounts charged by BISYS for the performance of delegated services under this Amendment with respect to the Trust's AML Program.
Reimbursement of Expenses and Miscellaneous Service Fees. As of the Effective Time, Section 3 of the Existing Agreements has been, and is hereby, deleted in its entirety and replaced with the attached Section 3 and the out-of-pocket expenses set forth therein.
Reimbursement of Expenses and Miscellaneous Service Fees. As of the Effective Time, Schedule B of the Existing Agreement has been, and is hereby, deleted in its entirety and replaced with the attached Schedule B and the out-of-pocket expenses set forth therein.
Reimbursement of Expenses and Miscellaneous Service Fees. In addition to paying RFS the fees set forth in Schedule C, the Trust agrees to reimburse RFS for RFS’s reasonable out-of-pocket expenses (for which no xxxx-up for RFS overhead expenses shall be included) in providing services hereunder as listed in Schedule B hereto.

(A) In addition to paying Fund Accountant the fees described in the Fee Agreement, the Company agrees to reimburse Fund Accountant for its reasonable out-of-pocket expenses in providing services hereunder, including without limitation the following:
(a) All freight and other delivery and bonding charges incurred by Fund Accountant in delivering materials to and from the Company;
(b) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by Fund Accountant in communication with the Company, the Company's investment adviser or custodian, dealers or others as required for Fund Accountant to perform the services to be provided hereunder;
(c) The cost of microfilm or microfiche of records or other materials;
(d) All systems-related expenses associated with the provision of special reports and services pursuant to Section 1(c) herein;
(e) Any expenses Fund Accountant shall incur at the written direction of an officer of the Company thereunto duly authorized; and
(f) Any additional expenses reasonably incurred by Fund Accountant in the performance of its duties and obligations under this Agreement.
(B) In addition, Fund Accountant shall be entitled to receive the following fees:
(a) Systems development fees billed at an hourly rate of $150 per hour, as approved by the Company;
(b) Ad hoc reporting fees billed at an agreed upon rate; and
(c) Fees for pricing the securities of the Funds pursuant to Section 1(b)(ii) of this Agreement.
Reimbursement of Expenses and Miscellaneous Service Fees. (a) In addition to paying Adviser the fees provided in Section 4 and Schedule A, the Company agrees to reimburse Adviser for its reasonable out-of-pocket expenses in providing services hereunder, including without limitation the following:
(i) All freight and other delivery and bonding charges incurred by Adviser in delivering materials to and from the Company;
(ii) All direct telephone, telephone transmission and telecopy or other electronic transmission expenses incurred by Adviser in communication with the Company, the Company’s investment adviser or custodian, dealers or others as required for Adviser to perform the services to be provided hereunder;
(iii) The cost of microfilm or microfiche of records or other materials;
(iv) Any expenses Adviser shall incur at the written direction of an officer of the Company (other than an employee of Adviser) thereunto duly authorized; and
(v) Any additional expenses reasonably incurred by Adviser in the performance of its duties and obligations under this Agreement.
(b) In addition, Adviser shall be entitled to receive the following amounts:
(i) Systems development fees billed at a mutually agreed hourly rate, as approved by the Company; and
(ii) Ad hoc reporting fees billed at an agreed upon rate.
Reimbursement of Expenses and Miscellaneous Service Fees. BISYS shall be entitled to receive from the Trust the amounts set forth on Exhibit B hereto for the performance of delegated AML Services under this Amendment with respect to the Trust's AML Program. Effective upon the date of this Amendment, Schedule B also amends the transfer agency fees payable pursuant to Section 2 of the Agreement, and the provisions governing the Company's reimbursement to BISYS of out-of-pocket expenses pursuant to Section 3 of the Agreement.
Reimbursement of Expenses and Miscellaneous Service Fees. Section 4(b)(iii) of the Agreement is deleted in its entirety and replaced with the following: "A charge for the pricing information obtained with respect to each of the securities held in the portfolio of each Fund, which charge shall not exceed the charge that would be incurred if the Fund were to obtain the information directly from the relevant vendor or vendors."
