Restricted Hotel definition

Restricted Hotel shall not include any one or more of the following: (i) any existing (as of the Effective Date) Residence Inn by Marriott hotel; (ii) any full-service Marriott Hotel or Marriott Suites (or any similar full service lodging product), XXXX-XXXXXXX hotel, Bvlgari hotel, Conference Center by Marriott, Renaissance, Renaissance Suites, Courtyard by Marriott Hotel, Fairfield Inn, Fairfield Suites, Marriott Vacation Club International, SpringHill Suites, TownePlace Suites or any other lodging product (including time share or interval ownership facilities) which is not operated as a select-service hotel under the "Residence Inn by Marriott" trade name and as a member of the System;(iii) any hotel or hotels which are members of a chain of hotels (provided that such chain has a minimum of five (5) or more hotels in operation), all or substantially all (but in no event less than four (4) hotels) of which are acquired by, or merged with, or franchised by or joined through a marketing agreement with, Manager or one of its Affiliates (or the operation of which is transferred to Manager or one of its Affiliates); (iv) any hotel or hotels which are members of a group of hotels which is (in a single transaction with a single seller or transferor) acquired by, or merged with, or franchised by or joined through a marketing agreement with, Manager or one of its Affiliates, or the operation of which is transferred to Manager or one of its Affiliates, provided that such group of hotels contains no fewer than five (5) hotels; (v) any future lodging product developed by Manager or one of its Affiliates which is not included within the System; or (vi) in the event that any existing hotel in the Restricted Area described in clause (i) above ceases to operate under the "Residence Inn by Marriott" trade name as a member of the System, then for each such hotel (if any), an additional hotel which may operate under the "Residence Inn by Marriott" trade name as a member of the System.
Restricted Hotel shall not include any one or more of the following: (i) any existing (as of the Effective Date) full-service hotel operating under the "Marriott" trade name within the Restricted Area; (ii) any Xxxx-Xxxxxxx hotel, Courtyard by Marriott Hotel, Renaissance Hotel, Conference Center by Marriott, Residence Inn by Marriott, Fairfield Inn, Fairfield Suites, TownePlace Suites or any other lodging product which is not operated as a full-service hotel under the "Marriott" trade name; or (iii) any future lodging product developed by Manager or one of its Affiliates which is not operated under the "Marriott" tradename.
Restricted Hotel means any hotel or motel facility which (i) is operated under the "Hilton Hotel" flag as a full service hotel but shall not include or apply to any other products, services or businesses under the "Hilton" brand, including, without limitation, Hilton Suites and other all- suite hotels, Hilton Garden Inn or other limited service hotels, Homewood Suites by Hilton or any extended stay hotel or any other comparable brands created by Hilton or any other hotel in which "Hilton" is secondary to another brand name for purposes of identifying such other brands as having a relationship with Hilton Worldwide Holdings, Inc., or (ii) has more than 200 guest rooms and more than 10,000 square feet of meeting space within or immediately adjacent to such facility or has more than 500 guest rooms.

  • Neither Manager nor any of its Affiliates shall open for business, or permit any other person to open for business, any Restricted Hotel within the Restricted Area during the period from the Effective Date to the fifth (5th) anniversary of the Effective Date.

  • During the term of this Agreement, neither Management Company nor any of its Affiliates shall own, build, franchise, manage or operate any Restricted Hotel (as defined below) within a fifty mile radius of the Hotel & Conference Center.

  • Neither Manager nor any of its Affiliates shall open for business, or permit any other Person to open for business, any Restricted Hotel within the Restricted Area during the period from the Effective date to the ( th) anniversary of the Effective date.

More Definitions of Restricted Hotel

Restricted Hotel shall not include any one or more of the following: (i) any existing (as of the Effective Date) member of the Marriott Hotel System which is within the Restricted Area; (ii) any Courtyard by Marriott (or other similar moderate-price lodging product) or any Residence Inn by Marriott (or other similar extended-stay lodging product) or any Fairfield Inn (or other similar economy-price lodging product); (iii) any hotel or hotels which are members of a chain of hotels (provided that such chain has a minimum of four (4) or more hotels in operation), all or substantially all (but in no event less than four (4) hotels) of which is acquired by, or merged with, or franchised by or joined through marketing agreement with, Management Company or one of its Affiliates (or the operation of which is transferred to Management Company or one of its Affiliates); (iv) any hotel or hotels which are members of a group of hotels which is (in a single transaction with a single seller or transferor) acquired by, or merged with, or franchised by or joined through marketing agreement with, Management Company or one of its Affiliates (or the operation of which is transferred to Management Company or one of its Affiliates), provided that such group of hotels contains no fewer than four (4) hotels; (v) any future lodging product developed by Management Company or one of its Affiliates which is not a lodging product which would have been included within the Marriott Hotel System, as such system existed as of the Effective Date; or (vi) any existing non-Marriott hotel within the Restricted Area which is specifically designated on Exhibit "D" as not being a Restricted Hotel.
Restricted Hotel means any hotel or motel facility which (i) is operated under the "Hilton Hotel" flag as a full service hotel but shall not include or apply to any other products, services or businesses under the "Hilton" brand, including, without limitation, Hilton Suites and other all-suite hotels, Hilton Garden Inn or other limited service hotels, Homewood Suites by Hilton or any extended stay hotel or any other comparable brands created by Hilton or any other hotel in which "Hilton" is secondary to another brand name for purposes of identifying such other brands as having a relationship with Hilton Worldwide Holdings, Inc., or (ii) has more than 200 guest rooms and more than 10,000 square feet of meeting space within or immediately adjacent to such facility or has more than 500 guest rooms.
Restricted Hotel means (a) with respect to the period of time from the Effective Date through the expiration of the twentieth (20 ) full Fiscal Year after Effective Date, any hotel operated or licensed under any trade name or brand owned or controlled by Marriott or its Affiliates (or unbranded hotel using the Marriott Hotel reservation system) containing more than eight hundred (800) rooms and more than one hundred thousand (100,000) square feet of meeting space, and (b) with respect to the period of time commencing the day after expiration of the twentieth (20 ) full Fiscal Year after the Effective Date and continuing until the end of the Initial Term, any hotel branded as a “Gaylord” hotel operating or licensed as a member of the Gaylord Hotel System and any new-build hotel operated or licensed under any trade name or brand owned or controlled by Marriott or its Affiliates or unbranded hotel using the Marriott Hotel reservation system) in each case containing more than eight hundred (800) rooms and more than one hundred thousand (100,000) square feet of meeting space.
Restricted Hotel means any brand of hotel/motel developed, constructed, and/or managed after the Closing Date (as defined in the Purchase Agreement).
Restricted Hotel means any hotel or motel facility which is operated under the "Hilton" brand as a full service hotel but shall not include or apply to (i) Hilton Worldwide Holdings, Inc. or its Affiliates or (ii) any other hotel that is branded under a chain of hotels that includes the word "Hilton" within the brand names (including, for example, but without limitation Hilton Garden Inn, Canopy by Hilton, Home2 Suites by Hilton, Hampton Inn by Hilton, Hilton Grand Vacations, Tempo by Hilton, Homewood Suites by Xxxxxx, Doubletree by Xxxxxx, Xxxxx – a Collection by Xxxxxx, Motto by Xxxxxx, Tru by Xxxxxx, Signia by Xxxxxx, Tapestry Collection by Hilton, Embassy Suites by Xxxxxx, etc.).
Restricted Hotel shall not include any one or more of the following: (i) any existing (as of the Effective Date) hotel operating under the “Marriott” trade name as a member of the Marriott System or under the “Renaissance” trade name as a member of the Renaissance System; (ii) any XXXX-XXXXXXX hotel, Bvlgari Hotel, Courtyard by Marriott Hotel, Conference Center by Marriott, Residence Inn by Marriott, Fairfield Inn, Fairfield Inns and Suites, Marriott Vacation Club International, SpringHill Suites, TownePlace Suites or any other lodging product (including time-share or interval ownership facilities) that is not operated as a full-service hotel under the “Marriott” trade name as a member of the Marriott System or under the “Renaissance” trade name as a member of the Renaissance System; (iii) any hotel or hotels that are members of a chain of hotels (provided that such chain has a minimum of four (4) or more hotels in operation), all or substantially all (but in no event less than three (3) hotels) of which is acquired by, or merged with, or franchised by or joined through marketing agreement with, Manager or one of its Affiliates (or the operation of which is transferred to Manager or one of its Affiliates); (iv) any hotel or hotels that are members of a group of hotels that is (in a single transaction with a single seller or transferor) acquired by, or merged with, or franchised by or joined through marketing agreement with, Manager or one of its Affiliates, or the operation of which is transferred to Manager or one of its Affiliates, provided that such group of hotels contains no fewer than three (3) hotels; or (v) any future lodging product developed by Manager or one of its Affiliates that is not operated as a full-service hotel within the Marriott System or the Renaissance System.

  • Restricted Assets means all licenses, permits, franchises, approvals or other authorizations from any Governmental Authority from time to time granted to or otherwise held by the Company to the extent the same constitute “Excluded Assets” under (and as defined in) the Senior Lien Documents or the Junior Lien Documents or are similarly carved out from the granting clause or the collateral thereunder.
