Severity Level Means the categorization of a problem associated with the Services based on the potential impact of the problem to DIR and any DIR Customer, as further defined in Attachment 3-E. Software AG Licenses Means license agreements between Software AG and DIR Customers existing as of the Effective Date and to be used by Service Provider (including Subcontractors) in connection with the performance of the Services. Software Service Charge (SSC) Has the meaning given in Exhibit 4. Solution Request or Request for Solution Means a Service Request that requires development of a proposal for DIR Customer approval to fulfill the request. Examples of Service Provider Owned Materials in a sentence

  • Service Provider Owned Materials shall remain the property of Service Provider.

  • In the event of the occurrence of any event giving rise to termination of this Agreement by DIR pursuant to Section 20.4, Service Provider shall provide reasonable assurance to DIR that such occurrence has not and shall not jeopardize Service Provider Owned Materials continuing to be routinely supported by Service Provider comparable to that provided prior to such occurrence.

  • Such updates shall consist of the Source Code version of each Upgrade of the Service Provider Owned Materials and, as applicable, the Third Party Materials and Upgrades to any other components of the Deposit Materials.

  • As of the Effective Date, Service Provider is not using Commercially Available Service Provider Owned Materials or Non-Commercially Available Service Provider Owned Materials to provide the Services.

  • If Service Provider shall be unable to comply with the foregoing to DIR's reasonable satisfaction, Service Provider shall, upon direction from DIR, comply with the obligations of this Section 14.3(e) as if such Service Provider Owned Materials were then no longer routinely supported by Service Provider.

  • Service Provider represents, warrants and covenants that any Service Provider Owned Materials consisting of Software and any Equipment provided by Service Provider shall Comply in all material respects with their applicable documentation and Specifications and shall provide the functions and features and operate in the manner described therein.

  • Following the expiration or any termination of this Agreement and the termination of the Service(s) for which such Service Provider Owned Materials were used, Service Provider shall, at DIR's request, provide Upgrades, maintenance, support and other services for such Service Provider Owned Materials or Third Party Materials in accordance with Section 14.6(b) or 14.6(c), as applicable.

  • DIR shall have the rights and licenses set forth in Sections 14.6(b) and 14.6(c) in respect of Service Provider Owned Materials and Third Party Materials.

  • Following the expiration or any termination of this Agreement and the termination of the Service(s) for which such Service Provider Owned Materials were used, Service Provider shall, at DIR's request, provide Upgrades, maintenance, support and other services for such Service Provider Owned Materials or Third Party Materials in accordance with S ection 14.6(b) or 1 4.6(c), as applicable.

  • DIR shall have the rights and licenses set forth in S ections 14.6(b) and 1 4.6(c) in respect of Service Provider Owned Materials and Third Party Materials.

Service Provider Owned Materials means items expressly identified as “Service Provider-Owned Materials” in a SOW and all intellectual property owned, developed, or first reduced to practice by Service Provider or Service Provider’s authorized subcontractor(s) prior to the Effective Date of this Agreement (or the pertinent, related SOW), or developed independently of this Agreement at any time. “Improvements to Service Provider Owned Material” shall mean any improvements or modifications to Service Provider-Owned Materials that are developed by Service Provider as a result of the services and that do not include or utilize FireEye proprietary or confidential information. Improvements to Service Provider Owned Materials are the sole and exclusive property of Service Provider or Service Provider ’s other licensors, as the case may be, and shall be assigned to Service Provider or Service Provider’s other licensors, as applicable. Except as otherwise expressly provided in a SOW, this Agreement does not affect ownership, right, or title to any Service Provider Owned Materials or Improvements to Service Provider Owned Materials (collectively “Service Provider Intellectual Property”), which shall be owned by Service Provider. Service Provider hereby grants to FireEye a perpetual, non- exclusive, transferable, irrevocable, worldwide, fully-paid right and license to use, display, perform, reproduce, modify and distribute the Service Provider Intellectual Property in connection with the deliverable as contemplated in the SOW.

Related to Service Provider Owned Materials

  • Service Provider Materials means all works of authorship, products and materials [including, but not limited to, data, diagrams, charts, reports, specifications, studies, inventions, software, software development tools, methodologies, ideas, methods, processes, concepts and techniques] owned by, or licensed to, the Service Provider prior to the Commencement Date or independently developed by the Service Provider outside the scope of this Agreement at no expense to Transnet, and used by the Service Provider in the performance of the Services;

  • Internet Service Provider (ISP) means an Enhanced Service Provider (ESP) that provides Internet Services.

  • Service Provider Personnel means and refers to Service Provider employees or subcontractors hired and maintained to perform Services hereunder.
