Services Material definition

Services Material means: any Material specified to be 'Services Material' or ‘Activity Material’ in any Guidelines; any other Material (including Reports) produced by, or for, You in carrying out Your obligations under this Agreement; and any other Material incorporated in, or supplied with, or as part of the Material referred to in paragraphs Error! Reference source not found. and (b), but does not include Existing Material. 'Services Material' may also be called or otherwise known as 'Activity Material'. ‘Services Start Date’ means the day on which We sign a copy of this Agreement signed by You or the date specified at item 3 of the Activity Schedule, whichever is the later.

Services Material means any unique and original material as specified in the Application Licence & Services Agreement, including any unique user interface of any website agreed by the parties (except for third party proprietary software or material integrated into any website), , documents, materials, media and property (in draft or final form) including generally designs, concepts, original compositions, artwork and all website domain names (licences from domain registrars only), trade marks and trade names, brand names, trade symbols, logos, slogans, taglines or other trade indicia prepared, created, developed by the Agency(and includes Data) but for the avoidance of doubt does not include Facilities, the Application, Third Party Material, Advvy Material, Agency Material, Know How or software or technology purely for the support the Services Material. SOW or Statement of Work means the statement of work attached to this Application Licence & Services Agreement and any further statements of work agreed between the parties in writing from time to time. Start Date means the start date specified in this Application Licence & Services Agreement. Term means the stated Term or duration of this Application Licence & Services Agreement, as may be extended by agreement between the Parties, including any Further Terms. Territory means Australia, unless specified otherwise in a SOW or the Application Licence & Services Agreement. User means any person that uses the Application and has agreed to the terms of the Application End User Licence Agreement and has been issued by Advvy with a User Account. User Account means the account set up by Advvy for an individual User after approval of the individual’s account registration application which provides the individual with access to the Application. Website means, where applicable, Advvy’s website(s).

Related to Services Material

  • The Services means those services ancillary to the supply of the Goods, such as transportation and insurance, and any other incidental services, such as installation, commissioning, provision of technical assistance, training, and other such obligations of the Supplier covered under the Contract.

Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.
