The Target Annual Bonus shall be paid, if at all, by no later than the fifteenth (15th) day of the third (3rd) month after the close of the fiscal year with respect to which the Target Bonus Award is payable.
Executive’s actual bonus award may range from a minimum amount of 0% to a maximum of 100% of his Target Bonus Award, will be determined by the Compensation Committee (the “Committee”) of the Company’s Board of Directors (the “Board”), and is contingent upon the attainment of performance goals reasonably established in good faith by the Committee based upon the recommendations of the Executive no later than 90 days after the commencement of each fiscal year.
