Tier 2 Participant definition

Tier 2 Participant means each Participant designated in Schedule A hereto as a Tier 2 Participant, as that schedule may be amended in accordance with Section 2.01.
Tier 2 Participant means a Participant holding a position designated as qualifying the holder of the position as a Tier 2 Participant on Exhibit A hereto.
Tier 2 Participant means each Participant designated in writing by the Board or the Compensation and Human Capital Committee as a Tier 2 Participant, as that designation may be amended in accordance with Section 2.01.

Examples of Tier 2 Participant in a sentence

  • A disabled Tier 2 Participant with at least 10 years of service is entitled to the greater of:• A monthly benefit equal to the non-PEPRA Occupational Disability Benefit payable immediately, and• The PEPRA Retirement Benefit, which may be elected at age 52 (or later, if the member defers receipt).

  • A disabled Tier 2 Participant with less than five years of service will receive a lump sum benefit of member contributions increased with interest.

  • A Tier 2 Participant may not defer any part of his Salary pursuant to this Plan.

  • Tier 2 Participants - A Tier 2 Participant may elect to defer an amount of his Bonus up to the dividend distributed under Section 7.12 of the IIP during a Deferral Year.

More Definitions of Tier 2 Participant

Tier 2 Participant means each Participant who is an E2 or E1 executive immediately prior to a Change in Control.
Tier 2 Participant means a Participant who has been designated by the Committee as a Tier 2 Participant in accordance with Section 3.2 below.
Tier 2 Participant means each of the Tier 2 Participants who may be set forth on Exhibit A-1 to this Plan from time to time. For purposes of this definition, if an employee is designated a Tier 2 Participant on Exhibit A-1 immediately prior to a Change in Control, such employee shall be eligible for benefits as such under this Plan.
Tier 2 Participant means each individual who is designated by the Board on or after the date hereof as a Tier 2 Participant.
Tier 2 Participant means a Participant other than a Tier 1 Participant.
Tier 2 Participant means (i) any executive officer of the Company (other than a Tier 1 Participant) required to file reports of beneficial ownership with the Securities and Exchange Commission pursuant to Section 16(a) of the Exchange Act and the rules and regulations promulgated thereunder and (ii) any employee selected by the Committee as a covered employee eligible under this Plan (employees selected by the Committee will be referred to as “Selected Tier 2 Participants”). The Committee will select Selected Tier 2 Participants annually at the meeting in which it sets executive compensation for the next fiscal year. Selected Tier 2 Participants will remain eligible as a Participant under this Plan for the fiscal year for which the Committee approved eligibility. During the fiscal year, the Committee may change the status of a Selected Tier 2 Participant if he or she has a change in employment status (examples: removal from eligibility because of a demotion or added as eligible because of a promotion). Notwithstanding the foregoing, a Selected Tier 2 Participant may not lose covered employee status as a Selected Tier 2 Participant by the Committee if he or she was a Participant and was eligible for benefits under Section 3.1, Rights to Unpaid Compensation and Severance Benefits, for a Change in Control occurrence.
Tier 2 Participant means a Participant, who is not a Tier 1 Participant, and who is designated by the Committee, in its sole discretion, as a Tier 2 level Participant.
