All transactions executed through the ACH Origination Service described above will be collectively known as (“ACH transactions”.) Your use of and access to the ACH Origination Service is separate and apart from your ability to facilitate transfers via ACH to a linked bank account (see Section 3.7). We will facilitate only Internet-Initiated/Mobile Entry (“WEB”) and Corporate Credit or Debit Entry (“CCD”) ACH transactions through the ACH Origination Service. Unless otherwise defined in this Agreement, capitalized terms that appear in this Section 5 shall have the meanings set forth in the Operating Rules (the “Rules”) of the National Automated Clearing House Association (“NACHA”). 5.2. Processing Deadlines Except as provided in Security Procedures in Section 5.4 below, we shall (i) process entries received from you to conform with the file specifications set forth in the Rules, (ii) transmit such entries as an Originating Depository Financial Institution to the Federal Reserve Bank, and (iii) settle for such entries to the specified accounts as provided in the Rules. We shall transmit such entries to the Federal Reserve Bank by the deadline of the ACH one business day prior to the Effective Entry Date shown in such entries, provided (i) such entries are received 3:00 PM ET on a business day, (ii) the Effective Entry Date is at least 2 days after such business day, and (iii) the Federal Reserve is open for business on such business day. A “business day” is a day in which the Federal Reserve Bank is opened to the public for carrying on substantially all of its business, other than a Saturday, Sunday, or legal holiday. If any of the requirements of clause (i), (ii), or (iii) listed above are not met, we shall use reasonable efforts to transmit such entries to the Federal Reserve Bank by the next deposit deadline on which the Federal Reserve is open for business. 5.3. ACH Origination Service. (Business Eligible Accounts only) The ACH origination service facilitates regular and typical payroll and other xxxx payments (“ACH Origination Service”). We reserve the right to delay or decline processing direct deposit and similar transactions (i) that significantly differ, in our sole opinion, from your typical payment activity or volume of payment transactions, (ii) for which sufficient funds are not available in your account, (iii) that are otherwise in violation of this Agreement or the ACH rules as in effect from time to time, or (iv) that, in our sole opinion, may pose a risk of loss to us. This authorization will remain in effect until you cancel it in writing and in time to afford us a reasonable opportunity to act on it. You agree that your payment transactions will be governed by the ACH rules as in effect from time to time and that you will not initiate entries that violate the laws of the United States. You do not have any right to cancel or amend any entry after it has been submitted. However, the Bank shall use reasonable efforts to act on a request by you for cancellation of an entry prior to transmitting it to the ACH, but shall have no liability if such cancellation is not effected.

Eight hours of CE, which shall consist of four hours of federal law curriculum, two hours of ethics curriculum, and two hours of non-traditional mortgage lending curriculum. None of these eight hours of CE may be state-specific curriculum. 2. Respondent may not take any of the PE or CE provided for in Paragraph 1 of this Section in an online self-study format (“OSS”). 3. For a period three years from the Effective Date of this Order, Respondent shall be required to complete any additional required PE and/or CE in a format other than OSS.
