Active User. The Active User license model provides your entire organization with access to Flex Plan Meetings. Your payment obligation is based on a minimum quantity of Active Users (“AU Minimum”) that may increase during the Usage Term as Your organization grows or Your usage of Meetings increases. Your initial total Meetings Entitlement is determined by the number of Knowledge Workers on your initial order. Your order must reflect at least 250 Knowledge Workers for You to be eligible to participate in the Active User license model. At the beginning of the Usage Term, Your AU Minimum will be the greater of: 40 Active Users or 15% of Your Knowledge Workers (unless You are migrating from an existing subscription, in which case You will retain the number of Active Users on the order associated with Your existing subscription). Each Active User receives a unique account that may not be shared or used by anyone other than the designated employee or contractor. Each annual Renewal Term, Cisco will measure your usage by calculating two meters: 1) Your Average Active Users; and 2) 15% of Your Deployed Knowledge Workers.this process is called a “True Forward”. If either meter is found to be greater than Your AU Minimum, Your AU Minimum will be increased to the greater of those two meters, and You will owe incremental True Forward fees for these additional Active Users for the remainder of the Renewal Term. A True Forward will never result in a reduction of Your Active User count. The defined terms used in this Section 2.2 mean the following:

If a Knowledge Worker hosts a cloud Meeting and an on-premises Meeting they will be counted as two Active Users.

Active User. A user of the platform for billing purposes (“Active User”) is any user within a Slack Workspace, where RigD is deployed, whom interacts with the Platform. Active Users are considered active for the billing period if they interact with the Platform three (3) or more times during the billing period.

Active UserLicensed Data access by means of an Active User, identified by an Access ID Code, requires that the Contracting Party meets the following provisions: a) The Contracting Party shall provide BMEMD with a list of their End Users assigned as Active User, including for each one of them a code that permits their unambiguous and unequivocal identification. Said list of End Users of the Contracting Party and their corresponding ID codes shall be designed and upkept in a manner that allows BMEMD to audit and verify its validity at any given time and circumstance. b) The Contracting Party shall certify to BMEMD that it has in place all necessary technical controls to ensure the correct management to the access and usage of the Real-Time Data it receives from their Data Providers and/or from BMEMD, and to link such access and usage to the End Users identified as such, and to the corresponding Devices. c) The Contracting Party shall have in place all necessary agreements for the management of reports with all the Data Providers affected by the per user fee, and shall provide BMEMD with the list of references said Data Providers will include in their corresponding monthly reports, as well as their correspondence to the codes provided according to abovementioned section a). BMEMD may prescribe the application of the said per user fee regime after a test period during which BMEMD will carry out all necessary checks between the reports submitted by the Contracting Party regarding the use of Real-Time Data carried out by the End Users, and the reports submitted, in compliance with their information obligations, by the Data Providers affected by said regime regarding the before mentioned End Users. Such test period should be at least one month. BMEMD shall cease to issue invoices to the Data Providers for the amounts related to the Devices ascribed to the per user fee, and shall issue said invoices to the Contracting Party for the corresponding End Users, in accordance with
