Additional Work or Reprioritization. The DIR Managed Applications Services Manager may identify new or additional work activities to be performed by Service Provider Personnel (including work activities that would otherwise be treated as New Services) or reprioritize or reset the schedule for existing Projects and other Services to be performed by such Service Provider Personnel. Unless otherwise agreed, DIR shall incur no additional charges to the extent such work activities can be performed by Service Provider Personnel then assigned to DIR, provided that in the case of Service Provider Personnel not fully-dedicated to the provision of Services, such leveraged Service Provider Personnel may be utilized but only to the extent of the percentage allocation of such Service Provider Personnel to the delivery of Services under this Agreement. Service Provider shall use commercially reasonable efforts to perform such work activities without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels. If it is not possible to avoid such an impact, Service Provider shall notify DIR in advance of the anticipated impact and obtain DIR's consent, in writing, prior to proceeding with such work activities. DIR, in its sole discretion, may forego or delay such work activities or temporarily adjust the work to be performed by Service Provider, the schedules associated therewith or the Service Levels to permit the performance by Service Provider of such work activities.

Additional Work or Reprioritization. In addition to the FTEs provided for in accordance with Section 4.6.1, the Kraft Contract Manager or his or her designee may identify new or additional work activities to be performed by Supplier Personnel (including work activities that would otherwise be treated as New Services) or reprioritize or reset the schedule for existing work activities to be performed by such Supplier Personnel. Unless otherwise agreed, Kraft shall incur no additional charges for the performance of such work activities by Supplier Personnel to the extent then assigned to Kraft. Supplier shall use commercially reasonable efforts to perform such work activities without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels. If after using such efforts it is not possible to avoid such an impact, Supplier shall notify Kraft of the anticipated impact and obtain its consent prior to proceeding with such work activities. Kraft, in its sole discretion, may forego or delay such work activities or temporarily adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance by Supplier of such work activities. The foregoing shall not be interpreted to and is not intended to diminish Supplier’s right to reduce the resource assigned to Kraft, so long as such reduction is not in contravention of its obligations hereunder, and does not require that Supplier Personnel work longer hours than normally required of full time FTEs.

Unless otherwise agreed, ABM shall incur no additional charges for the performance of such work activities by Supplier Personnel then assigned to ABM. Supplier shall use commercially reasonable efforts to perform such work activities without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels. If it is not possible to avoid such an impact, Supplier shall notify ABM of the anticipated impact and obtain its consent prior to proceeding with such work activities. ABM, in its sole discretion, may forego or delay such work activities or temporarily adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance by Supplier of such work activities.
Additional Work or Reprioritization. The Sears Relationship Manager may, in the sole discretion of Sears, identify new or additional work activities to be performed by CSC Personnel, reprioritize or reset the schedule for existing Services or New Services, and designate which problems shall be resolved immediately versus those that may be deferred due to the priority of other Services to be performed by such CSC Personnel. The foregoing shall not relieve CSC of its responsibility for identifying and addressing problems and otherwise prioritizing its work flow absent specific direction to the contrary by Sears. CSC shall use commercially reasonable efforts to perform such work activities without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels. If it is not possible to avoid such impact, CSC shall notify Sears of the anticipated impact and obtain Sears’ consent under Section 7.2(d) prior to proceeding with any work activities that would cause such impact. Sears, in its sole discretion, may forego or delay such work activities or temporarily adjust the work to be performed by CSC, the schedules associated therewith or the Service Levels to permit such reprioritization.

With respect to such new or additional work activities, Supplier shall use commercially reasonable efforts to perform such work activities without impacting the established schedule for other tasks or the performance of Services in accordance with the Service Levels. If it is not possible to avoid such an impact or the activities require more than commercially reasonable efforts, Supplier shall notify CoreLogic of the anticipated impact and obtain its consent prior to proceeding with such work activities. CoreLogic, in its sole discretion, may forego or delay such work activities (in which case, Supplier shall have no obligation to perform such work activities) or temporarily or permanently adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance by Supplier of such work activities.
Additional Work or Reprioritization. The Allianz Relationship Manager or his or her designee may identify new or additional work activities to be performed by Supplier Personnel (including work activities that would otherwise be treated as New Services) or reprioritize or reset the schedule for existing work activities to be performed by such Supplier Personnel. To the extent the work activities requested by Allianz can be provided by Supplier using personnel already assigned to this engagement without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels, there will be no additional charge to Allianz for such work. If the work activities requested by Allianz cannot be provided by Supplier using personnel then assigned to Allianz without such an impact, Allianz, in its sole discretion, may forego or delay any work activities or temporarily or permanently adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance by Supplier of such work activities using Supplier Personnel already assigned to perform the Services.

Additional Work or Reprioritization. The New Century Project Executive or his or her designee may identify new or additional work activities to be performed by Supplier Personnel (under a new or amended Project Order, where appropriate) (including work activities that would otherwise be treated as Projects or New Services) or reprioritize or reset the schedule for existing work activities to be performed by such Supplier Personnel. Notwithstanding Section 4.5(a), to the extent the work activities requested by New Century can be provided by Supplier using Supplier’s program management personnel or other Supplier Personnel then assigned to the engagement for whom New Century is not obligated to pay an additional Charge (including Supplier Personnel not assigned on a dedicated basis as long as the performance of such Project does not cause such personnel to exceed the time they ordinarily devote to the New Century engagement on a monthly basis, including the time ordinarily counted toward Baseline Project FTE Hours) without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels, there will be no additional charge to New Century for such work and the FTE hours associated with such work shall not be counted against the Baseline Project FTE Hours. If the work activities requested by New Century cannot be provided by Supplier using personnel then assigned to New Century without impacting the Service Levels, New Century, in its sole discretion, may forego or delay any work activities or temporarily or permanently adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance of the requested work using such personnel.
Additional Work or Reprioritization. After consultation with Provider’s Service Delivery Manager, the Client Relationship Manager or his or her designee may reprioritize or reset the schedule for existing work activities to be performed by Provider Personnel and the Provider Personnel then assigned to Client for (i) Projects, (ii) for meetings requested by Client pursuant to Section 14.3(b), or (iii) steady-state Services to accommodate Disengagement Services (“Reprioritized Services”). Provider shall use Commercially Reasonable Efforts to perform such Reprioritized Services without impacting the established schedule for other impacted tasks, or, in the case of Disengagement Services, the performance of Services in accordance with the Service Levels. If it is not possible to avoid such an impact, Provider shall notify Client of the anticipated impact and obtain its consent prior to proceeding with such Reprioritized Services. Client, in its sole discretion, may forego or delay work activities or temporarily or permanently adjust the work to be performed by Provider Personnel, the schedules associated therewith or, in the case of Disengagement Services, the Service Levels, to permit the performance by Provider of such Reprioritized Services.
Additional Work or Reprioritization. The Hercules Project Executive or his or her designee may identify new or additional work activities to be performed by Supplier Personnel (including work activities that would otherwise be treated as a Project or New Services) or reprioritize or reset the schedule for existing work activities to be performed by such Supplier Personnel. To the extent the work activities requested by Hercules can be provided by Supplier using personnel already assigned to Hercules without impacting the established schedule for other tasks or the performance of the Services in accordance with the Service Levels, there will be no additional charge to Hercules for such work. If the work activities requested by Hercules cannot be provided by Supplier using personnel then assigned to Hercules without impacting the Service Levels, Hercules, in its sole discretion, may forego or delay any work activities or temporarily or permanently adjust the work to be performed by Supplier, the schedules associated therewith or the Service Levels to permit the performance of such work using personnel already assigned to perform the Services.
