Administrative Support Services. The Company has entered into an administrative support agreement (the “Administrative Agreement”) with the Sponsor in the form filed as an exhibit to the Registration Statement pursuant to which such entity will make available to the Company general and administrative support services including office space, utilities, receptionist and secretarial support for the Company’s use for $10,000 per month.

Administrative Support Services. The Company and CO2 Energy Transition, LLC, an affiliate of the Sponsor, have entered into an agreement substantially in the form annexed as an exhibit to the Registration Statement (the “Administrative Services Agreement”), pursuant to which CO2 Energy Transition, LLC will make available to the Company general and administrative services including office space, utilities and secretarial and administrative support for the Company’s use for $10,000 per month payable for up to eighteen (18) months, on the terms and subject to the conditions set forth in the Administrative Services Agreement.

Administrative Support Services. Customer understands the Core and Optimum service levels are designed for Administrative Support for the Office 365 platform. End User Help Desk “How-To” questions on application use are not included with MSx Office 365. Support for locally installed Office applications and Customer devices (including but not limited desktop and laptop computers, and mobile devices) are not part of this service but may be available as part of TPx’s MSx Endpoints – Workstations service.

Administrative Support Services. During the Employment Period and during the two-year period thereafter, the Executive shall be entitled to receive administrative support services from the Company that are comparable to those provided generally to the Company’s executive officers and shall include a furnished office in the Company’s corporate headquarters, the services (which may be shared) of a full-time administrative assistant and computer and telephonic communication services (email, voicemail and fax). It is understood that these services would not be provided to the Executive following a Termination (as defined below), a Termination For Cause (as defined below) or his Disability (as defined below).
