Advertising Support. NetIQ shall provide at no charge to Tech Data and ------------------- the Customers of Tech Data, marketing support, and advertising materials in connection with the resale of Products as are currently offered or that may be offered by NetIQ. Tech Data reserves the right to charge NetIQ for advertising, marketing and training services which are preapproved by the vendor and at NetIQ's discretion.

Advertising Support. The parties acknowledge that commencing effective as of the Effective Date, Supplier shall provide Xxxxx Mart an amount between 2.0% and 2.5% of Net Revenue of Supplier’s Merchandise sold in all Covered Stores, to be used exclusively for “Permitted Marketing.” Permitted Marketing shall mean out-of-pocket costs incurred by Xxxxx Mart for pre-approved customer-facing marketing materials created to advertise Supplier’s Merchandise and shall expressly exclude any internal overhead costs of Xxxxx Mart. Out-of-pocket costs shall include pro-rata costs for advertising based on the proportion applicable to Supplier’s Merchandise and business, as follows: • Direct mail - the pro-rata cost for printing, postage and photography. • Newspaper inserts - the pro-rata cost for printing, insertion (media cost) and photography. • Email - the pro-rata cost for photography when applicable. • TV - the pro-rata cost for production and media. • Digital - the pro-rata cost for paid media including Paid Search, Paid Listing Ads, Digital Banners and any Paid Social Advertising on Facebook, Instagram, Pinterest and Twitter. The pro-rata share of such expenses shall be calculated by determining the percentage of the applicable advertising devoted specifically to Supplier’s Merchandise. Supplier shall not have any obligation to pay for Xxxxx Mart marketing expenses that were not pre-approved by Supplier. Pre-approval of said marketing expenses shall not be unreasonably withheld, provided however, if Supplier does not believe that a proposed marketing expense will result in a reasonable return on the investment, having regard to the proposed marketing plan and Supplier’s ability to leverage such marketing expense against its Supplier’s Merchandise plans, then it shall be deemed reasonable for Supplier to withhold approval to such proposed marketing expenses and the same shall not be considered Permitted Marketing.
Advertising Support. Section 7.1.2. shall be deleted and replaced with the following: Supplier agrees to participate in all of Xxxxx Mart’s storewide promotional events. In addition to such participation and commencing as of the Effective Date of this Agreement, Supplier shall provide Xxxxx Mart an amount of 2.5% of Net Revenue of Supplier’s Merchandise sold in all Covered Stores, to be used exclusively for “Permitted Marketing.” Permitted Marketing shall mean up to four (4) Gift With Purchase (“GWP”) campaigns per year, unless otherwise agreed upon by the parties in writing. Specific GWP items shall be approved by Xxxxx Mart in advance of purchase. Supplier shall disclose the cost of GWP items to Xxxxx Mart when requesting approval of the same. The total expense allocated to GWP items will be included at cost in the marketing budget but shall not exceed 0.5% of Net Revenue of Supplier’s Merchandise sold in all Covered Stores. The remaining 2.0% of Net Revenue shall be used for permitted customer facing marketing including digital, broadcast and print. Out-of-pocket costs incurred by Xxxxx Mart for pre-approved customer-facing marketing materials created to advertise Supplier’s Merchandise shall expressly exclude any internal overhead costs of Xxxxx Mart. Costs of photography and any television and radio production expenses will be billed at cost to Supplier. Proposed marketing plans for Supplier as discussed herein shall be submitted to Xxxxx Mart no later than the second week of April for the Fall period and no later than the second week of September for the Spring period.
Advertising Support. Supplier shall provide to ScanSource and the Customers of ScanSource marketing support and advertising materials in connection with the resale of Products as are currently offered or that may be offered by Supplier. ScanSource reserves the right to charge Supplier for advertising, marketing and training services which are preapproved by Supplier and fall under the agreed MDF plan listed above. ScanSource, in its sole discretion, may publish the support and advertising materials through any available medium, including, without, limitation, through on-line computer networks, print media, CD ROM, diskette, facsimile, cable or satellite transmission. The type, amount and usage of the information products shall be as determined by ScanSource from time to time, in its sole discretion, ScanSource, in its sole discretion, may elect to charge the recipient of the information products and the pricing charged by ScanSource may include a profit for ScanSource.

Tech Data reserves the right to charge AltiGen for advertising, marketing and training services.
Advertising Support shall provide advertising support to Blockbuster for Base Units only, consistent with current practices, provided, however, in the event that any two (2) other major motion picture studios (e.g., *) (each, a "Major Studio") offer substantially different advertising support that results in a material change in the video industry, * shall have the option to modify its advertising support accordingly with respect to the Rental Pictures hereunder. In such event, Blockbuster shall have the option to modify the Base Units calculation, provided that, in the event that Blockbuster modifies the calculation to decrease the Base Units by * or more, * shall have the option immediately to terminate this Letter Agreement.

In such event, Blockbuster shall have the option to modify the Base Units calculation, provided that, in the event that Blockbuster modifies the calculation to decrease the Base Units by * or more, WHV shall have the option immediately to terminate this Letter Agreement.
