Agent CompensationDuring the term of this Agreement and any renewal thereof, GK agrees to compensate Independent Sales Agent in accordance with the Independent Sales Agent Compensation Schedule, set out in Schedule A hereto (the "Compensation") a One-Time Lump Sum Compensation or Renewal Compensation for a client that is referred directly to GK and is approved for and ultimately receives funding for the specified Funding Program. Furthermore, for each transaction submitted by Independent Sales Agent, and any renewal thereof, upon the fulfillment of the following terms and conditions: (i) is submitted first in time in relation to submission by others to GK ar a GK designated purchaser(s) by Independent Sales Agent, (ii) has delivered an executed Merchant Agreement between Merchant and GK or to one of GK's designated network lenders by GK; and (iii) The Client Agreement has been entered into as a direct result of the referral by Independent Sales Agent; (iv) has such product successfully closed and funded within a reasonable timeframe of the submission date. Commissions are based on the overall loan amount, and may be reduced at the Agent or GK’s discretion in certain cases in order to offer improved pricing and/or adjust terms for the client (disclosed upon providing approval terms). Provided, however, that no Commissions shall be paid to the Agent in the event that (a) Merchant does not actually receive or accept funding (b) The client stops payments shortly after funding or provides documentation from another party (c) GK has not been able to collect compensation from the client. Commissions are based on the overall loan amount, and may be reduced at the Agent or GK’s discretion in certain cases in order to offer improved pricing and/or adjust terms for the client (disclosed upon providing approval terms). Compensation shall be paid solely to the Independent Sales Agent (for the purposes of clarity, no payments shall be owed are made to any of the Independent Sales Agent's sub- agents (if applicable) or the like and such payments to any sub-agents or the like shall be the sole responsibility of the Independent Sales Agent). All products, characteristics, and commissions may be adjusted at any given time, in which GK would inform the agent in advance.
Agent CompensationBuyer shall not be liable for any compensation or fee to any agent of Script Owner in connection with this Agreement.
Agent Compensation. In consideration for the services to be performed by the Agent, the Agent shall be entitled to receive from the Fund such compensation as set forth in the Administration Agreement.
Agent Compensation. As compensation for its services, the Agent will be entitled to payment of a fee equal to $75,000.

Agent Compensation. In consideration for the services to be performed by the Agent, the Agent shall be entitled to receive from the Fund such compensation and reimbursement for all reasonable out-of-pocket expenses as may be agreed upon from time to time between the Agent and the Fund in advance and in writing. The Fund agrees to pay the Agent compensation as described in the schedule attached as Exhibit A. It is agreed that fees set forth in Exhibit A may be increased with not less than 60 days written notice upon written agreement of the parties.
Agent Compensation. 1. Agent’s commission shall be limited to ten percent (10%) of Writer’s gross compensation, including Writer’s profit participation, provided, however, that Agent shall not be entitled to receive commission on residuals or any other minimum payments to Writers for reuse of a Motion Picture under any applicable CBA (including, but not by way of limitation, supplementary or additional minimum compensation of any kind pursuant to Articles 14.G., 15., 16., 64. of the applicable WGA Theatrical and Television Basic Agreement). 2. Agent shall not circumvent limits on commissions under this Agreement by charging fees for other services, except that Agent shall be permitted to receive compensation for feature film financing , distribution, and sales services, subject to the following limitations: a. In the event Writer retains Agent to perform these services, Agent shall fully disclose the relevant fees in writing prior to incurring them, and Writer may choose whether to proceed with Agent’s performance of services; b. In the event Agent is retained to perform such services by a party other than the Writer, Agent shall fully disclose the relevant fees, in writing to the Writer. Such disclosure shall be made at the earliest possible time. In the event that Agent’s agreement to provide such services predates Writer’s involvement in the project, disclosure shall be made before Writer enters into any contractual commitment for the project; c. The services described in this subsection C.2 shall be permitted on films with intended budgets greater than $20 million only with the consent of the Guild; for clarity, Guild’s consent is not required for films with intended budgets of less than $20 million. The Guild will consult with the Writer and consent will not be unreasonably denied. T his Subsection 3.C.2.c. shall not apply where Agent’s agreement to p rovide feature film financing, distribution, and sales services p redates Writer’s involvement in the project; d. In no event shall an offer of employment or purchase of material made to a Writer be contingent on any other party agreeing to retain Agent for feature film financing , distribution, or sales services; and Formatted: Normal e. Agent CompensationThe Service Provider shall, on behalf of the Company, pay the compensation due from the Company to the broker/dealers of record for the Reinsured Policies as determined pursuant to any written agreements under which any payments become due after the Service Commencement Date. In connection therewith, the Service Provider shall also give effect to any debit balances and/or overpayment that are recoverable or deductible from current or future commission payments. The Service Provider shall assure compliance with all reasonable commission accounting or other standards.
Agent Compensation. Provided Agent is in compliance with all terms of this Agreement and all applicable laws and licensing requirements, Agent shall be compensated according to the Commission Schedules and Ultimate Builder Multi-Pay System in Agent’s back office. Some or all of Agent’s commissions may be paid directly by an Insurance Company and not FEG. It is the Agent’s responsibility to regularly check the FEG Products and Points Multipliers Schedule as insurance companies periodically adjust commissions and total payouts. A. Commissions to which Agent or Agent’s hierarchy may be entitled shall be payable to the Agent or a downline Agent (as applicable) only after the due date of the commissions payable from the Insurance Companies of issued business. B. No commission will be paid on payments/premiums that are waived, refunded or not honored by a bank or financial institution. Any commissions received by Agent that are based upon any waived or refunded payments/premiums shall be promptly returned to FEG by the Agent and C. Other than the commissions and other compensation set forth in the Commission Schedules, the Guidelines and Points Multipliers and the Ultimate Builder Multi-Pay System, Agent shall be entitled to no additional compensation or reimbursement for expenses. Commissions payable on a single policy or contract may be divided between the Agent and other Agents contracted with FEG. In such cases, payments shall be allocated among Agents proportionately by FEG for commission payment purposes only. D. Most Insurance Companies prepay or advance between seventy-five percent (75%) and E. Only commissions earned on applications written after the date FEG has approved this FEG Agent Agreement are eligible for advance commission payments. Advance commissions are available on life insurance policies that have recurring premiums paid under a monthly F. All advances will be made upon full payment of the first month premium and the cash payment of said advance will become a loan to the Agent to the extent of the amount advanced, subject of the rules of the issuing Insurance Company and upon issuance of the policy. This provision does not apply to advance on submit commissions (See Advance on Submit Commission Addendum for details). G. Advance Commission Cap. Advance commission is limited to $3,500 for any one policy individually for newly licensed Agents. FEG retains the right to remove Agent from this Advance Commission. Agent Compensation. The annual compensation which the Agent shall be entitled to receive for management services performed under this Agreement shall be a fee in the amount equivalent to __%[insert amount] of effective gross income. The Owner will pay management fees, including the data processing and accounting fees, to the Agent monthly, not later than the fifteenth (15) day of each month, unless otherwise agreed by the parties.
