Annual Incentive Cash Bonus. Employee will be eligible to receive an annual incentive cash bonus for each full fiscal year that Employee is employed under this Agreement. For 2016, the amount of such cash bonus, if any, will be based 100% on the discretion of the Committee based on the Committee’s assessment of the corporate and individual performance for that fiscal year. For 2017 and future years, the Committee will establish a written plan (the “Annual Cash Bonus Plan”) with (i) pre-determined quantifiable objective performance goals and metrics as determinants for a portion of the eligible bonus, and/or (ii) pre-determined qualitative subjective goals as determinants for a portion of the eligible bonus. The annual cash bonus determined to be due, if any, will be paid within 120 calendar days after the close of the Company's fiscal year and completion of an outside audit of the Company’s consolidated financial statements by the Company's independent public accounting firm.

Annual Incentive Cash Bonus. Executive will be eligible to receive an annual incentive cash bonus (“Annual Bonus”) for each full fiscal year ending during the Term beginning with the 2015 fiscal year with a maximum incentive bonus of 100% of his base salary or any such higher number, when, as and if determined from time to time by the Compensation Committee. The payment of the Annual Bonus is conditional on achievement of pre-determined objective performance goals set forth in writing by the Compensation Committee within a reasonable period after execution of this Agreement. The Annual Bonus determined to be due, if any, will be paid within 30 calendar days after the close of the Company's fiscal year, or such other date as agreed to by the Parties.
Annual Incentive Cash Bonus. Executive will be eligible to receive an annual incentive cash bonus of up to 50% of his base salary for each full fiscal year that Executive is employed under this Agreement, provided that if the Effective Date occurs in the first quarter of 2020, the annual incentive cash bonus shall be effective for 2020, but shall be prorated accordingly. To determine Executive’s annual cash bonus, the Committee will establish a written plan in consultation with the Company’s senior management (the “Annual Cash Bonus Plan”) with (i) pre-determined quantifiable objective performance goals and metrics as determinants for a portion of the eligible bonus, and/or (ii) pre-determined qualitative subjective goals as determinants for a portion of the eligible bonus. The annual cash bonus determined to be due, if any, will be paid within 120 calendar days after the close of the Company's fiscal year and completion of an outside audit of the Company’s consolidated financial statements by the Company's independent public accounting firm.
Annual Incentive Cash Bonus. Executive will participate in the --------------------------- Company's annual incentive cash bonus plan established for senior executives, with an annual target bonus equal to 100% of Base Salary, or such higher amount as may be determined by the Board ("Annual Target Bonus") and an annual maximum bonus equal to 200% of Base Salary, or such higher amount as may be determined by the Board ("Annual Maximum Bonus"). Executive's actual annual incentive cash bonus ("Annual Bonus") may be payable after thirty (30) days after the end of the fiscal year for which it is earned, but not later than ninety (90) days after the end of the fiscal year for which it is earned. Unless otherwise expressly determined by the Board, in its discretion, such Annual Bonus shall be considered earned only if Executive is employed by the Company as of the last day of the fiscal year to which such Annual Bonus applies.
Annual Incentive Cash Bonus. During the term of this Agreement, Employee shall have the opportunity to earn an annual incentive cash bonus to be paid annually following the close of the Company's fiscal year. The amount of the annual incentive cash bonus shall be determined by the Board, or the Compensation Committee thereof, in the sole discretion of the Board or the Compensation Committee, as the case may be. Notwithstanding the terms of this Section 2.5, the Company does not anticipate an annual incentive cash bonus being awarded to Employee for the Company's fiscal year ending September 30, 1999.
Annual Incentive Cash Bonus. Effective as of January 1, 2023 and continuing during the Term, the Executive shall be eligible to receive an annual cash bonus as determined by the Compensation Committee in its discretion (the “Annual Cash Bonus”). Effective as of January 1, 2023, the Executive’s annual target cash bonus is $5,000,000 (the “Annual Target Cash Bonus”). The actual amount of the Executive’s Annual Cash Bonus may range from 0% to 200% of the Annual Target Cash Bonus and will be based on performance as measured against a “scorecard” of financial, strategic and individual performance metrics established by the Compensation Committee, after consultation with the Executive, and communicated to the Executive not later than March 31 of the applicable year. The relative weighting of the various performance metrics as applied to the Executive shall initially be as follows but may be modified on a year by year basis at the discretion of the Compensation Committee: (i) financial performance goals: 60%; (ii) strategic performance goals: 30%; and (iii) individual (i.e., the Executive’s) performance goals: 10%. Except as otherwise provided herein or in any applicable incentive compensation plan, to earn any Annual Cash Bonus, the Executive must be actively employed by the Company on, and not have given or received notice of termination of employment prior to, the day on which such Annual Cash Bonus is paid. Subject to the foregoing, any Annual Cash Bonus shall be paid to the Executive no later than March 15th of the year immediately following the year to which the Annual Cash Bonus relates. The Annual Target Cash Bonus shall be subject to periodic review on the same cycle as applicable to other senior executives of the Company and may, at the discretion of the Compensation Committee, be increased.
Annual Incentive Cash Bonus. Executive shall have an opportunity to earn an annual cash bonus under the Company’s annual incentive cash bonus program (the “Annual Bonus”), targeted to be a percentage of Executive’s Base Salary, based upon Executive’s and/or the Company’s attainment of one or more objective performance criteria established in writing by the Board or the Compensation Committee thereof (the “Compensation Committee”). For 2022, (i) the amount of the Annual Bonus is targeted at 75% of Executive’s Base Salary; and (ii) the Annual Bonus is based 60% on the achievement of financial objectives (based on new FST terminals or software installations) and 40% based on six (6) equally weighted measurable strategic objectives. The targeted amount and the metrics for award shall be determined by the Compensation Committee, upon recommendation from management, from year to year. The Company will pay Executive’s Annual Bonus, if any, in the year following the year to which such Annual Bonus relates at the same time such annual bonuses are paid to similarly situated executives of the Company. The Compensation Committee retains discretion to calculate the Annual Bonus. The Annual Bonus shall not be deemed to be earned until it is certified by the Compensation Committee.

  • Annual Incentive Bonus The Company shall, in addition to Executive’s Base Salary, pay Executive an Annual Incentive Bonus, which shall be payable within 120 days of the end of each fiscal year in accordance with the formula set forth on Exhibit A, attached hereto and made a part hereof.

  • Annual Bonus In addition to Annual Base Salary, Executive shall be awarded, for each fiscal year ending during the Employment Period, an annual bonus (the “Annual Bonus”) in cash at least equal to Executive’s highest annual bonus for the last three full fiscal years prior to the Effective Date (annualized in the event that Executive was not employed by the Company for the whole of such fiscal year). Each such Annual Bonus shall be paid no later than the end of the third month of the fiscal year next following the fiscal year for which the Annual Bonus is awarded, unless Executive shall elect to defer the receipt of such Annual Bonus.

  • Annual Incentive The Employee shall be entitled to receive a percentage of the Employee's Target Incentive for the calendar year in which such termination occurs. Such percentage shall equal a fraction, the numerator of which shall be the number of days in such calendar year up to and including the date of such termination and the denominator of which shall be the number of days in such calendar year. Such amount shall be payable according to the normal practice of the Company with respect to the payment of bonuses.

  • Annual Incentive Payment The Executive shall participate in the Company's Management Incentive Plan (or such alternative, successor, or replacement plan or program in which the Company's principal operating executives, other than the Chief Executive Officer, generally participate) and shall have a targeted incentive thereunder of not less than $240,000 per year; provided, however, that the Executive's actual incentive payment for any year shall be measured by the Company's performance against goals established for that year and that such performance may produce an incentive payment ranging from none to 200% of the targeted amount. The Executive's incentive payment for any year will be appropriately pro-rated to reflect a partial year of employment.

  • Annual Incentive Compensation Executive shall be eligible to receive an annual bonus (“Annual Bonus”) with respect to each fiscal year ending during the Employment Period. The Annual Bonus shall be determined under the 2006 Omnibus Incentive Plan (the “Omnibus Plan”) or such other annual incentive plan maintained by the Company for similarly situated employees that the Company designates, in its sole discretion (any such plan, the “Bonus Plan”), in accordance with the terms of such plan as in effect from time to time. For each such fiscal year, Executive shall be eligible to earn a target Annual Bonus equal to seventy percent (70%) of Executive’s Base Salary for such fiscal year, if the Company achieves the target performance goals established by the Board for such fiscal year in accordance with the terms of the Bonus Plan. If the Company does not achieve the threshold performance goals established by the Board for a fiscal year, Executive shall not be entitled to receive an Annual Bonus for such fiscal year. If the Company exceeds the target performance goals established by the Board for a fiscal year, Executive may be entitled to earn an additional Annual Bonus for such year in accordance with the terms of the applicable Bonus Plan. The Annual Bonus for each year shall be payable at the same time as bonuses are paid to other senior executives of the Company in accordance with the terms of the applicable Bonus Plan, but in no event later than two and a half (21/2) months following the end of the applicable fiscal year in which such Annual Bonus was earned. Executive shall be entitled to receive any Annual Bonus that becomes payable in a lump-sum cash payment, or, at his election, (A) up to fifty percent (50%) of the Annual Bonus in the form of a grant of restricted stock units of Common Stock (as defined below) or (B) in any form that the Board generally makes available to the Company’s executive management team, provided that any such election is made by Executive in compliance with Section 409A of the Code and the regulations promulgated thereunder.

  • Annual Incentive Awards The Executive shall participate in the Company's annual incentive compensation plan with a target annual incentive award opportunity of no less than 40% of Base Salary and a maximum annual incentive award opportunity of 80% of Base Salary. Payment of annual incentive awards shall be made at the same time that other senior-level executives receive their incentive awards.
