Annual Preventive Maintenance Service. If Licensee’s SA/TS Package includes the Annual Preventive Maintenance Service option, AtHoc will, once a year, throughout the term of Licensee’s SA/TS Package, perform services at the location of Licensee’s servers on which the Software is installed, as reasonably necessary (in AtHoc’s judgment) to verify and maintain the proper and up- to-date installation and configuration of such Software. Such preventive maintenance services will be provided at AtHoc’s expense and in coordination with Licensee.

The Contractor shall justify all costs for Major Corrective Maintenance to the Authorized User’s satisfaction, and for Repair Items that qualify as Major Corrective Maintenance the Contractor shall be compensated for the full cost of the work unless the corrective maintenance is determined to be the result of the Contractor’s negligence, in which case the Contract shall not be additionally compensated. Prior to performing any Major Corrective Maintenance, the Contractor shall submit a Cost Proposal to the Authorized User for approval. The Cost Proposal shall be a maximum, not to exceed price; shall include all labor and material costs associated with the Major Corrective Maintenance and shall be calculated on a per item basis (like items shall not be combined in the calculation). Upon approval, a letter authorizing the work will be issued by the Authorized User and a copy of such letter must accompany the invoice for the Major Corrective Maintenance services. Please note that if subcontractors are to be used, the requirements of Section 2.22 ‘Subcontracting of Work’ shall be met.

  • Preventative Maintenance Standards of applicable Professional Governing Body. Anesthesia and surgical equipment maintenance standards as per manufacturer specifications and guidelines, subject to review and acceptance by AHS.
