Appointment of Administrative Committee. The Board of Directors of RadioShack shall appoint an Administrative Committee (the “Committee”) to administer the Plan. This Committee shall consist of three or more members who shall not necessarily be employees of the Company. RadioShack shall advise the Trustee of the names of the members of the Committee, and the Trustee shall be entitled to rely thereon until similarly advised of a change in the membership of the Committee. The Committee shall be the “plan administrator” of the Plan, as defined in Section 3(16)(A) of ERISA, and a “named fiduciary” within the meaning of Section 402(a) of ERISA.
Appointment of Administrative Committee. Notwithstanding the foregoing provisions of this Article IX, the Employer may, while retaining its status as plan administrator of the Plan under ERISA, appoint a committee to administer the Plan and carry out all of the functions and duties of the Administrator under the Plan (the "Administrative Committee" or the "Committee"). The Committee shall also act as the Investment Committee under the Plan. The rules set forth in Section 9.1.2 of the Basic Plan Document shall govern actions by the Committee. The members of the Committee shall be deemed fiduciaries for purposes of ERISA and shall be indemnified as described in Section 8.4 of the Basic Plan Document. 2. Section 10.5.1 of the Basic Plan Document is hereby modified by the addition of the following new paragraph at the end thereof: A Participant shall not be permitted to direct that more than 50% of any contributions to any Account in the Plan be initially invested in Qualifying Employer Securities. 3. The Basic Plan Document and the Adoption Agreement are hereby modified to eliminate the functions and duties of the Sponsor and the mass submitter, to the extent such functions and duties are to be performed by the Sponsor or mass submitter in those capacities. The Employer shall assume all such functions and duties that properly belong to the employer-sponsor of an individually-designed qualified profit sharing plan under the Code and ERISA. All reasonable expenses of the Committee shall be paid by the Trust Fund.

(b) The Issuing Bank shall act on behalf of the Lenders with respect to any Letters of Credit issued by it and the documents associated therewith until such time and except for so long as the Administrative Agent may agree at the request of the Required Lenders to act for the Issuing Bank with respect thereto; provided, that the Issuing Bank shall have all the benefits and immunities (i) provided to the Administrative Agent in this Article with respect to any acts taken or omissions suffered by the Issuing Bank in connection with Letters of Credit issued by it or proposed to be issued by it and the application and agreements for letters of credit pertaining to the Letters of Credit as fully as if the term “Administrative Agent” as used in this Article included the Issuing Bank with respect to such acts or omissions and (ii) as additionally provided in this Agreement with respect to the Issuing Bank.
