Administrative Committee. AEP and Customer shall each appoint a member and at least one alternate to an Administrative Committee, and so notify the other Party of such appointment(s) in writing. Such appointment(s) may be changed at any time by similar notice. Each member and alternate shall be a responsible person familiar with the day-to-day operations of their respective system. Generally, this would mean that the Administrative Committee representative(s) will be employees of AEP and the Customer, or entities represented by the Customer; however, the representative(s) may be accompanied by other experts, appropriate to the matters to be considered. The Administrative Committee shall represent AEP and Customer in all matters arising under this Agreement and which may be delegated to it by mutual agreement of the Parties hereto.
Administrative Committee. 1. An Administrative Committee shall be established to consider the implementation of this Agree- ment, to consider any amendments proposed thereto and to consider measures to secure uniform- ity in the interpretation and application thereof.
2. The Contracting Parties shall be members of the Administrative Committee. The Committee may decide that the States referred to in Article 10, paragraph 1 of this Agreement which are not Contracting Parties, any other Member State of the Economic Commission for Europe or of the United Nations or representatives of international intergovernmental or non-governmental or- ganizations may, for questions which interest them, attend the sessions of the Committee as ob- servers.
3. The Secretary-General of the United Nations and the Secretary-General of the Central Commis- sion for the Navigation on the Rhine shall provide the Administrative Committee with secretariat services.
4. The Administrative Committee shall, at the first session of the year, elect a Chairperson and a Vice-Chairperson.
5. The Executive Secretary of the Economic Commission for Europe shall convene the Administra- tive Committee annually, or at other intervals decided on by the Committee, and also at the re- quest of at least five Contracting Parties.
6. A quorum consisting of not less than one half of the Contracting Parties shall be required for the purpose of taking decisions.
7. Proposals shall be put to the vote. Each Contracting Party represented at the session shall have one vote. The following rules shall apply:
(a) Proposed amendments to the annexed Regulations and decisions pertaining thereto shall be adopted in accordance with the provisions of Article 19, paragraph 2;
(b) Proposed amendment to the annexed Regulations and decisions pertaining thereto shall be adopted in accordance with the provisions of Article 20, paragraph 4;
(c) Proposals and decisions relating to the recommendation of agreed classification societies, or to the withdrawal of such recommendation, shall be adopted in accordance with the procedure of the provisions of Article 20, paragraph 4;
(d) Any proposal or decision other than those referred to in paragraphs (a) to (c) above shall be adopted by a majority of the Administrative Committee members present and voting.
8. The Administrative Committee may set up such working groups as it may deem necessary to assist it in carrying out its duties.

Administrative Committee. The Program shall be administered by a committee composed of the chief executive officer and chief financial officer of OCA and any other officer of OCA appointed to such committee by the chief executive officer of OCA (the "Committee"). The express grant in the Program of any specific power to the Committee shall not be construed as limiting any power or authority of the Committee. Any decision made or action taken by the Committee to administer the Program shall be final and conclusive. No member of the Committee shall be liable for any act done in good faith with respect to the Program or any Participation Agreement. In addition to all other authority vested with the Committee under the Program, the Committee shall have complete authority to:
(a) Interpret all provisions of the Program;
(b) Prescribe the form of any Participation Agreement;
(c) Make amendments to all Participation Agreements;
(d) Adopt, amend, and rescind rules for Program administration; and
(e) Make all determinations it deems advisable for the administration of the Program.
Administrative Committee. “Administrative Committee” shall mean the Retirement Committee appointed from time to time by the Board of Directors of the Company.
Administrative Committee. (i) The Board acknowledges the right of the Union to appoint or select four (4) Union Representatives who have completed their probationary period in presenting grievances.
(ii) The Union shall notify the Board, in writing, of the names of such Union Representatives at the time of their appointment or selection.
(iii) The Union agrees that Union Representatives have regular duties to perform in connection with their employment and that so far as possible all activities of the Union Representatives will be carried on outside of the regular working hours of the Union Representatives. A Union Representative shall not leave her/his regular working duties without permission of her/his immediate supervisor, or other persons appointed by the Board, such permission which shall not be unreasonably denied. When resuming regular work, the Union Representative shall again report to her/his immediate supervisor or other persons appointed by the Board.
Administrative Committee. 6.1 Establishment of the System Administrative Committee. There is hereby established an ACCESS Administrative Committee. The Administrative Committee shall serve to make recommendations to the Board.
Administrative Committee. Administrative Committee shall mean that committee, consisting of representatives of each Party to this Agreement, established pursuant to Article 8 of this Agreement.
Administrative Committee. Administrative Committee" shall consist of all outside directors of the Bank's Personnel Committee.

Administrative Committee. (a) The Board shall appoint an Administrative Committee consisting of at least four (4) Trustees (or such other number of Trustees as the Board shall, in its sole discretion, determine), having an equal number of Employer Trustees and Union Trustees, who shall serve at the sole pleasure of the Employer Trustees and Union Trustees, respectively. Employer Trustee members of the Administrative Committee shall be appointed by the Employer Trustees, and Union Trustee members of the Administrative Committee shall be appointed by the Union Trustees. The members of the Administrative Committee shall select a Chairperson from their number.
(b) Subject to the actions of the Board and the provisions of the Plan, the functions of the Administrative Committee shall be to:
(1) establish procedures for the administration and operation of the Plan, including the acceptance and processing of applications for pension benefits;
(2) determine the eligibility of Covered Employees and Beneficiaries for retirement benefits, and the amount and form of payment of such benefits;
(3) calculate (or to authorize the Trust’s Executive Director, staff, actuaries or other service providers to calculate) pension benefit amounts;
(4) review, and approve (or deny), appeals for pension payments, or other benefit claims, submitted by Covered Employees and Beneficiaries that have been denied by the Executive Director or appeals to review state domestic relations orders which have been determined by the Executive Director not to be qualified;
(5) prepare, approve and adopt the administrative expense and operating budget of the Fund office, including determining the salaries and fringe benefits of all Fund employees (other than the three highest paid employees of the Fund office, whose compensation and fringe benefits shall be fixed by the Board);
(6) adopt and administer a pension plan for the staff of the Fund and serve as the “named fiduciary” and “administrator” of such plan for purposes of ERISA;
(7) approve the attendance by, and reimburse the reasonable expenses of, individual Trustees at educational conferences or other meetings in accordance with trustee travel and expense guidelines established from time to time by the Board;
