AUDIOVISUAL RECORDINGS. 12.01 Upon Company's request and subject to Artist's prior commitments, you shall cause the Artist to appear for the making of Audiovisual Recordings embodying the Artist's performances on the following terms: (a) Company and you shall mutually designate the Musical Compositions which shall be embodied in the Audiovisual Recordings. Company and you shall mutually approve the producer and director of the Audiovisual Recordings, all other individuals rendering services in connection with the production of the Audiovisual Recordings, the storyboard and script for the production of the Audiovisual Recordings, and the locations at and the dates on which the Audiovisual Recordings shall be produced (the "Audiovisual Production Elements"). (b) Company shall pay the Audiovisual Production Costs in an amount not in excess of a written budget approved by Company in writing. The Audiovisual Production Costs shall mean and include all minimum union scale payments made by Company to the Artist in connection with the production of the Audiovisual Recordings, all payments which are made by Company to any other individuals rendering services in connection with the production of the Audiovisual Recordings, all other payments which are made by Company pursuant to any applicable law or regulation or the provisions of any collective bargaining agreement between Company and any union or guild (including, without limitation, payroll taxes and payments to union pension and welfare funds), all amounts paid or incurred by Company for studio, hall, location or set rentals, tape, film, other stock, engineering, editing, instrument rentals and cartage, transportation and accommodations, immigration clearances, any so-called "per diems" for any individuals (including the Artist) rendering services in connection with the production of the Audiovisual Recordings, together with all other amounts paid or incurred by Company in connection with the production of the Audiovisual Recordings. To the extent permissible under applicable union agreements, you and Artist hereby waive any right to be paid union scale payments in connection with the production of Audiovisual Recordings. The Audiovisual Production Costs shall constitute Advances hereunder. (c) The Audiovisual Recordings shall be produced in accordance with the rules and regulations of all labor unions and guilds having jurisdiction over the production thereof. AUDIOVISUAL RECORDINGS. (a) Upon Company's reasonable request, You shall cooperate with Company and perform to the best of Your ability for the making of Audiovisual Recordings, in accordance with all applicable labor unions and guilds. You and Company shall mutually designate the following "Audiovisual Production Elements": Musical Compositions, personnel (including producer and director), storyboard, script, locations and production dates. Company shall pay all costs incurred in connection with the production of Audiovisual Recordings within the written budget approved by Company in writing. To the extent permissible, You hereby waive any right to be paid union scale payments in connection with Audiovisual Recordings. All costs incurred in connection with the production of Audiovisual Recordings shall be recoupable from royalties payable to You from the exploitation of Audiovisual Recordings; one-half (1/2) of such costs (not to exceed sixty thousand dollars ($60,000.00 for each audiovisual recording) shall be recoupable from royalties payable (other than mechanical royalties) to You in connection with the exploitation of audio-only Master Recordings.

AUDIOVISUAL RECORDINGS. 1. It is reiterated that in accordance with the provisions of this agreement, the PRODUCER grants the COMPANY, which accepts, the exclusive right to reproduce the recordings of the ARTIST, and to exploit them on any medium. It is agreed that if the PRODUCER produces a live video, a Long Form, or a videomusic, or has them produced, reproducing the services or the recordings of the musical works of the ARTIST, the COMPANY is solely entitled to reproduce, or have reproduced the said videograms, as well as to broadcast them, or have them broadcast, for commercial or promotional purposes. The PRODUCER warrants the COMPANY against any claim by a third party concerning any live video, Long Form or videomusic delivered to the COMPANY under this agreement. 2. The COMPANY shall make a cash contribution to the production budget of each videomusic delivered by the PRODUCER under the present agreement, for an amount of (euro) 5.000,- (five thousand euros). It is stipulated that any video contribution paid by the COMPANY shall be fully recoupable by directly offsetting it against any sums which the COMPANY may owe the PRODUCER under the present agreement. 3. These provisions do not prevent the PRODUCER and the COMPANY from concluding a specific agreement in order to coproduce any Long Form or videomusic, in which case the PRODUCER's and COMPANY's shares shall be stipulated in the said coproduction agreement.

  • Recordings The Client and the Service Provider consent to telephonic or electronic recordings for security and quality of service purposes and agree that either may produce telephonic or electronic recordings or computer records as evidence in any proceedings brought in connection with this Agreement.

  • Tape-recording Trust authorizes the Custodian to tape record any and all telephonic or other oral instructions given to the Custodian by or on behalf of the Trust, including from any Authorized Person. This authorization will remain in effect until and unless revoked by the Trust in writing. The Trust, upon request, further agrees to solicit valid written or other consent from any of its employees with respect to telephone communications to the extent such consent is required by Applicable Law.

  • Video recording During the Construction Period, the Contractor shall provide to the Authority for every calendar quarter, a video recording, which will be compiled into a 3 (three)- hour compact disc or digital video disc, as the case may be, covering the status and progress of Works in that quarter. The video recording shall be provided to the Authority no later than 15 (fifteen) days after the close of each quarter after the Appointed Date.

  • Artwork Licensee must use the Java Logo(s) only in the exact form of approved camera-ready artwork or electronic artwork received from Oracle or Oracle's designee.

  • Filings and Recordings The Administrative Agent shall have received all filings and recordations that are necessary to perfect the security interests of the Administrative Agent, on behalf of the Secured Parties, in the Collateral and the Administrative Agent shall have received evidence reasonably satisfactory to the Administrative Agent that upon such filings and recordations such security interests constitute valid and perfected first priority Liens thereon (subject to Permitted Liens).
