Authorized Transfers. You are liable for all Electronic Fund Transfers that you authorize, whether directly or indirectly. • Unauthorized Transfers: Tell us at once if you believe your Mobile App Login ID or password has been lost or stolen or if your Mobile App user account has been, or may have been, subject to Unauthorized Electronic Fund Transfers. Contact us immediately to keep your possible losses to a minimum. You could lose all the money in your Linked Account(s) and/or Exto Banking Account. • If you tell us within four (4) business days after learning of the loss or theft of your Mobile App Login ID or password or after learning of any other Unauthorized Electronic Fund Transfers associated with your Mobile App user account, you can lose no more than $50. However, if you DO NOT tell us within four (4) business days after learning of the loss, theft or unauthorized use associated with your Mobile App user account, and we can establish that we could have prevented the Unauthorized Electronic Fund Transfer(s) if you had told us in time, you could lose as much as $500. • If your periodic account statement issued by your bank or financial institution shows Unauthorized Electronic Fund Transfers and you DO NOT tell us within ninety (90) days after the statement was delivered to you, you may not get back any money you lose after the ninety (90) day period if we can prove that we could have prevented the unauthorized transfer(s) if you had told us in time. If an extenuating circumstance (such as extended travel or hospitalization) prevents you from promptly notifying us of a suspected lost or stolen Mobile App Login ID or password or of any other suspected Unauthorized Electronic Fund Transfers(s), the time periods specified in this Section 26.2 may be extended for a reasonable period.
Authorized Transfers. Subject to complying with the conditions of Section 12.3, each Member and Unit Holder may Transfer all or any part of its Units in the Company to a transferee, by giving written notice of such Transfer to the Manager, and the transferee thereof will become a Unit Holder as to the transferred interest having the rights and subject to the obligations specified in this Article XII. Such a Transfer shall, however, not cause such transferee to be admitted as a Member, unless the Manager's consent thereto is granted under Section 12.6.

For these transactions, if you DO NOT tell the Program Manager within two (2) business days after learning of the loss, theft or unauthorized use, and we can establish that we could have prevented the unauthorized transfer(s) if you had told the Program Manager in time, you could lose as much as $500. If you are a California resident, you will not be liable for the $500 amount described in the prior sentence for unauthorized Debit Card or ATM transactions; however, if you fail to report an unauthorized use that appears on a periodic statement within 60 days of our transmittal of your periodic statement, then you may be liable for the amount of each unauthorized transfer that occurs after the close of the 60 days and before you provide notice to the Program Manager, unless the delay in notifying the Program Manager was due to extenuating circumstances beyond your reasonable control. o Also, if your periodic account statement shows unauthorized transfers and you DO NOT tell the Program Manager within sixty (60) days after the statement was mailed or made available to you, you may not get back any money you lose after the sixty (60) day period if we can prove that we could have prevented the unauthorized transfer(s) if you had told the Program Manager in time. Authorized Transfers. Only with the prior written approval of Lessor, Lessee may assign or otherwise transfer Lessee's interest in this Lease and the Project to a trustee under a deed of trust or a mortgagee under a mortgage (herein collectively called "trust deed") for the benefit of an institutional or other bona fide lender for value approved by Lessor under its Pepperdine University Home Loan Program (“PUHLP”) as set forth in Paragraph 4 of Lessee’s Purchase Agreement, including without limitation, Lessor as holder of a deed of trust to secure payment of rent and other charges hereunder (herein called "Authorized Encumbrancer"). Any such assignment, pledge or transfer of all or any portion of Lessee’s interest in this Lease made without the prior written approval of Lessor shall be null and void and of no effect.
Authorized Transfers. Each Shareholder may Transfer their Attached Shares (including the Right of First Offer and the Right of First Refusal to the acquisition), at any time, with the restrictions provided for in this Clause 3 not applicable:
(a) to another Shareholder in their own Shareholder Group; and
(b) to their Successors; and
(c) to their Permitted Assignees, as defined in Clause 3.7.1.
3.7.1. The Transfer of Attached Shares to Affiliates (with Affiliates that meet said conditions, the “Permitted Assignees”) is conditioned, cumulatively, upon the following: (a) that the assignee Affiliate shall adhere to the Agreement, unconditionally and irrevocably, as a condition for the validity of the Transfer, which shall compose the Shareholder Group of the assignee Shareholder; (b) that the assignee Shareholder, individually or jointly with his or her Successors, shall be, directly or indirectly, the holder of the total capital of the Affiliate, and he or she further undertakes: (b.1) not to Transfer, share or sell their ownership interest, directly or indirectly, as applicable, in the respective Permitted Assignee, in any way, without reacquiring the Attached Shares and fulfilling the restrictions on the Transfer of Attached Shares, as and if applicable in accordance with the terms of this Agreement; and (b.2) to jointly guarantee all obligations of the assignee Affiliate related to this Agreement.
Authorized Transfers. Pre-authorized electronic funds transfer means an electronic funds transfer authorized in advance to recur at substantially regular intervals. You can arrange to have payments from a third party electronically credited to your account, such as direct payment of federal Social Security benefits. You can also arrange to have payments you owe to a third party (such as payment of an insurance premium) electronically debited from your account. Generally, you will have to enter into a separate agreement to have this done on a recurring basis. There is no limitation on the amount that can be credited to your account. You must maintain sufficient funds in the designated account(s) to cover any debit. Preauthorized transfers crediting your account are generally available for all deposit accounts with the exception of Certificates of Deposit. Preauthorized transfers debiting your account are generally permitted from statement accounts. Preauthorized transfers debiting your account are NOT permitted from passbook accounts and/or Certificates of Deposit. By law, you can only make six (6) preauthorized withdrawals or automatic transfers each month from your statement savings or money market account(s).
Authorized Transfers. Purchaser will, after expiration of the Restricted Period, offer, sell, pledge or otherwise transfer the Subscription Shares only pursuant to registration under the Securities Act or an available exemption therefrom and, in accordance with all Applicable Laws.

Upon instruction of (a) your employer or (b) the Treasury Department or (c) other financial institutions, the Credit Union will accept pre-authorized transfers to your account in the form of direct deposits of your paycheck or of federal recurring payments, such as Social Security. In addition, you may contract for pre-authorized transfers from your accounts in the form of direct withdrawals from your account to a particular person or company at least periodically.
Authorized Transfers. (a) Notwithstanding Section 3.5, neither LifeMetrix nor any LifeMetrix Stockholder will Transfer any Shares at any time except Transfers described in Section 3.6(b).
(b) From and after the expiration of the applicable Restricted Period, LifeMetrix and the LifeMetrix Stockholders may Transfer Shares only (i) pursuant to a transaction approved in writing by the Board, (ii) pursuant to (A) a "qualifying offer" (as defined below) or (B) a "qualifying tender offer" (as defined below), (iii) in a Permitted Transfer, Liquidating Transfer, or an Investor Distribution, (iv) pursuant to a bona fide pledge of Shares by LifeMetrix or a LifeMetrix Stockholder as security for bona fide indebtedness to a brokerage firm or financial institution not affiliated with LifeMetrix, such LifeMetrix Stockholder or any of their Affiliates for money borrowed, (v) in "brokers' transactions" (as such term is defined in Rule 144(g) of the Securities Act, which definition shall apply for all purposes of this Agreement) on the NMS, or if the Shares are not listed on the NMS, on the principal national securities exchange on which such Shares are listed or admitted to trading, and if not so listed or admitted, in the over-the-counter market (vi) in a registered public offering pursuant to the Registration Rights Agreement, or (vii) to any Person or group if, after due inquiry, LifeMetrix or a LifeMetrix Stockholder reasonably believes such Person or group would not own 5% or more of the then outstanding Common Stock. For purposes of this Agreement, a "qualifying offer" shall mean (i)any tender offer or exchange offer commenced by Matria for any Matria Voting Securities, and (ii) any acquisition transaction involving any Matria Voting Securities proposed by a Person or entity other than Matria (A) which is approved by, or not opposed by, the Board, or (B) where such third party offeror already owns at least 50% of the outstanding Matria Voting Securities. For purposes of this Agreement, a "qualifying tender offer" shall mean any acquisition transaction involving any Matria Voting Securities which is a bona fide tender offer or exchange offer that is commenced by a third party offeror who does not already own at least 50% of the outstanding Matria Voting Securities at a price per share greater than the Market Price as of the last trading day prior to the first public announcement of such offer, if upon consummation thereof, such third party offeror would have Beneficial Ownership of 50% or ...
