Back-up System. 16.01 A back-up system for temporary replacement of permanent employees shall be established where needed. The Company will create and fill back-up positions based on production requirements. 16.02 All back-up vacancies will be posted in accordance with Article Job Postings. 16.03 When filling such temporary requirements, permanent employees in the job classification have priority over employees who hold the same back-up job classification. 16.04 Employees may hold only one (1) “back-up” position at any time. Those who hold more than one (1) “back-up” will be required to declare their preference and forfeit other “back-up” positions. 16.05 Postings for “back-up” positions will be shift specific; if the position goes unfilled, management will post across shifts.

Back-up System. (a) Within a reasonable period after execution of this Agreement, nFront shall deliver to Reseller, the nHome System on appropriate media, which Reseller shall store in a secure location (the "Back-up System"). During the Term and until the Password Release Date, nFront shall update the Back-up System no more frequently than twice annually unless mutually agreed upon. Concurrently with the execution of this Agreement, nFront and Reseller shall enter into a Password Escrow Agreement in respect of the Back-up System in the form attached hereto as Exhibit G. If, pursuant to such agreement the Password (as defined in such agreement) is released to Reseller (the "Password Release Date"), Reseller may use the Password solely to continue to provide services to its Customer Base as in effect as of the Password Release Date for a period ending on the earlier of (i) the date that Reseller secures the services of an alternate provider of Internet home banking services or (ii) one (1) year from the date of such release (the "Password Termination Date"). On the Password Termination Date, Reseller shall deliver to nFront (or its successor-in-interest to the Password and Back-up System) the nHome System and all copies thereof then in Reseller's custody or control. Reseller's obligations under Articles VI and VII of the Agreement shall apply to the Back-up System. (b) Prior to the Password Release Date, Reseller shall not access, or attempt to access, the Back-up System. If, prior to the Password Release Date, Reseller breaches the provisions of this Section 11.1(b), in addition to any other remedies that nFront may have in law or in equity, nFront may, without notice to Reseller, terminate this Agreement forthwith. (c) Reseller shall pay all costs and expenses associated with the generation, maintenance and storage of the Back-up System and the Password Escrow Agreement. The generation and maintenance cost and expenses are estimated to be a one-time $300.00 per bank setup and $2,500 per semi-annual Customer Base backup. (d) Upon the Password Release Date, nFront shall be available to assist the Reseller to implement the System in accordance with a project plan and cost structure to be mutually agreed upon by the parties.

Those who hold more than one (1) “back-up” will be required to declare their preference and forfeit other “back-up” positions. 16.05 Employees shall be paid the back-up rate if the rate is higher than their current wage rate. For the purposes of compensation, the Company shall use the period of time calculated in hours that the employee requiring back-up is away.
Back-up System. In the Contingency Plan, the CONCESSIONAIRE shall design and maintain an alternative emergency mechanism in case the service cannot be provided on a regular basis. This mechanism shall be capable of providing the same amount of daily rations for the duration of the grounds that originated its activation or for a period of up to ten (10) Calendar Days. The CONCESSIONAIRE shall ensure that the students who by instructions of the GRANTOR require rations or snacks, but do not attend the services, have their meals. All food shall be served on a hot line - self-service basis in the XXXX dining room. The CONCESSIONAIRE shall provide the rations and snacks in appropriate packaging when academic and comprehensive training outings are scheduled for the students. Additionally, the CONCESSIONAIRE shall submit to the GRANTOR the proposals of rations to be served during the academic outings, as part of the monthly menu programming to be submitted, which shall be verified and approved by the GRANTOR. The CONCESSIONAIRE shall have a registration space for students, and shall implement a system for the control of the students served. The CONCESSIONAIRE shall make available to the GRANTOR and Supervisor, the list of students attended each day.
Back-up System. The function of a back-up system is used to create backups of computer/electronic equipment so that, in the event of a disaster or computer failure the system can be quickly restored. This is not a core function of the automation of the plant but is considered necessary to ensure a maintainable C&I System. The back-up system must be able to automatically back up the following types of equipment: • Computers and servers • Databases • Configuration files of all automation equipment • Process data collected by the PIS The frequency of backups made must be customisable per equipment. A manual backup procedure must be developed that covers all equipment where backups can’t be automated. A disaster recovery procedure has to be in place that defines an adequate response for restoring system/equipment configuration during various abnormal situations. An alternative location is considered in order to improve the physical separation of the backups. The centralised data servers can either be located in the station server room or at a secure location outside of the auxiliary bay. A totally off-site location is not considered because of the security, expected cost and increased difficulty in maintenance.
Back-up System. Company will at all times maintain, or cause to be maintained an appropriate emergency back-up system consistent with the requirements of FINRA. At a minimum, such emergency back-up system will insure that books and records concerning Custodial Deposit Accounts and Customer’s funds deposited therein will be retrievable within a reasonable time in the event of computer failure or malfunction.
Back-up System. Promontory Network will at all times maintain, or cause to be maintained, an adequate emergency back-up system as set forth in the SLA.

  • Evaluation Software If the Software is an evaluation version or is provided to You for evaluation purposes, then, unless otherwise approved in writing by an authorized representative of Licensor, Your license to use the Software is limited solely for internal evaluation purposes in non-production use and in accordance with the terms of the evaluation offering under which You received the Software, and expires 90 days from installation (or such other period as may be indicated within the Software). Upon expiration of the evaluation period, You must discontinue use of the Software, return to an original state any actions performed by the Software, and delete the Software entirely from Your system and You may not download the Software again unless approved in writing by an authorized representative of Licensor. The Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. RESTRICTIONS

  • Unbundled Network Element Combinations 5.1. Unbundled Network Element Combinations shall include: 1) Enhanced Extended Links (EELs); 2) UNE Loops/Special Access Combinations; 3) Loop/Port Combinations; and 4)

  • Unbundled Loop Modifications (Line Conditioning 2.5.1 Line Conditioning is defined as routine network modification that BellSouth regularly undertakes to provide xDSL services to its own customers. This may include the removal of any device, from a copper Loop or copper Subloop that may diminish the capability of the Loop or Subloop to deliver high-speed switched wireline telecommunications capability, including xDSL service. Such devices include, load coils, excessive bridged taps, low pass filters, and range extenders. Excessive bridged taps are bridged taps that serves no network design purpose and that are beyond the limits set according to industry standards and/or the BellSouth’s TR 73600 Unbundled Local Loop Technical Specification. 2.5.2 BellSouth will remove load coils only on copper Loops and Subloops that are less than eighteen thousand (18,000) feet in length. 2.5.3 For any copper loop being ordered by NewPhone which has over six thousand (6,000) feet of combined bridged tap will be modified, upon request from NewPhone, so that the loop will have a maximum of six thousand (6,000) feet of bridged tap. This modification will be performed at no additional charge to NewPhone. Loop conditioning orders that require the removal of bridged tap that serves no network design purpose on a copper Loop that will result in a combined total of bridged tap between two thousand five hundred (2,500) and six thousand (6,000) feet will be performed at the rates set forth in Exhibit A. 2.5.4 NewPhone may request removal of any unnecessary and non-excessive bridged tap (bridged tap between zero (0) and two thousand five hundred (2,500) feet which serves no network design purpose), at rates pursuant to BellSouth’s SC Process as mutually agreed to by the Parties. 2.5.5 Rates for ULM are as set forth in Exhibit A. 2.5.6 BellSouth will not modify a Loop in such a way that it no longer meets the technical parameters of the original Loop type (e.g., voice grade, ADSL, etc.) being ordered. 2.5.7 If NewPhone requests ULM on a reserved facility for a new Loop order, BellSouth may perform a pair change and provision a different Loop facility in lieu of the reserved facility with ULM if feasible. The Loop provisioned will meet or exceed specifications of the requested Loop facility as modified. NewPhone will not be charged for ULM if a different Loop is provisioned. For Loops that require a DLR or its equivalent, BellSouth will provide LMU detail of the Loop provisioned. 2.5.8 NewPhone shall request Loop make up information pursuant to this Attachment prior to submitting a service inquiry and/or a LSR for the Loop type that NewPhone desires BellSouth to condition. 2.5.9 When requesting ULM for a Loop that BellSouth has previously provisioned for NewPhone, NewPhone will submit a SI to BellSouth. If a spare Loop facility that meets the Loop modification specifications requested by NewPhone is available at the location for which the ULM was requested, NewPhone will have the option to change the Loop facility to the qualifying spare facility rather than to provide ULM. In the event that BellSouth changes the Loop facility in lieu of providing ULM, NewPhone will not be charged for ULM but will only be charged the service order charges for submitting an order.

  • Network Access TENANT may find it necessary to purchase a network interface card, wireless PC card or other hardware in order to connect to the internet service. LANDLORD is not responsible for the purchase of these items and LANDLORD cannot guarantee compatibility with any device TENANT may have. The computer and network card must have software installed that supports the Internet Protocol commonly referred to as TCP/IP. Any conflicts between the software compatibility of the network and the TENANT’S computer operating system or any other feature will be the responsibility of the TENANT to resolve. LANDLORD will not be responsible for software issues related to the user’s personal computer.

  • Interface A defined set of transmission facilities that separate Load Zones and that separate the NYCA from adjacent Control Areas. Investor-Owned Transmission Owners. A Transmission Owner that is owned by private investors. At the present time these include: Central Xxxxxx Gas & Electric Corporation, Consolidated Edison Company of New York, Inc., New York State Electric & Gas Corporation, Niagara Mohawk Power Corporation, Orange and Rockland Utilities, Inc., and Rochester Gas and Electric Corporation.

  • Server Software Subject to the terms and conditions of this XXXX, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.
