Care and Maintenance. The Real Estate shall be preserved in its present condition and delivered intact at the time of closing.

Subject to the provisions of Sections 13 and 14 hereof, Tenant shall, at Tenant's own expense, keep the Premises in good order, condition and repair and shall pay for the repair of any damages caused by Tenant, its agents, employees or invitees. Tenant shall promptly arrange with Landlord, at Tenant's sole expense, for the repair of all damage to the Premises and the replacement or repair of all damaged or broken glass (including signs thereon), fixtures and appurtenances (including hardware, heating, cooling, ventilating electrical, plumbing and other mechanical facilities in the Premises), with materials equal in qualify and class to the original materials damaged or broken, within a reasonable period of time specified by Landlord. All repairs and replacements are to be made under the supervision and with the prior written approval of Landlord, using contractors or persons acceptable to Landlord. If Tenant does not promptly make such arrangements, Landlord may, but need not, make such repairs and replacements and one hundred twenty (120%) percent of Landlord's cost for such repairs and replacements shall be deemed additional rent reserved under this Lease which is due and payable forthwith. Tenant shall pay Landlord or the managing agent of the Building, as Landlord may direct, a for supervision and coordination of all work performed by Tenant as well as all costs for overtime and for any other expense incurred in the event repairs, alterations, decorating or other work in the Premises are not made during ordinary business hours at Tenant's request.

Lessee shall keep and maintain all portions of the Premises in good repair and condition (including but not limited to all electrical and plumbing fixtures, glass, closets, floors, walls, and ceilings) so as to minimize the effects of normal use and/or natural deterioration. Lessee shall not remove any UTA property from the Premises. Lessee shall be liable to UTA for damage to the Premises or other portions of the building caused by the Lessee, Occupant(s), or their invitees. The sidewalks, steps, entrance halls, walkways, and stairs of the building containing the Premises shall not be obstructed or used for other than ingress and egress.
Care and Maintenance. Auxiliary agrees to keep and maintain the leased property in a clean and orderly condition and shall at its own expense, at reasonably frequent intervals, and in a lawful manner dispose of all waste from the leased property.

The Real Estate shall be preserved in its present condition and delivered intact at the time possession is delivered to Buyers, provided, however, if there is loss or destruction of all or any part of the Real Estate from causes covered by the insurance maintained by Sellers, Buyers agree to accept such damaged or destroyed Real Estate together with such insurance proceeds in lieu of the Real Estate in its present condition and Sellers shall not be required to repair or replace same.
