Chair and Vice Chair. The Council shall appoint from amongst its members a Chair and Vice Chair who shall retire in the same manner as provided for members in Clause 5. The Chair shall be held in alternate years by a member of the Employers' Side and a member of the Trade Union Side. In the absence of the Chair, the Vice Chair shall preside at the meetings of the Council. If neither the Chair nor the Vice Chair is present, a Chair shall be elected for the meeting. The Chair shall have a vote, but not a casting vote. The Chair and Vice Chair shall be ex officio members of any committees.

Chair and Vice Chair. The Directors shall select, from among themselves, a Chair, who shall be the presiding officer of all Board meetings, and a Vice Chair, who shall serve in the absence of the Chair. The term of office of the Chair and Vice Chair shall continue for one year, but there shall be no limit on the number of terms held by either the Chair or Vice Chair. The office of either the Chair or Vice Chair shall be declared vacant and a new selection shall be made if: (a) the person serving dies, resigns, or the Party that the person represents removes the person as its representative on the Board or (b) the Party that he or she represents withdraws form the Authority pursuant to the provisions of this Agreement.
Chair and Vice Chair. 4.1 The Chair and Vice-Chair shall be Members and shall be appointed by vote for a term of 12 calendar months. 4.2 In the absence of the Chair, the Vice-chair shall be entitled to exercise all of the functions of the Chair. 4.3 The decision of the Chair of the meeting on all points of procedure and order and the Chair's interpretation of any rule in this schedule shall be final and no debate may ensue thereon. The Chair shall be entitled to take the advice of a governance officer in interpreting any rule or objection on procedure. 4.4 The Chair may be assisted during meetings by governance officer on procedural matters and such administrative officers as the Chair considers appropriate. Such governance and secretarial officers shall be entitled to remain in the meeting where the public and press are excluded.

Upon a vacancy, the position shall be filled at the next regular meeting of the Board held after such vacancy occurs or as soon as practicable thereafter. Succeeding officers shall perform the duties normal to said offices.
Chair and Vice Chair. The Executive Committee shall select from among its members a Chair, as well as a Vice Chair who shall serve as the Chair of the Executive Committee when the Chair is not present.
Chair and Vice Chair. 6.1 At the first meeting of the Joint Committee and subsequently at its Annual Meeting in each successive year the Joint Committee shall select one of its Members as Chair and another as Vice Chair for the forthcoming year Provided that at no time shall the Chair and Vice Chair be members of the same Authority. 6.2 The Chair of the Committee shall alternate between both authorities on an annual basis unless otherwise agreed at the Annual meeting of the Committee. 6.3 The elected Chair and Vice Chair shall remain in office until the next Annual Meeting unless by reason of death resignation disqualification or any other cause before that time and upon a vacancy occurring during the term of office another Member from the same Authority shall be appointed by the Joint Committee to fill the vacancy until the next Annual Meeting. 6.4 If there is equality of votes as to the appointment of Chair or Vice Chair then the Chair for the time being of that meeting shall have a second or casting vote.

At the end of the appropriate meeting, the Meeting of the Parties shall elect a Chair and a Vice-Chair who shall be from different Parties, unless the Meeting of the Parties decides otherwise. The Chair and Vice-Chair shall remain in office for a period of two years and may be re-elected for additional terms. If the Meeting of the Parties is not able to elect a Chair and/or a Vice-Chair, the host Party (the Party that will host the annual meeting in that year) shall provide the Chair, and the previous host Party the Vice-Chair. 17. The duties of the Chair are to be exercised both during the meeting and during the intersessional period. These are: a. Declare the opening and the closing of the meeting; b. Preside over the Meeting of the Parties; c. Decide on all questions of order that may arise at the Meeting of the Parties. However, upon the request of a Party, such decision by the Chair shall be submitted to the Meeting of the Parties for its reconsideration and possible revocation; d. Encourage and facilitate consensus on matters under consideration at the Meeting of the Par- ties. e. Act in representation of the Meeting of the Parties, in accordance with the tasks that the Meet- ing of the Parties may assign. f. In general, carry out such functions as the Meeting of the Parties may assign. 18. If the Chair is unable to carry out its functions at any time, the Vice Chair shall act as Chair until such time as the Chair is able to resume carrying out its functions or a new Chair is elected. If neither the Chair nor the Vice-Chair are able to carry out their functions, the host Party shall provide a Chair and the previous host Party a Vice-Chair.
Chair and Vice Chair. The AAB shall appoint one of its independent non-executive members (“NEMs”) to the role of Audit and Assurance Chair. The AAB may elect a vice-chair from any of its membership to preside in the absence of the Audit and Assurance Chair of the Board.
