Change of Personnel. 4.1 The Supplier is responsible for maintaining reasonable continuity in personnel providing the Goods on its behalf but reserves the right to make changes from time to time. Where substitution of personnel occurs: (a) no additional charge will be made for any handover period, and the Supplier remains responsible for the services performed by any individual on its behalf; (b) where the Supplier's charges are on a time and materials basis, it is the Supplier's responsibility to ensure that the relevant skills and experience of any replacement personnel remain commensurate with the fee rates charged; (c) the terms of the Order and in particular (but not limited to) the contract price and timetable of the project, will remain unchanged, unless otherwise agreed by the parties in writing; (d) the Supplier shall ensure that any substitute personnel shall have the necessary qualifications and experience to fulfill the obligations pursuant to the Order; and (e) the Supplier acknowledges that Xxxxx has the right to refuse to accept the substitute personnel in the event of non-compliance with this clause. 4.2 In the event that the Supplier cannot provide either the original personnel or acceptable substitute personnel, Buyer is entitled to terminate the Order immediately. Termination pursuant to this article does not entitle either of the parties to compensation of any damages

Where substitution of personnel occurs: 6.1.1. no additional charge will be made for any handover period, and the Supplier remains responsible for Services performed by any individual on its behalf; 6.1.2. where the Supplier's charges are on a time and materials basis, it is the Supplier's responsibility to ensure that the relevant skills and experience of any replacement personnel remain commensurate with the fee rates charged; 6.1.3. the terms of an Agreement and in particular (but not limited to) the Service Fee and timetable of the project, will remain unchanged, unless otherwise agreed by the Parties in writing; 6.1.4. the Supplier shall ensure that any substitute personnel shall have the necessary qualifications and experience to fulfil the obligations pursuant to an Agreement; and 6.1.5. the Supplier acknowledges that BI has the right to refuse to accept the substitute personnel in the event of non-compliance with this clause. 6.2. In the event that the Supplier cannot provide either the original personnel or acceptable substitute personnel, BI is entitled to terminate an Agreement immediately by notice in writing to the Supplier.
Change of Personnel. If any Key Personnel become unavailable for any reason, Vendor shall provide the Customer with a resume of a proposed replacement within a ten working day period and will offer the Customer an opportunity to interview the replacement at the Customer’s expense for travel and/or phone calls to City of Tempe from outside of the State of Arizona. In no event will the interview of the replacement of the Key Personnel take more than five business days following the day the former Key Personnel becomes unavailable, unless expressly waived in writing by the Customer. If the Customer determines that the replacement proposed by Vendor does not have the ability and experience to perform the services required under this Agreement, the Customer will so notify Vendor within a two-day period after the interview. In that situation, the process will be repeated until the Customer has approved a replacement proposed by Vendor.
