Cleaner/Custodian/Head Custodian Classifications. The Board agrees that a member appointed by the Union shall be present during the transfer meeting when positions are assigned as per the process below. The Union will be provided with copies of the list of individuals requesting transfer and copies of the available openings and new positions. Such appointed Union committee member shall be paid their applicable rate of pay for all time spent in such meetings. Transfer meetings will be scheduled quarterly (September 15, December 15, March 15, and May 15). Transfer of staff will occur within ten (10) working days following the transfer meeting unless an alternate date is mutually agreed to by the parties. Employees who have successfully completed their probationary period and wish to transfer will complete a “Commitment to Transfer Form”. It is understood that in order to be eligible for a transfer, the employee must have the necessary qualifications and be able to perform the work. An interview will be required to determine qualifications and ability when individuals request to transfer outside of their current classification. These forms must be received by Human Resource Services by the 1st of each month of the identified scheduled transfer months to be included in the next process. Commitment to transfer forms are void at the end of each calendar year. Therefore, a new transfer form must be submitted each calendar year to be eligible to transfer to another position. The Board will email a list of known Custodian and Head Custodian openings, five (5) working days prior to the submission date for transfers as noted above. The list will provide the known openings as of the date prior to the email being sent. The Board will, by email, distribute a list of all staff transfers completed through the process prior to the transfer of staff. Employees requesting to be considered for a transfer to a new classification must submit a resume to Human Resource Services one month in advance of next transfer date noted above. It is understood that when completing the forms, staff members are committing to be transferred should the position become available and the member is the most senior member requesting the transfer. When vacancies occur, positions will be filled in order of seniority and in order of preference from staff who have submitted “Commitment to Transfer Forms”.   • Limitation on Custodian Responsibility The Custodian will not under any circumstances be responsible for the timing, purpose or propriety of any contribution or of any distribution made hereunder, nor shall the Custodian incur any liability or responsibility for any tax imposed on account of any such contribution or distribution. Further, the Custodian shall not incur any liability or responsibility in taking or omitting to take any action based on any notice, election, or instruction or any written instrument believed by the Custodian to be genuine and to have been properly executed. The Custodian shall be under no duty of inquiry with respect to any such notice, election, instruction, or written instrument, but in its discretion may request any tax waivers, proof of signatures or other evidence which it reasonably deems necessary for its protection. The depositor and the successors of the depositor including any executor or administrator of the depositor shall, to the extent permitted by law, indemnify the Custodian and its successors and assigns against any and all claims, actions or liabilities of the Custodian to the depositor or the successors or beneficiaries of the depositor whatsoever (including without limitation all reasonable expenses incurred in defending against or settlement of such claims, actions or liabilities) which may arise in connection with this Agreement or the custodial account, except those due to the Custodian’s own bad faith, gross negligence or willful misconduct. The Custodian shall not be under any duty to take any action not specified in this Agreement, unless the depositor shall furnish it with instructions in proper form and such instructions shall have been specifically agreed to by the Custodian, or to defend or engage in any suit with respect hereto unless it shall have first agreed in writing to do so and shall have been fully indemnified to its satisfaction.

  • Appointment of Key Sub-Contractors The Supplier shall ensure that all Sub-Contracts contain a provision: requiring the Supplier to pay any undisputed sums which are due from it to the Sub-Contractor within a specified period not exceeding thirty (30) days from the receipt of a valid invoice; requiring that any invoices submitted by a Sub-Contractor shall be considered and verified by the Supplier in a timely fashion and that undue delay in doing so shall not be sufficient justification for failing to regard an invoice as valid and undisputed; requiring the Sub-Contractor to include in any Sub-Contract which it in turn awards suitable provisions to impose, as between the parties to that Sub-Contract, requirements to the same effect as those required by sub-clauses 5.17.1 and 5.17.2 directly above; and conferring a right to the Customer to publish the Supplier’s compliance with its obligation to pay undisputed invoices within the specified payment period. The Supplier shall pay any undisputed sums which are due from it to a Sub-Contractor within thirty (30) days from the receipt of a valid invoice. Any invoices submitted by a Sub-Contractor to the Supplier shall be considered and verified by the Supplier in a timely fashion. Undue delay in doing so shall not be sufficient justification for the Supplier failing to regard an invoice as valid and undisputed. Notwithstanding any provision of Clauses 9.2 (Confidentiality) and 13 (Publicity, Media and Official Enquiries) if the Supplier notifies the Customer that the Supplier has failed to pay an undisputed Sub-Contractor’s invoice within thirty (30) days of receipt, or the Customer otherwise discovers the same, the Customer shall be entitled to publish the details of the late or non-payment (including on Government websites and in the press).
