Commercial General Liability (CGL). Not less than $1,000,000 per occurrence and $2,000,000 annual aggregate. Coverage shall include personal injury, bodily injury, and property damage for premise-operations liability, products/completed operations, personal/advertising injury, contractual liability, independent contractor liability, and stop gap/employer’s liability. Coverage shall not exclude or contain sub-limits less than the minimum limits required herein, without the prior written approval of the County. The certificate of insurance for the CGL policy shall expressly cover the indemnification obligations required by the Contract.

If the Company fails to secure or maintain any insurance coverage, or any insurance coverage is canceled before the completion of all services provided under this Agreement, and the Company fails immediately to procure such insurance as specified herein, the Customer has the right but not the obligation to procure such insurance and, at its option, either bill the cost thereof to the Company or deduct the cost thereof from any sum due the Company under this Agreement. Commercial General Liability (CGL) insurance or its equivalent satisfactory to the Administrator, Contract Administrator and the Commission and, if necessary, commercial umbrella or excess insurance with a total limit of $1,000,000 each occurrence, with a $2,000,000 annual aggregate as described below. If such CGL insurance contains a general aggregate limit, it shall apply separately to this Agreement. CGL insurance shall be written on an occurrence form and shall cover liability arising from premises, operations, independent contractors, products-completed operations, personal injury and advertising injury, and liability assumed under an insured contract (including the tort liability of another assumed in a business contract).

a. The policy shall be endorsed, as required by this written agreement, to include the State of Arizona, and its departments, agencies, boards, commissions, universities, officers, officials, agents, and employees as additional insureds with respect to liability arising out of the activities performed by the Subcontractor, or on behalf of the Subcontractor or Contractor.
b. Policy shall contain a waiver of subrogation endorsement, as required by this written agreement, in favor of the State of Arizona, and its departments, agencies, boards, commissions, universities, officers, officials, agents, and employees for losses arising from work performed by the Subcontractor, or on behalf of the Subcontractor or Contractor.
c. For Subcontractors providing direct services to children and/or vulnerable adults (as defined by A.R.S. § 46-451(A)(9)), the policy shall include coverage for Sexual Abuse and Molestation (XXX). This XXX coverage may be sub- limited to no less than $250,000. The limits may be included within the General Liability limit, provided by separate endorsement with its own limits. If you are unable to obtain XXX coverage under your General Liability because the insurance market will not support it, it should be included with the Professional Liability.
d. Subcontractors must provide the following statement on their Certificate(s) of Insurance: “Sexual Abuse and Molestation coverage is included” or “Sexual Abuse and Molestation coverage is not excluded.”
