Compliance With Laws; Zoning. Except as set forth in Schedule 6(a)(iv), to Seller’s actual knowledge, without duty of inquiry or investigation, the Properties are in compliance with all applicable zoning, subdivision and land use laws, regulations and ordinances, all applicable health, fire, and building codes, and all other laws applicable to the Properties (but excluding from all of the foregoing Environmental Laws, which are discussed below, and the Americans with Disabilities Act). To Seller’s actual knowledge, without duty of inquiry or investigation, all required permits, licenses and certificates for the lawful use and operation of the Properties, including, but not limited to, certificates of occupancy, or the equivalent, have been obtained and are current and in full force and effect. Compliance With Laws; Zoning. Except as set forth in Schedule 6(a)(iv), to Seller’s knowledge, without inquiry, (A) the Property is in material compliance with all applicable zoning, subdivision and land use laws, regulations and ordinances, all applicable health, fire, and building codes, and all other laws applicable to the Property, including without limitation the Americans with Disabilities Act (but excluding Environmental Laws, which are discussed below); (B) there are no illegal activities relating to controlled substances on the Real Property, (C) all required permits, licenses and certificates for the lawful use and operation of the Property, including, but not limited to, certificates of occupancy, or the equivalent, have been obtained and are current and in full force and effect; (D) in the event that all or any part of the Improvements located on the Real Property are destroyed or damaged, said Improvements can be legally reconstructed to their condition prior to such damage or destruction, and thereafter exist for the same use without violating any zoning or other ordinances applicable thereto and without the necessity of obtaining any variances or special permits, other than customary demolition, building and other construction related permits; (E) the Real Property, together with the Parking Area Lease, contains enough permanent parking spaces (both regular spaces and handicap spaces) to satisfy all requirements imposed by applicable laws with respect to parking; (F) no legal proceedings are pending or, to the best knowledge of Seller, threatened with respect to the zoning of the Real Property; and (G) neither the zoning nor any other right to construct, use or operate the Real Property is in any way dependent upon or related to any real estate other than such Real Property.
Compliance With Laws; Zoning. Mortgagor will comply with all requirements of law or municipal ordinances with respect to the Mortgaged Property and the use thereof. Mortgagor will not initiate, join in, acquiesce in, or consent to any change in any private restrictive covenant, zoning law or other public or private restriction, limiting or defining the uses which may be made of the Mortgaged Property or any part thereof. If under applicable zoning provisions the use of all or any portion of the Mortgaged Property is or becomes a nonconforming use, Mortgagor will not cause or permit such nonconforming use to be discontinued or abandoned without the express written consent of Mortgagee.
Compliance With Laws; Zoning. To FDC's knowledge, each Property, and the Real Property comprising same, is legally and properly zoned for its intended use, and all present uses and operations thereof comply with all applicable zoning, land- use, building, fire, health, labor, safety, subdivision and other Laws (except the Americans with Disabilities Act), all Orders, and all deed or other title covenants and restrictions applicable thereto, except to the extent the failure to do so does not cause and is not reasonably expected to cause a Material Adverse Effect on such Property. FDC or a Property Partnership has received a certificate of occupancy (or other comparable governmental approval), to the extent required by any Governmental Entity, for all improvements on the Properties except for improvements on Development Properties which remain under construction. FDC has not received notice from any Person that any Property or the operation thereof fails to comply with the Americans with Disabilities Act. Neither FDC nor any Property Partnership has made any application or agreement with any Government Entity or other Person with respect to any variance or exception from zoning, building or other Laws that has not been disclosed to MAAC in writing. To FDC's knowledge, the use of each Property is consistent with any land use designation for such Property under any comprehensive plan or plans applicable thereto, and any concurrency requirements have been satisfied.
Compliance With Laws; Zoning. To Branch's knowledge, each Property, and all present uses and operations thereof, complies with all applicable zoning (except for the proposed expansion of Xxxxx Springs Village, which is subject to rezoning), land-use, building, fire, health, labor, safety, subdivision and other Laws (including the Americans with Disabilities Act), all Orders, and all deed or other title covenants and restrictions applicable thereto, except to the extent the failure to do so does not cause and is not reasonably expected to cause a Material Adverse Effect on such Property. Neither Branch nor any Subpartnership has made any application or agreement with any Government Entity or other Person with respect to any variance or exception from zoning, building or other Laws that has not been disclosed to Regency in writing. To Branch's knowledge, the use of each Property is consistent with any land use designation for such Property under any comprehensive plan or plans applicable thereto, and any concurrency requirements have been satisfied.

If under applicable zoning provisions the use of all or any portion of the Mortgaged Property is or shall become a nonconforming use, Mortgagor will not cause or permit such nonconforming use to be discontinued or abandoned without the express written consent of Mortgagee.
Compliance With Laws; Zoning. Grantor will promptly comply with any applicable legal requirements of the State of North Carolina or any other governmental entity, agency or instrumentality relating to the use or condition of the Property including, without limitation, all zoning conditions, and will not cause, suffer or permit any change in the zoning of the Property. Grantor shall comply with the terms of all restrictions, easements and utility agreements affecting the Property.

  • General Compliance With Laws Consultant will keep fully informed of federal, state and local laws and ordinances and regulations which in any manner affect those employed by Consultant, or in any way affect the performance of the Services by Consultant.
