Compliance with Law. Each party hereto agrees to comply with all material laws, rules and regulations of any state, federal or local governmental authority which are now or may become applicable to that party's operations covered by or arising out of the performance of this Contract. In the event any provision of this Contract is inconsistent with or contrary to any applicable federal, state or local law, rule or regulation, said provision shall be deemed to be modified to the extent required to comply with said law, rule or regulation and as so modified said provision and this Contract shall continue in full force and effect.

The School District represents and warrants that neither the School District nor any firm, corporation or institution represented by the School District, nor anyone acting for that firm, corporation or institution, (1) has violated the antitrust laws of the State of Texas, Chapter 15, Texas Business and Commerce Code, or Federal antitrust laws, or (2) has communicated directly or indirectly the content of the School District's response to NC's procurement solicitation to any competitor or any other person engaged in a similar line of business during the procurement process for this Agreement.
