Consultant's Key Personnel. It is understood and agreed by the parties that at all times during the term of this Agreement that , shall serve as the primary staff person of CONSULTANT to undertake, render and oversee all of the services under this Agreement.
Consultant's Key Personnel. Applicable / / Not Applicable If applicable, the Consultant shall assign the Key Personnel listed in the Statement of the Work and Payment Schedule for the work required by the Contract and shall not change Key Personnel without the prior written consent of the City, which shall not be unreasonably withheld. Notwithstanding anything to the contrary herein, Consultant shall, within 30 (thirty) days of receipt a request from the City replace any Key Person who is not meeting City performance requirements. The Consultant agrees that the primary personnel assigned to perform the services shall be listed in in the Statement of Work and Consultant shall not change such personnel without the prior written consent of the authorized representative of the City as designated in the SOW. The City will enforce all social equity contracting for Disadvantaged, Minority, Women, Emerging Small Business and Service-Disabled Veteran Business Enterprise (D/M/W/ESB/SDVBE) Subconsultant commitments submitted by the Consultant in its proposals. Failure to use the identified D/M/W/ESB/SDVBE Subconsultants without prior written consent is a material breach of contract.
Consultant's Key Personnel. 1.1 Consultant's Key Personnel are identified below and their resumes appended to this Appendix C as Exhibit 1, including but not limited to the following: As identified in the proposal dated March 11, 2022.
Consultant's Key Personnel. Applicable / / Not Applicable If applicable, the Consultant shall assign the key personnel listed in the Statement of the Work and Payment Schedule for the work required by the Contract and shall not change key personnel without the prior written consent of the City, which shall not be unreasonably withheld.
Consultant's Key Personnel. Consultant's duties under this Contract shall be performed on behalf of the Consultant by (“Consultant’s Key Personnel” or “Program Manager”).
Consultant's Key Personnel. It is understood and agreed by the parties that at all times during the term of this Agreement that shall serve as the primary staff person of CONSULTANT to undertake, render and oversee all of the services under this Agreement. Upon written notice by the Consultant and approval by the CITY, which will not be unreasonably withheld, the CONSULTANT may substitute this person with another person, who shall possess similar qualifications and experience for this position.
Consultant's Key Personnel. Consultant shall provide the Key Personnel listed in Exhibit F, who will, in accordance with their roles and responsibilities as established in the Statement of Work, actually provide the Work set forth in the SOW. The AOC reserves the right to disapprove the continuing assignment of any of Consultant's personnel, including without limitation Consultant’s Key Personnel, if in the AOC's opinion, the performance of said personnel is unsatisfactory. The AOC agrees to provide Notice to Consultant in the event it makes such a determination. If the AOC exercise this right, Consultant shall immediately assign replacement personnel acceptable to the AOC possessing equivalent or greater experience and skills. If any of Consultant's Key Personnel, through no cause or fault of Consultant, become incapacitated or terminate their employment with Consultant, Consultant shall immediately assign replacement personnel acceptable to the AOC possessing equivalent or greater experience and skills. Consultant shall retain the same Key Personnel on the Project during the performance of the Work of this Agreement. Consultant may, with advance written approval of the AOC’s Project Manager, and subject to an Amendment to this Agreement modifying Exhibit F, substitute Key Personnel provided that the replacement personnel is acceptable to the AOC and possesses equivalent or greater experience and skills. If any of Consultant's Key Personnel become incapacitated or terminate their employment with Consultant and Consultant cannot furnish a replacement acceptable to the AOC within a time frame which allows for completion of the Work as contemplated in this Agreement, the AOC may terminate this Agreement for cause pursuant to Exhibit A, Section 3. In addition to termination for cause under Exhibit A, Section 3, the AOC may terminate this Agreement at any time for convenience and without cause, by providing Consultant written Notice at least ten (10) Days before the effective date of termination Upon receipt of a Notice of termination for convenience, Consultant shall promptly discontinue all Work. If the AOC terminates this Agreement for convenience, the AOC’s sole obligation to Consultant shall be to make payment for any Work properly performed prior to the effective date of said termination.
Consultant's Key Personnel. Consultant’s duties under this Contract shall be performed on behalf of Consultant by , [if more than one, list all names] Consultant’s Key Personnel. Consultant represents and warrants that (1) Consultant’s Key Personnel has fulfilled all applicable requirements of the laws of the State of California to perform the work under this Contract and has full authority to act for Consultant hereunder. Consultant’s Key Personnel shall perform the work or oversee the performance of the work described in Exhibit A, Statement of Work. Consultant’s Key Personnel shall not be changed during the Term of the Contract without County’s prior written consent. County reserves the right to terminate this Contract pursuant to section 7.1, “Termination for Default,” if Consultant’s Key Personnel should leave Consultant’s employ, or, if in County’s judgment, the work hereunder is not being performed by Consultant’s Key Personnel.
Consultant's Key Personnel. 5.1 The Services must be carried out by the Consultant under the direction of the Consultant's Principal Officer and no other person, unless the Department consents otherwise in writing.
5.2 The Consultant's Principal Officer will:
(a) represent the Consultant and be available at all reasonable times for consultation with the Department or the Supervising Officer in connection with any matter arising under this Agreement; and
(b) be deemed to be the agent of the Consultant in respect of any decision made or information given or received by the Consultant concerning any matter arising under this Agreement, with full authority to bind the Consultant.
(a) Subject to clauses 5.3(b) and (c), the Consultant agrees that its Key Personnel (including the Consultant's Principal Officer) identified in Schedule 3 are to be engaged throughout the provision of the Services in the positions and in respect of the duties also set out in Schedule 3.
(b) The Consultant's Key Personnel may only be replaced or moved from their positions and identified duties during the term of this Agreement on condition that:
(i) the Supervising Officer approves the substitute;
(ii) an instruction is given by the Supervising Officer to replace the particular key person;
(iii) that key person dies, retires or resigns (other than to accept other employment with the Consultant or any associate of the Consultant) or otherwise suffers from ill health or due to some serious compassionate grounds; or
(iv) that key person's section of the Services has been completed.
(c) Any vacancy of Key Personnel will be promptly filled by the Consultant with a person approved by the Supervising Officer.
Consultant's Key Personnel. The following of the Consultant's Personnel (as identified in Consultant’s Proposal) cannot be substituted by the Consultant without IPE Global’s prior approval. Failure to deploy Key Personnel without reasonable excuse may result in suspension or termination of the Framework Agreement and the relevant Call-down Contract(s).
