Obligations of Consultant. Throughout the term of this Contract, Consultant represents and warrants that it has or will have at the time this Contract is executed, all licenses, permits, qualifications, insurance, and approvals of whatsoever nature which are legally required for the Consultant to practice its professions, and Consultant shall, at its own cost and expense, keep in effect during the life of this Contract all such licenses, permits, qualifications, insurance, and approvals. Consultant shall meet with the Public Works Director or other personnel of City or third parties as necessary on all matters connected with the carrying out of Consultant’s services. Such meetings shall be held at the request of either party hereto. Consultant further warrants that it will follow the best current, generally accepted and professional practices to make findings, render opinions, prepare factual presentations, and provide professional advice and recommendations regarding this project.
Obligations of Consultant. No reviews, approvals, or inspections carried out or supplied by the City shall derogate from the duties and obligations of the Consultant, and all responsibility related to performance if the Services shall be and remain with the Consultant.
Obligations of Consultant. 4.01 CONSULTANT agrees to perform all assigned work in accordance with the terms and conditions of this Agreement and those specified in the Purchase Order.
4.02 Except as otherwise provided for in the Purchase Order, CONSULTANT will supply all personnel and equipment required to perform the assigned work.
4.03 CONSULTANT shall have full supervision over all workers on the job and neither WESTERN nor any of WESTERN’s employees or agents shall be held responsible for any action of the CONSULTANT. CONSULTANT hereby agrees to be solely responsible for the health and safety of its employees and agents in performing the work assigned by WESTERN.
Obligations of Consultant. In his performance of the Services hereunder, Consultant shall at all times comply with and abide by the terms and conditions set forth in this Agreement and all applicable policies and procedures of Company. Consultant shall further perform the Services in accordance with all applicable laws, rules and regulations and by following and applying the highest professional guidelines and standards.
Obligations of Consultant. Consultant shall devote its best efforts, skill and sufficient time and attention to carry out its responsibilities under this Agreement. Consultant shall report to the Chief Executive Officer of the Company (the "Chief Executive Officer") and the Board of Directors of the Company (the "Board of Directors"). Consultant shall provide, at the reasonable request of the Chief Executive Officer and the Board of Directors (the "Management"), advanced business strategy, financing, product development and marketing advice including but not limited to day to day operations. Consultant shall act in substantial accordance with all reasonable instructions and directives of Management. Consultant shall comply with all written policies and procedures of the Company that are furnished to it and which are applicable to Company employees in general, in connection with the performance of services hereunder. Consultant shall be available, at reasonable times and upon reasonable notice, to consult with Management.
Obligations of Consultant. Consultant shall devote his best efforts, skill and sufficient time and attention to carry out his responsibilities under this Agreement. Consultant shall be engaged as the Company's Chairman of the Board and shall report to the Board of Directors of the Company (the "Board of Directors"). Consultant shall act in substantial accordance with all reasonable instructions and directives of the Board of Directors and provide management and operational services to the Company as requested by the Board of Directors. Consultant shall comply with all written policies and procedures of the Company that are furnished to him and which are applicable to Company employees in general, in connection with the performance of services hereunder.
Obligations of Consultant. Company agrees to hire the Consultant in which capacity she will act with the full approval of the board of directors. The initial scope of work includes but is not limited to the following specific duties:
Obligations of Consultant. Throughout the term of this Agreement, CONSULTANT shall possess, or secure all licenses, permits, qualifications and approvals legally required to conduct business. CONSULTANT warrants that it has all of the necessary professional capabilities and experience, as well as all tools, instrumentalities, facilities and other resources necessary to provide the CITY with the services contemplated by this Agreement. CONSULTANT further represents that it will follow the best current, generally accepted and professional practices to make findings, render opinions, prepare factual presentations, and provide professional advice and recommendations regarding this project.
Obligations of Consultant. Consultant shall (1) not engage in any act that the Company determines in its sole discretion may be deemed to be in competition with the Company, (2) treat as confidential all Company information disclosed to him by the Company, and Consultant shall return all such information to the Company at the end of this agreement in whatever form such information such may exist, and (3) perform all work for the Company to the highest professional standards. Consultant shall be responsible for the payment of all his federal, state, local income, social security, and FICA taxes. Consultant acknowledges that the relationship with the Company is one of an independent contractor and not one of employment.
Obligations of Consultant. The Consultant agrees:
3.1. if seeking sales for the Products, to learn how to run, and offer to customers, the Kaszazz customer events as defined in the current versions of the “Kaszazz Consultant Training Program” and the “Kaszazz Consultant Guidelines Manual” (as amended by the Company from time to time) and to run these Kaszazz customer events in accordance with the instructions in these documents.
3.2. to represent the Company in a professional manner and observe the policies of the Company relating to marketing and the sale of the Products of the Company;
3.3. to send to the Company with each order for the Products payment in a form and manner accepted by the Company (as published in the current version of the “Kaszazz Consultant Guidelines Manual” as amended by the Company from time to time) covering the wholesale price or other agreed price of the Products ordered;
3.4. not to alter or modify the packaging or labelling of the Products, other than the addition of labels approved and supplied by the Company;
3.5. not to sell any products which are the same or serve the same purpose as the Products;
3.6. not to seek orders for the Products from retailers for subsequent sale or display in retail premises;
3.7. not to exhibit the Products in a fixed retail outlet, but the Consultant may take orders for the Products at temporary outlets which are attended by the Consultant;
3.8. not to offer the Products for sale over the Internet, including through web stores such as eBay;
3.9. when offering, to the general public, services designed by the Company (such as customer workshops), to deliver the service in its entirety and in the style and manner stipulated by the Company.
3.10. to bear all costs and expenses incurred in connection with his or her activities as a consultant and hereby indemnifies, and agrees to keep indemnified, the Company against all claims, actions, proceedings, demands, costs, damages, expenses or other liability arising out of or in anyway relating to the Consultant’s activities hereunder, except as relate to the inherent quality and fitness of the Company’s Products for which the Company is responsible.
3.11. that the Company retains the right to change the Consultant Reward Plan (as published in the current version of the “Kaszazz Consultant Guidelines Manual” as amended by the Company from time to time) and furthermore agrees not to hold the Company liable for damages incurred or loss of income from any changes made to the Consultan...
